Responsible Department: Community Connector Commentary: This Order will authorize the City Manager to execute a memorandum of understanding on behalf of the City of Bangor/Community Connector with Beal College to provide fare free rides for students and staff. Under the terms of the agreement Beal College agrees to pay the City four quarterly payments of $379.50 and promote the Community Connector to its students and staff. The City agrees to track student and staff usage of the Community Connector and advertise the college in all Community Connector public facing materials. The term of the agreement is from July 1, 2017 to June 30, 2018 This Order was reviewed and approved at the May 15th Government Operations Committee Meeting. Order, Authorizing the City Manager to Execute a Memorandum of Understanding with Beal College BY THE CITY COUNCIL OF THE CITY OF BANGOR: BE IT ORDERED, that the City Manager is hereby authorized to enter into a memorandum of understanding with Bea[ College for the period of July 1, 2017 to June 30, 2018 for the purpose of providing college students and staff fare -free rides on all Community Connector routes upon valid presentation of a valid college identification in exchange for four quarterly payments of $379.50 from Beal College. IN CITY COUNCIL MAY 22, 2017 CO 17-188 MOTION MADE AND SECONDED FOR PASSAGE PASSED D TY CITY CLERK MEMORANDUM OF AGREEMENT BETWEEN CITY OF BANGOR/COMMUNITY CONNECTOR AND BEAL COLLEGE I. PARTIES 17-188 MAY 22, 2017 The Parties to this Memorandum of Agreement (the "Agreement") are the City of Bangor ("City"), a Maine municipal corporation, and Beal College ("College"). II. TERM This Agreement shall take effect on July 1, 2017 and, unless sooner terminated as set forth below, expire on June 30, 2018. III. CITY OBLIGATIONS The City will: A. Own and operate a transportation service known as Community Connector. B. Provide to College students and staff fare -free rides on all Community Connector routes upon presentation of a valid College identification card; and C. Track such College student and staff usage of Community Connector. D. We will advertize the College in all our public facing materials. IV. COLLEGE OBLIGATIONS The College will: A. Promote the use of the Community Connector to its students and staff, B. Pay to the City four payments of Three Hundred Seventy Five Dollars ($379.50) each on October 1, 2017, January 1, 2018, April 1, 2018 and June 1, 2018, without prior demand of notice; C. Make such payments to: City of Bangor, Community Connector, 481 Maine Ave, Bangor, ME 04401. D. Provide current and any future valid College ID card pictures to the City. F. Community Connecter will provide a bus stop sign location yet to be determined. College shall maintain bus stop area to meet ADA requirements (snow removal, trash, etc). 1 17-188 MAY 22, 2017 V. INDEMNIFICATION To the extent permitted by law, Beal College shall indemnify and hold the City harmless from and against any and all claims, actions, lawsuits, judgments and costs, including reasonable attorney's fee, that the City any become liable to pay or defend due to bodily injury or property damage caused by negligent acts or omissions of the College or its employees, arising out of or in connection with the College's obligations pursuant to the Agreement. This indemnification obligation shall not apply to any claim for which College would not be liable under the Maine Tor Claims Act (14 M.R.S.A. `8101, et seq.) if such claim were made directly against the College and College shall continue to enjoy all rights, claims, immunities and defenses available to it under law. VI. TERMINATION This Agreement may be terminated or suspended by either party with thirty (60) days' written notice. Any fees owed by College shall will be equitably prorated and promptly paid by the College to the City. VII. AMENDMENTS THIS AGREEMENT MAY BE MODIFIED OR AMENDED DURING THE INITIAL TERM OR ANY EXTENSION THEREOF BY WRITTEN INSTRUMENT EXECUTED BY AUTHORIZED REPRESENTATIVES OF ALL PARTIES.
