Item/Subject: ORDER, Authorizing the Expenditure of up to $10,000 from the City Nursing
Facility's Contingency Account for Certain Expenses of the Bangor Nursing and Rehabilitation

Commentary: The attached Omer would authorize the use of up to $10,000 to corer incidental
expenses of the recently appointed board. As you know, the Board has been meeting for the past several
months and has made sound progress toward the establishment: of a non-profit corporation. At this point,
there is a need tc incur certain expenses for such things as outside labor and employment counsel,
director's liability Insurance, various filings and other related! hems.
These expenditures could be covered by the CNF's contingency accounq which contains $1001 and
which, at present and projected levels of occupancy, does not appear W be critical to the facility's
operation.
Ory staff involvetl with the conversion process, Bob Farrar, Norm Heimann, Connie Pingley, and I
recommend your approval.

CITY OF BANGOR
(MILE.) ORDER, Authorizing the Expenditure of up to $10,000 from the City
Nursing Facility's Contingency Account for Certain Expenses of the
Bangor Nursing and Rehabilitation Center Board of Directors
WHEREAS, the Bangor City Council has determined that It is in the best interest of the
citizens of the City of Bangor W maintain operations at the Bangor City
Nursing Facility; and
WHEREAS, the Council has further determined that the best way to assure continued
viability of the City Nursing Facility is to create an independent, not for
pm0t corporation to operate R, such corporation being cunemly named
the Bangor Nursing and Rehabilitation Center; and
WHEREAS, the Board of Directors for the Bangor Nursing and Rehabilitation Canter,
having previously been appointed by the Council, has made significant
progress toward establishing this new corporation; and
WHEREAS, R appears likely that the Board of Directors will begin Incurring various
costs as R moves closer ta execution; and
WHEREAS, the Board of Directors has no financial capability to fund various costs
associated with their duties and responsibilities;
NOW, THEREFORE, BE Fr ORDERED THAT: the Board of Directors of the Bangor
Nursing and Rehabilitation Center is authorized to incur reasonable and necessary costs
In creating this new corporation, as well as carrying out such actions required to
effectuate the transaction from the qty to the Corporation, and that such expenditures
are to be reimbursed, in an amount not to exceed $30,000 from the City Nursing
Fadlity's contingency account upon approval by the City Nnanco Director.
