On December 16, 1998 Me City entered Into an Agreement with Partnerships for Healthy Communities for
occupancy of Me Freese's Building, Subsequently, Me Eastern Maine Children's Museum was
incorporated and will occupy, the building.
Also, Me City Council has approved a loan to Me Eastern Maine Children's Museum.
This Amendment will permit Me assignment of the Agreement to Eastern Maine Children's Museum and
will also provide Mat the City will donate the space in the Freese's Building only upon Me payment of all
Minimal obligations due the Ory.
The Eastern Maine Children's Museum has given a canstmction completion date of December 29, 2000.
Howerer, to provide for unexpected delay, this Amendment extends Me Agreement from December 31,
2000 M March 1, 2000.

ORDERED,
THAT the City Manager, on behalf of the City of Bangor, Is hereby authorized and
directed, to execute an Amendment to Agreement to amend the Agreement between
the City of Bangor and Patfierships for Hearty Communities dated December 16, 1998.
Said Amendment to Agreement shall be In a final form approved by the office of the
City Solicitor and should be substantially in a form attached hereto.

AMENDMENT To AGREEMENT
By agrennr+a of the City of Bangor and Partnerships for Healthy Communities
the Agreement between the parties dated December 16,1998 is amended as follows:
By deleting the follovnng:
5. PHC agrees that not later than December 31, 2000 the children's consent, will be in a
condition such that it will be open to the public.
And replacing it with the following:
5. PHC agrees that not later data March 1, 2001 the children's m t emn will be in a
condition such that it will be open to the public
By deleting the following:
10. PHC shall net assign its rights under Nis Agreement
Md replacing it with the following:
10. PHC shall not msiga its rights under this Agreement to any entity other than the
Eastern Maine Children's Museurh.
By deleting the following:
13. A. Donate the space acquired from JMC Partners, LLC to PHC, or other legal amity
established to operate the chuldrov's museum approved by the City, with a provision that
if ever the space is not operated as a children's musemn open to the public, ownership
shall revert to the City, or
And replacing it with the following
13. A. Provided that the PHC has no financial obligations due the City, donate the space
acquired bank IMC Parmes, LLC to PHC, or other legal entity established to operate the
children's museum approved by the City, with provision that if ever the space is not
operated s a children's rosena open to the public, ownership shall inert to the City, or
13. C. Upon the payment by PHC to the City of all financial obligations due the City, the
City, at the option of the PHC, shall donate the space acquired from IMC Pertness, LLC
W PHC, or other legal entity established to operate the children's coscvn approved by
the City, with apmvision that if ever the space is not operated as a children's museum
open to the public, ownership shall revert to the City.
M all other respects the Agreement L� the parries dated December 16, 1998 shall
remain the same.
