Commentary: As the City Council is aware, the Board of Directors "a Bangor Nursing and
Rehabilitation Center has been meeting on a regular basis since lune. Over the past several montls, th
Board has been acquainting Itself with the operations at the Center, learning about the center and its
programs, becoming familiar with a variety of legal, financial and personnel issues, and developing
guiding principals and factors. This document will state the intent of and provide a basis for decisions by
to Board and the Council regarding the conversion process.
The Board of Directors believes that this document is a necessary component which will help guide the
parties through the many decisions which will reed to be made over the next several monMs. It will also
serve as a statement to the public, residents, family members and employees regarding the overall intent
of the two bodies.
This document has been reviewed in breative Session with both the Council and Board of Directors and
is presented for Council consideration.

WHEREAS, the Bangor City Council has a)Tressed Its intent to convert the Bangor City
Nursing Facility from a City Department to a 501(c)3 non -prof[ organization
through passage of Council over 99-165; and
WHEREAS, the City Council has appointed a Board of Directors who have commenced
the necessary work to comm the City Nursing Facility in accordance with
the intentions of the Coundl; and
WHEREAS, there will be numerals Issues to address and decisions to be made by the
City Council and Board of Directors to accomplish this task; and
WHEREAS, these issues and decisions will impact many who are involved with the
Facility including residents, families, employees and other interested
parties; and
WHEREAS, the qty Council and Board of Directors wish to jointly establish guiding
principals and factors which state the overall Intent of the parties to assist
In the conversion process;
NOW, THEREFORE, BE IT RESOLVED BY THE CITTCOUNCIL OF THE CITY OF
BANGOR, THAT the document entitled ^Guiding Principals and Factors for
the Development of a Framework Agreement between the City of Bangor
and the Bangor Nursing and Rehabilitation Center" is hereby adopted; and
BE IT FURTHER RESOLVED, THAT the parties shall use the document as a guide In the
development of an overall agreement between the partes and as a basis
for decision making throughout the conversion process.

Guiding Principals and Factors
for Development of a
Framework Agreement
Between
the City of Bangor and
Bangor Nursing and Rehabilitation Center
1. To establish the Bangor Nursing and Rehabilitation Center (currently known as
Bangor City Nursing Facility) as a non-profit 501(c)3 organization, effective
January 1, 2001.
2. To plan a transition and new organizational structure which will provide for a
continuation of the established tradition of high quality healthcare for residents
of the Center.
3. To create an operational and financial plan which will enable the facility to
succeed on its own.
4. - To develop a trens@ion plan and future relationship with the objective that City
involvement, generally, will be reduced Or eliminated going forward from January
1, 2001, except in those specific instances or situations where collaboration or
assistance is beneficial to both the City of Bangor and the Bangor Nursing and
Rehabilitation Center.
5. To develop an overall approach and agreement between the City of Bangor and
the Bangor Nursing and Rehabilitation Center which encourages and supports
the transition occurring as smoothly and routinely as possible for residents, their
families and employees.
6. To create an organization which can act/read as appropriate or necessary to the
ever-changing requirements of the health and nursing care Indus" as well as
tatting maximum advantage of various govemmental reimbursement programs.
