WHEREAS, the City of Bangor owns the land in BanAir Industrial Park, Bmnmond Street,
Baugor, Maine; and
WHEREAS, Trio Software Confutation wishes to develop an office and training facility; and
WHEREAS, Trio Software Corpmadon has offered to purchase Lot I I in the Bankir Industrial
Park with an area of approxinsudely.75 ewes; anti
WHEREAS, the terms and conditions of this sale meet the requirements of the City and have
been reviewed and are tewmmended for approval by the BaMir Copoation.
NOW, THEREFORE, BE 1T ORDERED BY THE CITY COUNCIL OF THE CITY OF
BANGOR THAT the City Mampor is hereby authorized, on behalf of the City of Danger, to
execute apurchase and We agreement with Trio Software Corporation for Lot 11 in the BanAu
Industrial Park, in a form approved by the City Solicitor w Assistant City Solicitor, and
remaining the following condifitum
A, Sale price be 818,200.
b. Site work and building improvements shall commence within we(1)post. Sufficient
evidence of proceeding with the "building improvwents" is an approved Land
Development Permit, issuance of Building Constntetion Permit and initiation of
construction of the building.
c. Sire work and building improvemems shall be completed within two (2) years.
d. The building shall have a gross Boor area of not less than 5,000 sq, ft.
e. The area within the front setback must be landscaped and Planted with pees and
shrubs As follows: flout units per 100 ft.: one (1) shrub, one (1) evergreen tree, and
one (I) decidams has.

MEMORANDUM

Subject: Offer to Purchase Land in the BanAir Industrial Park
Issue
TRIO Software Corporation has made an offer to purohass Lot 11 in the Beni
Industrial Park on Outer Hammond St. for $18,200.
Background
TRIO Software Corporation wishes to construct a 5,000 sq. ft. building with 10,000 sq.
ft. of paved parking on Lot 11. TRIO Software Corporation develops and markets
computer software for municipalities, including Property Assessment, Tax Billing,
Electronic Motor Vehicle Registration plus a full range of financial applications. TRIO
Software Corporation has been in business since 1988 and currently has ten
employees. The expected growth in the corporation's business will require the addition
of seven employees. Their proposed building would serve as their business and
software development office as well as providing a facility to train users of their
software.
Lot 11 is .75 acres with 150' of frontage on BanAir Rd. and 175' of frontage on Bal
Court. The Ban it Industrial Park is an Urban Industrial land use district, and therefore
a one-story building of up to 13,068 sq. ft. could potentially be developed on the lot.
The proposed building would be 15% of the total lot which is within acceptable
parameters of our target of 16% of lot size in an initial development. The offer of
$18,200 is the same as the asking price.
The City of Bangor is not represented by a real estate broker in this transaction

Recommendation
Members of the BanAir Corporation Board of Directors recommend that the offer be
accepted with the following terms and conditions:
a. Site work and building improvements shall commence within one (1) year.
Sufficient evidence of proceeding with the "building improvements" is an
approved Land Development Permit, issuance of a Building Construction
Permit andinitiation of construction of the building.
b. Site work and building improvements shall be completed within two (2) years.
c. The building shall have a gross floor area of not less than 5,000 sq. ft.
d. The area within the front setback must be landscaped and planted with trees
and shrubs as follows: plant units per 100 R.: one (1) shrub, one (1) evergreen
free, and one (1) deciduous tree.
e. Approval of a Land Development Perk and Site Plan approval by the Bangor
Planning Board before July 31, 2000.
