of Maine System Regarding Location of the University of Maine Art Museum in Downtown Bangor.

Some time ago, the City Council adopted a Council Order outlining the terms and conditions for an
agreement with the University of Maine for relocating their Art Museum to downtown Bangor.
Completion of a final agreement was delayed as the University undertook a fund raising effort. That
effort has been successful, and construRion of Museum space is underway. As a result, we have
been working with University representatives to fnal'ue an agreement. This agreement is attached!
and is substantially the same as the Council Order originally adopted by the Council.
The primary changes in the agreement are:
1. Various dates have been adjusted to reflect the current schedule of the project.
2. Sections 5, 10, and 11 have been modified by inserting language in each section that the
Universitywill make'ts best effort o: assurethat the Museum is open 60 hoursa week; will
open on or before December 31, 2002; and will be maintained and operated in downtown for a
minimum often years.
3. The number of art objects o be housed downtown has been reduced from 4,500 W 4,200 to
recognize that portions of the collection will continue o be displayed on the Orono campus.
4. Revised scholarship language.
We originally discussetl providing ten annual full scholarships for Bangor resident students for a
period of ten years. This approach createtl problems with the restrictions and regulations governing
the Universals student aid program. As a rssul4 we now have specified that Me University must
provide at least $42,000 in annual scholarship assistance to resident Bangor students for ten years
and added an attachment to the agreement that provides greater detail on this program. Under this
approach, both partial and full scholarships may be given; they will be available to stotlads in any
major; awards will be made on the basis of financial need, academic excellence, and special talents;
the University and City agree to cooperate in publicizing their availability; the University will moVide
the City with an annual list of scholarships awarded and cooperate in recognizing the selected
students; and the program will begin in Academic year 2003-2004.
Overall, this revised! agreement Is consistent with the discussions that have taken place over the last
several years and Me original Council Order.

AGREEMENT
This Agreement is made and entered into as ofAugust 27, 2002 by and between the
City of Bangor (hereinafter "Cityl, a municipal corporation Wcated in Bangor, County of
Penobscot, State of Maine, and the Un massy of Maine System on behalf of the UnNersdy of
Maine (hereinafter"Universityl, with a place of business in Orono, County of Penobscot, State
of Maine
WHEREAS, the City has worked with the University toward locating the University's
Museum of Art in Downtown Bangor; and
WHEREAS, the City recognizes that IS financial support is necessary to accomplish this
goal; and
WHEREAS, the presence of a quality Art Museum in Downtown Bangor is estimated to
attract 20,00) visitors annually and will assist the City in meeting Is long-term goals for
downtown; and
WHEREAS, such a facility will also serve to strengthen the ties between the University
and the City; and
WHEREAS, the University, has aired $100,000 for the purpose of boating its Art
Museum in Downtown Bangor.
NOW, THEREFORE, IN CONSIDERATION of the mutual promises and covenants
contained in this Agreement the City and the University agree as follows:
1. On or before July 1, 2001, the University shall complete a lease agreement for the necessary
space for the Museum W be located in Norumbega Hall, Harlow Street, Sanger, Maine.
2. The University shall arrange far an initial lease from the Courl Foundation, owner of
Norumbega Hall, for the Museum of Art for a minimum of not less than five (5) years with
two (2) five (5) year proWsions for renewal, commencing not later than July 1, 2001.
3. That the University agrees to renovate the leased premises to meet the needs of the
Museum of Art and to complete renovations by December 31, 2002 to include painting,
security, and dimatbation.
9. In conjunction with the Museum of Art the University shall operate in downtown Bangor a
Visual Arts Center which shall offer classes, wodcshops, and other events serving a wide
ange of individuals including children, young adults, senior citizens, and other adult
populations.
S. That the University agrees to make its best efforts W assure that the Museum of Art and
Visual Arts Center shall be open to the public sixty hours a week.

6. That the University agrees W relocate and house a significant portion of the Museum of Arcs
permanent collection to Nommbega Hall, the permanent collection being comprised of
approximately 4,200 objects with a fair maduet value of approximately $6,000,000.
7. That the University provide all necessary fxtures for the facility, a an expense of
approximately $75,000, and maintain an annual operating budget far the facility of not less
than $200,000 and employ a minimum of four and one-half (4 Ver) full-time employees and
fifteen (15) work-study students from the greater Bangor community.
8. That upon occupancy of the Museum of Art and Visual Arts Center, the University shall be
responsible for all casts associated with Rs operation including staff costs, waster, sewer,
and electrical utilities, fire and casualty insurance, security and all other related costs.
9. That the University shall make available at least $42,000 of scholarships to cover tuidon and
fees for resident Bangor students per year for a period of not less than ten years as further
described in Attachment A W this agreement. The awards will be made to students as Tky
of Bangor Scholarships."
10. That the University shall undertake Is best efforts to insure that the Museum is opened on
or before December 31, 2002.
11. That the University shall agree to make its best efforts to maintain and operate has
University Museum of Art and Visual Arts Center in downtown Bangor for a minimum of 10
years from the data It opens.
12. That the City will gift to the University the sum of $400,000 W be paid out In the following
manner: after Ne University expends $300,000 on the costs of construction the University
shall submit Invoices for construction work completed m the City's Finance Director and the
City shall pay the invoices until such time as the City shall have Wanted $400,000.
IN WITNESS WHEREOF this Agreement has been executed, sealed and delivered in
duplicate counterparts as of Me day and year first above written.

CIN OF BANGOR SCHOLARSHIPS
City of Bangor Scholarships shall be awarded from the eligible applicant pool on the basis of
multiple factors, including but not necessarily limited to, financial nerm, academic
excellence, and special talents including creative accomplishment, athletic ability, and
service to the community.
Scholarships will be available to students in any major at the University of Maine.
The University and the City shall cooperate in publicizing the availability of these
scholarships.
In order to Insure that the total dollar amount of scholarships is awardetl annually, partial as
well as full scholarships may be awardetl depending upon the need and circumstances of
students.
The University will annually provide the City with a list of scholarship awards made under
this program and will cooperate with the City in publicizing and recognizing students
awarded such scholarships.
Initial scholarships will be awarded during Academic year 2003-2009.
