Currently, passenger security screening at Bangor International Airport is performed by City of Bangor,
Airport employees. The federal Transportation Security Hct requires Almort Security Screening be
conducted by federal employees by November of 2002. As a transition to the federal work force, the
Transportation Security Administration and the Airport would like to enter Into an agreement for the TSA
to reimburse the Airport for all expenses associated wRh providing security screening services.
Because of time contain o; the FAA needed the contract signed. This Resolve will ratify cite Airport
Director's execution of the document.
The Business & Economic Development Committee recommends approval by cite Council.

RESOLVED,
THAT the action of the Airport Director in executing a Letter Corroact
with the Federal Aviation Administration, dated February 12, 2002, for passenger screening Is
hereby ratified and confirmed. A copy of said Letter Contract is attached hereto.

Passenger Screening Contracts
This letter contract constitutes an authorization for the contractor to commence work on
the enclosed proposed contract, baggage -screening service; subject to the conditions
notedbelow. This liner contract is valid if and only if the contwhor accepts the
following conditions:
a. The parties hereby agree to the terms and conditions specified in the
proposed contract, Sections B -I of the Model Contract, Enclosure (4).
b. The Government hereby dircots baggage screening services to be performed
at the airports and screening locations listed on the attachment of your
proposal dated . This contract shall be definnized in
accordance with the dazes in AMS Clause 3 2 4-23, "Construct Price
Definitization (April 1996)" Enclosure (1). The armt of the Government
liability is specified in AMS Clause 3 2.4-n, "Lim@ation of Goverrunent
Liability (April 1996)" Enclosure (2). Expenditures above this amount are
notamborized. Conemcmiwhahcdobligationsine mssofthe
Government's fimhation of liability will be at the contractor's own risk
C. Work is authorized to begin at the daze of contractor acceptance of this letter.
d. This authorization is subject to FAA cost principles described in Part 3,32
of the FAA Acquisition Management System (AMS).
e. The contract for these services wtll be defnitized on a firm feed -price basis
with an incentive bonus.
f In the event of comrantemiination, calculation of payments will be in
accordance with the provisions of AMS Clause 3.10 6-3/alt4 Termination
(Cost-Reimbmsement) Alternate TV (Counter 1996).
g. The work authorized by this Inver contend is described in the enclosed
proposed Statement of Work (SOW), Section C of the Model Contract,
Enclosure (4).

not Clark (In accordance with Section 1,33.1 -IS Mandatory Information for
Electronic Funds Transfer (EFT) Pyment-Central Contracnar Registration (CCR)

3.2.423 Contract Frim Defiuitization
(a) An Fixed price, IDIQ contract is contemplated. The Contractor agrees to begin
promptly negotiating with the Contracting Ofncer the price and any prim related
terms of an IDIQ commit. The Contracmr agrees to submit a proposal and cost or
pricing data supporting its proposal.
(b) The schedule for negotiating the prim of this contract is:
1) Complete proposal due not later than 30 days after date of award.
2) Evaluation/negotiations complete 45 to 60 days sitar receipt of complete
proposal.
3) The target date for cornea award is 90 days after date of award.
(c) If agreement on the contract prim is not reached by the terga date in paragraph
(b) above, or within any extension of it granted by the Connecting Officer, the
Contracting Officer may, with the approval of the head of the contracting activity,
determine a reasonable price or fm, subject to Contractor appeal an provided in the
"Comram Disputes, clause. In any even, the Contractor shall proceed with
completion of the course, subject only to the "Limitation of FAA Liability' clause.
(1) After the Contracting Officers determination of price or fee, the contract shall be
governed by_
(i) All clauses required by the FAA Acquisition Management System on the date of
execution of this letter contract for either fixed-price or cost -reimbursement comraas,
as de mand by the Contracting Officer under this paragraph (c);
(h) All clauses required by law as of the date of the Contracting Offncees
determination; and
(u) Any other clauses, teems, and conditions mutually agreed upon

3.2.2.34 Audit and Records (April, 1996)
(a) As used in this Claus; mcnards' includes books, documents, accounting procedures
and practices, and otber data, regardless of type and regardless of whether such items
are ins ureas fore, in the form of computer data, or in any other form

(c) Cost or pricing data. If the Contractor has been required to submit cost or pricing
data in connection with any pricing action relating to this contmet, the Contracting
Officer or an authorized representatives of the Contracting Office, in order to
evaluate the accuracy, completeness, and cogency of the cost or pricing data, shall
have the right to examine and audit all ofthe.Cormactots records, including
computations and projections, related W-

negotiating;
(3) Pricing of the contract, subcontract, or modification; or

(e) Reports. If the Contractor is required to impish cost fundic& or performance

Officer shall have the right to examine and audit the supporting records and materials,
for the purpose of evaluating
(1) the effectiveness of the Coamatots policies and procedures to produce data
compatible with the objectives of these reports and
(2) the data reported
(f) Availability. The Cmtrautor shall make available at its office at all reasonable
times the records, materials and other evidence described in paragraphs (a), (b), (e),
(d), and (e) of this clause. for examination, audit or reproduction, until 3 years after
final payment under this comrac%or for any longer period required by statue or by
other clauses ofthis contract. In addition—
(1) Ifthis contract is completely or partially terminated, the records relating to the
work terminated shall be made available for 3 years after any resulting final
termination settlement; and
(2) Records relating to appeals under the "Contract Disputed clause or to litigation or
the settlement of contract disputes arising under or relating to this contract stall be
made available until such appeals, litigation, or courant disputes no finally resolved.
(g) The Contractor shall insert a clause containing all the terms of this clause,
including this paragraph (g), in all subcontracts under this context that exceed
$1,000,000, and
(1) that ame cog -reimbursement, incentive, time -and -materials, labor -hour, or price
redeterminable type or my combination of these;
(2) for which cost or pricing data are required, or
(3) that require the subcontractor ce furnish reports as discussed in paragraph (e) of
this clause.
This clause may be altered only as necessary to identify properly the contracting
parties and the Contracting Officer under the Government prime contract.
