The BNRC By-laws provide an opportunity for the City Council to make ex -officio appointments M the
Centers Board of Directors. The Me members, as specified in the By-laws, must be a City Councilor and
the Oty's Flnance Director. Councilor Allen, having recently served on the BNRC Board of Directors and
Debbie Cyr, aty Finance Director, have each expressed Interest In serving in Me ex -officio caPacgy. This
would provide continuity between Me Cry and the BNRC Board as City Solicitor Hemnann's term on the
Hoard recently expired.

Subject: Bangor Nursing and Rehabilitation Center Board of Directors
Date: January 24, 2002
With her recent election to the City Council, Anne Allen has resigned her position on the
Bangor Nursing and Rehabilitation Center (BNRC) Board of Directors.
The BNRC Bylaws provide for a City Councilor to be appointed as ex -officio member to
the BNRC Board. Anne has expressed interest in this opportunity, given her past
experience as an Advisory Committee Member to the predecessor Bangor City Nursing
Facility and her tenure on the BNRC Board of Directors.
Additionally, the BNRC Bylaws provide an opportunity for the City's Finance Director to
be appointed as an ex -officio member to the Board. Given the City's ongoing financial
relationship with the Center, as detailed in the Master Transaction Agreement between
the parties, consideration of appointing Ms. Cyr appears appropriate as well
I would note that as of the Center's Annual meeting held this month, Norm Heilmann's
term on the Board expired. Non was the only City of Bangor connection to the Board,
and consideration of the two ex -officio positions listed above would provide on-going
continuity between the City and Board.
If the Committee wishes W pursue and recommend these appointments, we can
prepare the necessary City Council agenda item for Inclusion on an upcoming Council
meeting agenda.
