WITNESSETH:

April 18, 2001(hereinafter "Comma"); and

Amendment the patties hereto agree as follows:
1. Consultant agrees be provide the persowel, supplies, equipment and labor naccaa m to perform

Services for the Waterfront and Front Street dated December 21, 2001 and proposal Addendum

2. Consultant shall submit invoices for payment in accordance with Section 9 of the Contract
3. Compensation: In addition to the compensation provided ren in Section 8 of the Comment, Me
City agrees to pay Consultant for Services and reimbursable expenses hereunder according to the
Proposed Scope of Services for the CRJA Design Teen contained in Exhibit A for professional
f on an hourly basis in an meant not to exceed $86,043 to MA and an mount not to exceed
$3,000 in reimbursable expenses; an amount nm to exceed 110,000 for professional fees on a
lump sum basis for Jon Roll & Associates for sign destim services and an amount not an exceed
$4,125 in reimbursable expenses; an amount not to exceed $17,500 for preparation of contract
documents and construction phase services to Jon Roll & Associates, Inc.; and an amount on an
hourly basis nor to exceed $54,015 for Bounce Consulting Engineering for marine related design
and engineering professional services and an amount not to exceed $950 N reimbursable
expanses. It is expressly agreed that the City shall receive all statements or bills for services
provided under Nis Amendment had shell and does gomantce full payment of the same to the
Consultant, provided that, in no case shell the total paymeam for the Services reluired for this

project exceed as established wml budget of $175,663 without the express written approval of the
City. Said statements or bills for services shall be sent to the City monthly, shall be submitted
separately from work performed under the April 18, 2001 Contract for professional Services,
services provided by CNA under this AmeMmenS and services provided by Jon Roll &
Associates aM Bourne Consulting Engineering under this ameadment, shall contain an
itemization of time by task and cost per msk on an hourly baso.
4. Except as otherwise stated in this Amendment the terms of the Contract for professional Services
dated April 18, 2001 remain unchanged and in full force and W=t.

Protect Team,
CRJA proposes to utilize the services of two subconsultants, Bourne Consulting Engineering for
the marine engineering work and Jon Roll & Associates for signage work As outlined in my
letter of 10.10.01, and discussed with you on the phone, below grade engineering work is
recommended for future large boat de -ups, and so final site improvements above will not have
to be reconstrucced In the future. We have not included a civil engineer on the team, as we
assume the City engineering staff will complete the utility and drainage work necessary for the
final bid set
Deign Issues for the Protect Area
Front Street from the Railroad tracks w the bridge intersection:
The CADD drawings for Front Street that CRJA prepares would also be utilized by the
City for review by a traffic engineer. The traffic issues on Front Street, however, are
minor. The design of Front Sweet would anticipate vehicular travel, bicycle lanes,
parking lanes, access no parking areas and future buildings, and recommended bus and
taxi pull -offs for the future Intermodal Center. The goal would be w build Front Street
in its final configuration. Sidewalks, sweet furniture, planting, lighting and signage would
also be designed in its final configuration. Street crossings would anticipate future
buildings. We assume that no work would be required at the railroad crossing and chat
the tracks would not be moved. We also assume that the City will take primary
responsibility for coordination with the railroad company and with abutters. We
estimate three sheets at 20 scale for this area
The Waterfront between the Water's Edee and Front Street
CRJA has discussed this area at length with Bourne Consulting Engineering, our war's
marine engineer. They believe that significant engineering improvements will need w be
made w the existing structures to support a major ferry loading dock and ferry, and off-
shore gangways and floats. These structures would be land -ward of the eximng sheet
piling, and therefore finished surface improvements should be constructed after the
engineering improvements. CRJA has requested a fee proposal from Bourne Consulting
Engineering to design these improvements to a 30% level (attached). To start work
BCE will need the as -built drawings or the construction drawings for the existing sheet
piling.
The Waterfront Promenade Surface Treatmene
The waterfront promenade, the area at the sheet piling to approximately 20' inland,
would be designed in its final configuration. This would include a pile cap to receive a
new railing and pavement lights, site furnishings, and the retaining wall shown in the
Master Plan, which is needed to create the plateau on which the buildings would sit so
their finish floor elevation is above the 100 -year flood elevation. Ramps and handrails
between promenade and upper elevation would be included. This water's edge would
include anticipation of future dock connections. Minimal work would be included along

the water's edge behind the Sea Dog and its parking, and would Include pavement and
railing repair as needed, planning, lighting and signage.
The Area for Future Buildings
CRJA proposes that the plaza located between the Maine Products Pavilion and the
Intermodal Center is constructed in approximately in final configuration. This plan is
to receive flagpoles and special feature, and provides the continuous view to the water
from Main Street The area of the Maine Products Pavilion and Intermodal Center
would be graded and seeded for use as festival space. The area of the existing gravel
parking area would presumably remain as surface parking, adjacent to the
Harbormaster's building that would also remain.
Phase One Process and Schedule:
Schematic Design
To begin work CRJA requesn receipt of the updated electronic survey from Ames, and of the
as -built or construction drawings from the Engineering Department Our first task is to input
the improvements shown on the Master Plan into CADD, and then we would like to discuss
with you these alignments. At this point. the City may wish to engage a traffic engineer to
review roadway widths. tragic issues, etc.
CRJA would then prepare a cost estimate, which would confirm the cost estlmate attached an
this proposal, and would also allow us the opportunity to perform value engineering tasks. We
assume that at this point there would be several rounds of suggestions of revised materials,
with associated costs, to bring the project Into the character and budget that is acceptable to
the City. At this point we are not redesigning the configuration of the street and site elements
(unless the survey reveals something unexpected), but rather a discussion of materials relative
to their cost The goal Is that by the end of schematic design there is a confirmation of the
erall project and its budget The deliverables for schematic design will be a CADD plan
showing the site improvements, some sections Nat illustrate Intent, and a cost estimate. CRJA
requests the City's autlhorization of this work prior to beginning design development We are
assuming one meeting in Bangor during this phase.
Design Development
CRJA will utilize the schematic plans to more fully flush out the site improvements. layout,
Materials, and Grading will be developed. The grading plans will identify low points for the City
to use in the creation of drainage plans at a later date. We will prepare outline details, and a
full specification for our work, and a final design development cost estimate. We are assuming
one meeting in Bangor during Nis phase.
Subconsultmis
CRJA will coordinate the work of two subconsulmnts Jon Roll's signage work will develop
within pace of Ne overall project: however his scope will continue through contract documents
and construction of the new signage. We asked him for these services to assist the City with

the follow through execution of the new signage system for the waterfront for which the
success of the first phase is critical. We will also coordinate with Bourne Consulting
Engineering and incorporate their engineering work into the developmem of the promenade.
They will take their work to 30% CD completion. The City may choose to complete their
work, or to ask them to finalize the derails and specifications. CRJA is responsible for managing
the time and deliverables of these two subconsultants.
Schedule
CRJA can perform the services outlined in this project In approximately a three-month time
frame following authorization to proceed and receipt of the survey and the sheet piling
drawings. We could work in January, February and March, and turn the drawings over to the
Engineering Department by the end of March. We may be able to do this work more quickly d
that is necessary.
Phase One Deliverables
CRJA is proposing deliverables for the Design Development Phase that would Identify the
materials, grading, and technical Issues for the project and provide a refined cost estimate. This
package would be further developed by the City Engineering Department or by CRJA if so
requested by the City. CRJA requests an updated survey for this work Deliverables for this
phase would include (all drawings on CADD to City standards):
• Layout and Materials Plans
• Grading Plans (CRJA would prepare surface grading and Identify low points and rim
elev idons. We assume the City Engineer would provide drainage design in a later phase)
• Planting Plans
• Site Detalls, to Include: pavements, curbing (based in City standards), swiping, curb rumps,
she walls, romps and steps, waterfront railing, lighting (wiring to be provided by an electrical
engineer retained by the City in lacer phase), flagpoles, site furnishings, planting and signage.
Signage: CRJA has obrzined a fee proposal from Jon Roll Associates so provide final design
and implementation of the new City signs. We feel It is important to Include this work
beyond the design development phase as the City may not have the experience with final
design of signage of this type, and because we feel it is critical to the success of this project
that final signage be included in Phase One. See the attached fee proposal from JRA.
• Specifications to include Paving and Curbing, Site Improvements, Miscellaneous Meals
Lawns and Planting. We assume Nat in the subsequent final design phase the City would
prepare Ne "front end' as well as the earthwork electrical and drainage sections.
• Schematic Design and Design Development Con Estimates in unit price format as directed
by the City.
• Two meetings In Bangor and coordination with City departments and pertinent City
cansuiants.

• CRJA would deliver the materials in hard copy (ane copy) and in electronic format to the
City of Bangor.
Phase One Fees
Per the attached cost estimate, CRJA has identified an approximate construction cost of
$5,557,712 for both the waterfront ($4,093,915) and Front Street ($1,463,797). As outlined in
my letter of 10/10/01, professional fees for a project with marine engineering complexity may
reasonably be assumed to be 9% of the total budget. Schematic design and design development
phases would be 30% of that fee, or$ 150,058. Therefore, CRJA proposes the following
breakdown of fee:
Schematic Design and Design Development:
CRJA $86.043.
BCE $54,015.
IRA $10.000.
Total $150,058.
Contract Documents / Construction Phase Services:
JRA $17,500.
Reimbursable Expense Budgets:
CRJA $3,000.
BCE $ 950.
IRA $4125
Total $8,075 (please nate that according to our records. CRJA has spent $31k of our $121k
expense budget)
In summary, The CRJA Design Team proposes a total of $167,558 for professional
se"ice fees, and a budget of $8,075 far reimbursable expenses, for a total of
$175,663. CRJA and BCE would provide these services on an hourly basis to the upset limits
noted above. Jon Roll Associates would work on a lump sum agreement for the deliverables
noted in their letter. Invoices would be submitted monthly indicating these hours, plus any
expenses. Payment is due within 30 days of receipt
We have not included any time to assist with permitting for this project: we assume that our
delverables can be used by the City of Bangor in hs permuting efforts.

CRJA proposes that this work be provided as a concoct amendment to our current contract
with the City of Bangor for the waterfront project. We note that our current concoct
includes athird phase of work that was to include delineation of Phase One work We assume
that the remaining unspent $10.000 fee could be applied towards this new work. We also have
remaining approximately $18,000 in the Master Plan project (work has been halted temporarily

Please attach this memo to the CRJA proposal dated December 21, 2001 for design
work on the Waterfront and Front Street. The following paragraph supercedes the
paragraph on page 1 of 6 entitled "Project Area":
The project area is partially delineated in the attached "Phase One Diagram", and
includes the waterfront from the end of the new sheetpiling to just beyond the
Chamberlain Bridge, and on the land side from the RR track crossing along Front
Street to the Chamberlain Bridge. The project area does not include the existing
restaurant, parking area, and area of the proposed entertainment building. The
project area also includes the land from the Chamberlain Bridge to the intersection
of Bangor Alley and Broad Street. Design work will be performed on the streetscape
and on the pedestrian connection along the Kenduskeag Stream up to the Bangor
Alley.
I believe that this summarizes the revisions to the project area we discussed at our
meeting in Bangor on the 18th of January. As discussed, the project area is being
revised with no change in the proposed fee. Please do not hesitate to call should you
have any questions.
