Responsible Impartment: Airport
Commentary: The Airport and Republic wish to modify the management
agreement in three ways. We wish W recognise that the truck that is used in the
operations is owned by Republic. We also wish W classify expenses for Republic
employees doing snow plowing as "City expenses". In doing so, this will increase
the incentive to Republic by an estimated $50/ per year but will also encourage
them to use employees rather than the more expensive contract anowplowing
service. We also will be paying the Incentive based on an annual amount rather
than a monthly amount. This levels out the peaks and valleys seen in revenues
and expenses and will actually save the Airport fonds.

THAT
WHEREAS, The City of Bangor and Republic Parking System, Inc. are parties to a Management
Agreement, Bangor Intemational Panting Lot dated October 15, 1996; and
WHEREAS, the agreement has been extended; and
WHEREAS, the City and Republic Parking System, Inc. wish to make a mutually benencal
amendment to the agreement,
NOW, THEREFORE, BE IT ORDERED BY THE CITY COUNCIL OF THE CITY OF BANGOR THAT
The City Manager be authorized to execute on behalf of the City of Bangor a Second
Amendment to the Management Agreement Bangor Imemational Panting Lot between the City
of Bangor and Republic Parking System Inc.

SECOND AMENDMENT TO MANAGEMENT AGREEMENT
BANGOR INTERNATIONAL PARKING LOT
This Second Amendment to Management Agreement Bangs International
Perking Lot, executed in duplicate this_ day of November, 2011 by and between:
The City of Bangor, a municipal corporation organized and coming under
and by virtue of the laws of the State of Maine, and having its principal
offices at 73 Barlow Street, Bangor, Maine (hereinafter referred on as the
City)
AND
Republic Parking System, Inc., a corporation duly organized and existing
under the laws of the Some of Tennessee (hereinafkr referred to as the
Operator)
WH ESSTH
WHEREAS, the City and the Operator are parties to a Management Ageement, Bangor
International Parking Int, (hereinafter referred to as Agreement) dated October 15,1996;
and
WHEREAS, the parties have extended the term of the Ageement; and
WHEREAS, the City and the Operator have agreed to amend certain provisions of the
Agreement effective November 1, 2001;
NOW, THEREFORE, the parties do mutually agree to amend the Agreement as follows:
ARTICLE IV
MAINTENANCE OF THE PARKING FACMITY
Section 4.05 Supplies and Equipment shall be amendeti by adding the following:
"The parties acknowledge that the Operator supplies Oe vehicles used in the
operation ofthe parking lot and holds title to the vehicles. Title to the vehicles shall
remain with the Operator upon termination ofdds Agreement"
ARTICLE X
REIMBURSEMENT OF AND COMPENSATION FOR THE OPERATOR
10.01 Definitions stat he amended by adding the following:

"(c) Snow removal that is performed by the Operator's employees using the Operator's
vehicles shall be deemed to be "City Expemes".
The expense shall have two components: the cost of the plow truck and the cost of
employees while performing snow removal functions The hourly charge for the use of
the truck will he $7.50. The payroll cost will include the hourly wages of Nose
employees Performing snow removal functions plus all associated payroll taxes including
cost of worker compensation. These totals will be reclassified from service vehicles and
operating cost and salaries and wages and charged to the snowplowing cost center.
Records documenting the calculation shall be made available to the City monthly, It is to
be noted that this is a reclassification only and does not increase the cost to the City.
The monddy operating report shall show separately me cost of snow removal
performed by the Operator sad all outside contractors"
Section 10.02 Operator's Fee and Payments shall be amended by deleting Section (c) in
its entirety and replacing it with the following:
"As an additional fee, Opens a will receive tea (10%) percent of the Net
Operating Surplus, defined as Gross Revenues less Operator Expenses, from the
operation of the Packing Facilities above $480,000 per Agreement year (November t —
Ocraber3l). This additional fee shall be paid on a monthly basis, based ontlre operating
surplus above $40,000 for the month, and be adjusted every quarter."
Each and every other provision of the Agreement shall remain in full farce and
effect.
