Commentary:
The Town of Herman contracts with the Waste Water Treatment facility for inspection and
mahaenanoe of several of Hurricanes pump stations. The prior agreement has expired, and the Town of
Hermon is prepared to sign a new contract for services until July 31, 2008. The proposed contractrequires
Henson to pay $750 per month ($9,000 per year) for impection and maintenance services. This amount will
be subject to an ammual review and adjusted in accordance with a consumer price index. Additionally,
Hermon will pay $500 month into the Bangor SCADA(monitoring) system. --
The t&DS Committee reummended approval at its August 12, 2003 meeting. -

AGREBM Tmade this IGfh day of July, 2003, by and between the CITY OF
BANGOR(hereinafter "Barrgoel and the INHABITANTS OF THE TOWN OF H ON
(hereinafter "Hermon', both municipal corporations located in the County of Penobscot, State
of Maine.
WITNESSETH:
In consideration of the payments and terms and conditions berein, the parties agree as
follows:
1. Bangor shall inspect and maintain pumping stations now or to be located as
appunenamces to the municipally -owned sanitary sewer systems located within the boundaries of
Hermon for aperiod commencing August 1, 2003 and expiring July 31, 2008, said inspection
and maintenance services being described on Exhibit"A"attached hereto.
2. Harman shall pay Bangor Nine ThousatW($9,000.00) Dollars per year for the
servicesdeseribedin Fxldbit"A". Said payment shall be made in twelve (12) equal monthly
payments of Seven Hundred and Fifty ($750.00) Dollars due within thirty (30) days ofmccipt of
statement of each month thereafter.
The amount of the compensation will be subject to review amually with
adjustment to the amount effective on the amdvetsa ofthis Contract. This adjustment shall be
based on the arcual percentage change in the Consumer Price Index for Urban Wage Fomera
and Clerical Workers (M -W) for the U.S. City average, as of the second month prior to the
amuvetsary data of this Contract. If that index is discontinued or not published, the 0" 11 use
an equivalent price adjustment index.
In the event that the CPI -W is less than 3% than the annual adjustment shall be
3%. In the event the CPI -W is greener than 5%, than the =ad adjustment shall be 5%.
3. Any mainemnce performed by Bangor out included in Exhibit"A'sball be
billed m Hermon at an hourly rate plus overhead. Any maintenance not included in Exhibit "N'
must fast be approved by the Director of Public Wmksf the Town of Harmer or his designee,
provided that, however, emergency maintenance dewed necessary to prevent violation of the
Town ofHernon's State and/or Federal Pemdts maybe performed without prior approval.
4.Hermon shall pay b Bangor Five Hundred ($ 500.00) Dollars per year, billed
monthly, to be included or Bangor SCADA System.
S. For purposes of performing the inspection and maintenance provided herein,
Bangor shall be dewed to be the slum of Hermon, and Herron shall indemnify and hold
harmless Burger, its inhabitants, offices and employecs, from any liability for any claim,
damage or penalty arising or resulting within the boundaries of said Harmon for or from any of
the following causes:
(a) violation ofmyhand, state or federal laws;
(b) damages to the property of the Town of Hanover,
_ including its municipal sewer system;
(c) damages to the propeny or sewer system arising as
the result of my failure of my par[ of the sewer
system, or
(d) injury to third persons or dwage to property,
arising out of or as the result of Bangor's providing
the services described herein.

6. This Agreemmt may be terninazed without cause by either patty upon sixty (60)
days notice to the other.
