The Airport Department has negotiated a lease agreement with life Flight of Maine as the
first tenant in the airports new corporate and general aviation hangar. The tens of the
lease is for an original one year period with four additional annual self -renewal periods
unless either party gives notice of termination at least 90 days prior to the annual
termination date. The lease rate is $2,675 per month. Life Flight will lease one of the three
bays in this new hangar. The lease rate for this bay is somewhat higher than will be
charged for the others because of some additional interior fit out which was done for the
tenant.
This lease has been reviewed and approved by the Airport Comm'Rtee. It Comes to the Full
Council far approval because the term may extend beyond three years.

This Indenture of Leese, executed in duplicate, is made and entered into this 1" day of
February, 2000, by and between:
CITY OF BANGOR, a municipal corporation organized anal existing under the laws
of the Stare of Maine, and having its principal offices at 73 Harlow Street, Bangor, Maine
(heremafta "Lessor'),
and
LIFE FLIGHT OF MAINE, LLC, a Maine Limited Liability Company having a
place ofbusiness m Bangor, CountyofPenobscoS State of Maine (hereinafter "Leased').

WHEREAS, the Lessor is the owner of land and an aviation hangar a Bangor International
Airport N the City of Bangor, County of Penobscot, and State of Maine; and
WHEREAS, Life Flight of Mame desires 0 lease a hangar to house its emergency
helicopter,
NOW, THEREFORE, is consideratian of the rents herein reserved and covenants contained
harem, the CITY OF BANGOR hereby leases to LIFE FLIGHT OF MANE, LLC, tine premises
described below upon the followingterms and conditions:
Article I - Premises
The Lessor, for and in consideration of the rents to be paid and the obligations b be
performed by Less" as hereinafter provided, does hereby demise and Issue into Lessee, and the
Lessee does hereby take and him, upon and subject to the tams and conditions hereinafter
axpressed, the following described premises located off Texas Avenue, in du Bangor International
Airport in the City of Bangor, viz:
Bay I of Building 123 (also known as the Corporate Aviation Hangar), as shown
in Exhibits A and B, said Bay consisting of approximately 3,600 square feet.

Article B -Tam of Lease
TO HAVE AND TO HOLD the demised premises unto the Lessee for the term one (1)
year, commencing on 1° February, 20M and terminating on January 31, 2001, unless sooner
terminated in accordance with Article XIX below. This Lease shall selErecew without further
actions of the parties fa four (4) additional one-year terms unleas terminated by either party by
giving notice of termination at least 90 days prior to the annual termination date.
Article 111 -Rent
Lessee shall pay reat an Lessor in We amount of Thirty-two Thousand Ove Hundred Dollars
($32,100.00) per year, payable in twelve (12) installments of Two Tbousand Suc Hundred and
Seventy-five Dollars ($2,675.00) for the use and occupancy of the demised premises, to be paid on
the fust day of each month, without prior demand therefor.

Lessee shall pay the cost of all utilities famished and consumed on the demised premises,
including electricity, gas, heat, water and sow"wer fees. Lessee acceptsallutility, fixtures as they
now exist. All sew utility fixtures shall be insmlled and inamorata by Lessee. Lessee is
responsible for all rubbish removal.
Article V - Use. Gaictranacy & Afteramon to front
A. Lessee shall have the right to use, occupy end maintain the demised premises in a
reasonably businesslike, careful, clean, and reasonably safe manner for the purposes of parking an
atrcraft owned or operated by Lessee and the storage of parts and materials of use m the operation

B. Lessee is entitled m park the aircraft outside the home at no cost, providing no
odor aircraft occupies the leased space. Ldsor reserves the right to charge parking fees for
additional aimmft housed outside of the hangar when another aircraft occupies the leased space.
C. Lesace may wash ahcmR within the confines of the lessen space provided no
pressurized `power washing" system is used and drainage rakes piece via the installed floor drains.
No liquids arbor than water or water with soap residue shall be directed into the floor drains.
Lessee hereby agues to reimburse the Bangor International Airport for any finos levied against it as
the resWt of Lessee's use of the floor drams.
D. Mortgages activity shall be limited to minor repass. Major repairs such as
ah4emecrengineoverhaud, spraymadming (otherthimminar"tousih-ul is Prohibited.
E. Lessee may park up to four (4) vehicles the "GA Parking Lot," located adjacent to
Building 123, on an overnight basis. Bounded parking (i.e., more then five nights) most be
reported to the Airport's GA staff. Lessee hereby acknowledges met Lessor is not responsible for
my vehicle picked in the GA parking lot.
F. Lessee may obtain approval for morn, stews for up to two vehicles from the Airport
Department. Such vehicles most display We issued decals at all times when used within the
Airport's secured area and may not be operated outside of the immediate vicinity of the Building
123. Said vehicles must also be operated or be ander the control of a person authorized by the
