Item/Subject: Order, Authorizing the City Manager to Execute a One-year Agreement in the
Amount of $18,000 between the City of Bangor and Eastern Maine Community College to
Provide BAT Community Connector Transit Services to the College

Commentary: Under the agreement Eastern Maine Community College will pay $18,000 to the City for
Transit service for students and staff who would be permitted to ride within the transit system fare free.
Eastern Maine Community College and BAT Community Connector have reached a one-year agreement
which would allow for the college m pay a lump sum for unlimited rides for their students and staff.
This is similar to an existing agreement in place between the University of Maine and BAT Community
Connector. The term of the agreement Is for one year, beginning August 1, 2011 and expiring July 30,
2012.
This Agreement has been reviewed and unanimously recommended for approval by the Government
Operations Committee.

BE IT ORDERED BY THE CITY COUNCIL OF THE CITY OF BANGOR THAT: the
City Manager is hereby authorized to execute a one-year agreement between the City
of Bangor and Eastern Maine Community College to provide transit services to students
and staff in accordance with the attached agreement between the parties.

MEMORANDUM OF AGREEMENT
BETWEEN
CITYOFBANGOR
AND
EASTERN MAINE COMMUNITY COLLEGE
I. PARTIES
The Parties to this Memorandum of Agreement are City of Bangor (`City') and Eastern Maine
Community College (College").
II. TERM
This Agreement shall take effect on August 1, 2011 and, unless sooner terminated as set forth
below, expire on July 30, 2012
III. CITY OBLIGATIONS
The City will:
A. Two and operate a transportation service known as BAT Community Connector
("BAT CC");
B. Provide to College students and staff fate -free rides on all BAT CC routes upon
presentation are valid College identification card; and
C. Track such College student aM staff usage of BAT CC.
IV. COLLEGE OBLIGATIONS

The College will:
A. Promote the use of the BAT CC to its students and staff;
B. Upon timely invoice by City, pay to City Nine Thousand Dollars ($9,000.00) on
August I, 2011 and, subject to the review set forth below, an additional Nine
Thousand Dollars ($9,000.00) on February 2, 2012 as consideration for all above
ref ame,rd College students and staff riding on the BAT CC without payment of
any additional fares or other charges; and

V. REVIEW
The Parties will review the effects of this Agreement in December of 2011. If College use of the
BAT CC service appears at that time to have been Roper to be meaningfully less than the
Parties' reasonable projections, City agrees to consider College's reasonable request to equitably
adjust the payment due on February, 2, 2012.
VI. TERMINATION
This Agreement may be terminated or suspended by either party with thirty (30) days' written
notice. Any fees owed by College shall will he equitably prorated and promptly paid by the
College to the City.
