Item/Subject: ORDER, Authorizing the Execution of a Second Amended Employment
Agreement between the City of Bangor and Robert W. Farrar, Interim City Manager

Commentary: In January, the City Council entered into an employment agreement with Bob
Farrar to serve as Interim City Manager. The agreement stipulated among other terms that,
should a new City Manager not be in place by October 1St, the parties would meet to discuss
whether Mr. Farrar's service would continue and, if so, under what additional terms and
conditions.
Late last month, Mr. Farrar and the City Council met to discuss this issue. The parties have
agreed to extend the term of Interim City Manager until a new City Manager is hired or until
December 31St, whichever occurs first, and have agreed to a stipend for the additional work,
duties and responsibilities that have been assumed and performed during the period.

(TITLE.) ORDER, Authorizing the Execution of a Second Amended Employment
Agreement between the City of Bangor and Robert W. Farrar, Interim City Manager
ORDERED, THAT
WHEREAS, on January 12, 2010, the Bangor City Council entered into an Employment
Agreement with Robert W. Farrar to assume the position of Interim City
Manager, and
WHEREAS, the Agreement stipulated that if a new City Manager was not in place by
October 1, 2010, the parties would meet to determine whether Mr. Farrar
would continue and, if so, under what additional terms and conditions, if
any; and
WHEREAS, the parties have now met and have agreed to certain changes in the
Employment Agreement including terms and compensation.
NOW, THEREFORE, BE IT ORDERED THAT the Chair of the Bangor City Council is
hereby authorized to execute a Second Amended Employment Agreement
between the City of Bangor and Robert W. Farrar outlining revised terms
and agreements related to his continuing appointment as Interim City
Manager, a copy of which is attached hereto.

This Second Employment Agreement Amendment made and entered into this
day of October 2010 by and between the City of Bangor, Maine, a municipal
corporation, sometimes referred to as "Employer" and Robert W. Farrar, 30 Saratoga
Avenue, Bangor, Maine, sometimes referred to as "Employee."
WITNESSETH:
Whereas, the Employer and Employee have reached agreement to amend the
current Employment Agreement (Amendment #1) to incorporate various
changes; and
Whereas, these changes reflect modifications to Section 4, Recruitment Process and
Section 9, Compensation; and
Whereas, all other terms and conditions of the first amended Employment
Agreement between Employer and Employee shall remain in full force and
effect.
Now, Therefore, in consideration of the mutual covenants contained herein, the parties
agree to amend the current Employment Agreement as follows:
4. Recruitment Process
Employer agrees to proceed in a timely and orderly process to recruit and select
a new City Manager. Should a new City Manager not be in place by 9eteberT
24-�9 January 1, 2011, Employer and Employee agreed to meet and discuss
whether Employee will continue in an interim capacity, and under what additional
terms and conditions, if any.

In recognition of the additional duties, responsibilities and workload assumed bu
Employee, Employer has offered and Employee has accepted a stipend of Two
Thousand Dollars ($2,000) per month for the period retroactive to January 3,
2010 and continuing through December 31, 2010 in addition to Employee's
established base pay amount.
All other terms and conditions of Employment Agreement will remain in full force
and effect.
IT WITNESS WHEREOF, the City of Bangor has caused this Employment Agreement
Amendment to be signed and executed in its behalf by its Council Chair, and duly
attested by its City Clerk, and the Employee has signed and executed this Agreement
both in duplicate, the day and year first written above.
