Maine Aero Services, Inc.

Commentary:
The City of Bangor and Maine Aero Services, Inc. are parties to a lease dated August 1, 2012
wherein Maine Aero Services, Inc. leases a hangar from the City of Bangor. Maine Aero would
like to insulate a portion of the hangar. This will improve the building to the benefit of the City
of Bangor. Maine Aero proposes to initially pay for the insulation and for the City to contribute
half of the cost through a credit against future rent. The cost to the City would be $4,550.
This Order, if approved, will authorize the City Manager to execute an amendment to the August
1, 2012 lease between the City and Maine Aero Services, Inc.

(TITLE.) ORDER, Authorizing Execution of First Amendment to Indenture of Lease — Maine
Aero Services, Inc.
WHEREAS, the City of Bangor and Maine Aero Services, Inc. are parties to a lease dated August
1, 2012 wherein Maine Aero Services, Inc. leases a hangar from the City of Bangor; and
WHEREAS, Maine Aero Services, Inc. would like to insulate a portion of the hangar and it will
improve the building to the benefit of the City of Bangor; and
WHEREAS, it is in the best interest of the City to share in the cost of said insulation of the
building.

ORDERED,
That Catherine M. Conlow, City Manager, is hereby authorized on behalf of the City of Bangor
to execute a First Amendment to Indenture of Lease by and between the City of Bangor and
Maine Aero Services, Inc. Said Amendment shall be insubstantially the same form as attached
hereto and in a final form as approved by the City Solicitor or Assistant City Solicitor.

THIS AGREEMENT, made and entered into this date by and between City of Bangor, ME

hereinafter called the Lessor, and the UNITED STATES OF AMERICA, hereinafter called the Government:
WHEREAS, the parties hereto desire to amend the above Lease. .
NOW THEREFORE, these parties for the considerations hereinafter mentioned covenant and agree that the said Lease is
amended, effective as follows:
1. Term: To extend the lease term by striking date of "January 14, 2013" contained in Part II paragraph B, "Term"
of the Lease No. LME04592 and substituting the date "January 14, 2014," with cancellation rights upon 5 days
written notice to the Lessor.
All other terms and conditions of the lease shall remain in force and effect.

FIRST AMENDMENT TO INDENTURE OF LEASE
This Amendment to Indenture of Lease, executed in duplicate, this day of
2013 by and between the City of Bangor and Maine Aero Services, Inc.
WITNESSETH:
WHEREAS, the City of Bangor and Maine Aero Services, Inc. are parties to a lease dated
August 1, 2012 wherein Maine Aero Services, Inc. leases certain building space from the City of
Bangor; and
WHEREAS, Maine Aero Services, Inc. would like to insulate said building to make it
more energy efficient; and
and
WHEREAS, the insulation of said building is in the best interest of the City of Bangor;
WHEREAS, the parties have agreed to share the cost of insulating said building.
NOW, THEREFORE, the parties agree to amend the Indenture of Lease by and between the
parties dated August 1, 2012 as follows:
By adding the following to Article III, Rental:
"E. Lessor agrees that Lessee may insulate the within described premises before April 1,
2013. Upon completion of the insulation to the satisfaction of the Lessor, the Lessee shall
receive credit of the full amount of the monthly rent ($2,722.00) after the completion of the
insulation and a credit of $1,828 against the second month's rent due after completion of the
insulation."
In all other respects the Indenture of Lease between the parties remains in full force and effect.
