Contract from the Maine Military Authority to Loring Industries

Commentary:
In December of 2015, the City entered into a contract with the Maine Military Authority (MMA)
for the purchase and rehabilitation of several buses — so-called "end -of -life" overhauls. The
buses were purchased in Texas and delivered to the MMA facility in Limestone.
MMA has expressed an interest in assigning the contract to Loring Industries (Loring).
Additionally, the City, MMA and Loring have also asked to amend certain terms of the contract.
In order to ensure the City receives its four buses, but remains in compliance with federal
regulations, staff recommends allowing assignment and amendment of the contract under the
following terms:
• The contract is assigned in its current form from MMA to Loring,
• The City then signs an amendment with Loring as a separate document.
• The amendment includes language allowing for certain parts to be inspected and
replaced only as necessary, as opposed to automatically replaced.
• The amendment will also include certain required federal contract clauses.
This item was discussed at the Finance Committee meeting on January 3, 2017.

CITY OF BANGOR
ORDER, Authorizing the Assignment and Amendment of a Bus Rehabilitation Contract from the
Maine Military Authority to Loring Industries
WHEREAS, on December 4, 2015, the City of Bangor entered into a contract with the Maine
Military Authority for the purchase and rehabilitation of several buses;
WHEREAS,, the ability of the Maine Military Authority to finish this project is now compromised,
in light of difficulties and fiscal constraints that have been created by an unrelated
project;
WHEREAS, the Maine Military Authority has expressed an interest in assigning the contract to
Loring Industries in order to ensure its completion;
WHEREAS,, due to the lack of corrosion in the buses that were procured for the contract, a
number of parts may not need to be replaced as had originally been anticipated; and
WHEREAS, this opportunity should be taken to add certain federal contract clauses to the
contract;
BE IT ORDERED BY THE CITY COUNCIL OF THE CITY OF BANGOR, THAT
The City Manager is hereby authorized to sign documents allowing the Maine Military Authority
to assign its contract with the City of Bangor to Loring Industries, and further to sign an
amendment of said contract. Said amendment shall include language allowing for certain parts
to be inspected and replaced only as necessary, and shall include additional federal contract
clauses. All documents shall be in final form as approved by the City Solicitor or Assistant City
Solicitor.
