EASEMENT DEED
KNOW ALL MEN BY THESE PRESENTS, that the City of Bangor, a municipal
corporation organized and existing under law by virtue of the laws of the State of Maine with a
mailing address of 73 Harlow Street, Bangor, Maine, attention: Debbie Laurie, City Manager
(hereinafter the "Grantor")in consideration of One Dollar and other valuable considerations paid
by Bangor Savings Bank, a Maine bank, with a mailing address of 24 Hamlin Way, P.O. Box
930, Bangor, Maine 04402-0930, Attention: Wendy L. Durrah, Senior Vice President and Chief
of Staff(hereinafter the "Grantee"), the receipt and sufficiency whereof they do hereby
acknowledge, does hereby GIVE, GRANT, BARGAIN, SELL AND CONVEY unto said
Grantee, its successors and assigns forever, a non-exclusive perpetual appurtenant pedestrian
access right of way and easement(the "Pedestrian Easement") over a portion of Grantor's land
adjacent to 36 Pleasant Street, in the City of Bangor, County of Penobscot and State of Maine, as
more particularly described on Exhibit A attached hereto and made a part hereof(the"Pedestrian
Easement Area"), for use in common with the Grantor, its successors and assigns.
The Pedestrian Easement, as may be improved by Grantee, its successors or assigns, shall
be for all purposes now or hereafter customary for a pedestrian right of way. Together with the
right to construct, repair, improve and maintain the Pedestrian Easement Area for such purposes
of a pedestrian right of way.
Grantor, its successors and assigns further grants to Grantee, its successors and assigns:
A. The right to grade the Pedestrian Easement Area to the full width thereof to such
extent as Grantee, its successors and assigns may find reasonably necessary.
B. The right of constructing, maintaining and using the Pedestrian Easement Area for
the installation and maintenance of all such utilities as Grantee may deem necessary in the
exercise of its rights.
C. The right from time to time to trim, cut down, and clear away and any trees and
brush now or hereafter on the Pedestrian Easement Area which may interfere with the exercise of
Grantee's rights hereunder.
D. A temporary construction easement(the"Temporary Easement") over a portion
of Grantor's land situated adjacentto 36 Pleasant Street, in the City of Bangor, County of
Penobscot and State of Maine, as more particularly described on Exhibit A-1 attached hereto and

made a part hereof(the "Temporary Easement Area") for the purposes of installing a concrete
foundation that is at least two (2) feet below the current grade of the Temporary Easement Area
(the"Foundation"), as well as a temporary steel structure (the "Temporary Structure")to support
a masonry/rock retaining wall and farade that is immediately adjacent to the Pedestrian
Easement Area.
Grantee for itself and its successors and assigns, agrees that Grantee is solely responsible
to defend, indemnify, and hold harmless Grantor, its successors and assigns, from any and all
claims, demands, lawsuits, and liability resulting from Grantee's construction and installation of
the Foundation, Temporary Structure, the masonry/rock retaining wall and farade, the walkway
for the Pedestrian Easement Area, and any related construction and maintenance, except with
respect to any claims, demands, lawsuits and liability that arise as a result of Grantor's gross
negligence, or intentional acts. With respect to any claims, demands, or lawsuits asserted against
Grantor, its successors and assigns, except those resulting from Grantor's gross negligence or
intentional acts, Grantee, for itself and its successors and assigns, agrees to waive any immunity
it may have under the Maine Workers Compensation Act with regard to such claims made or
asserted by Grantee's agents, servants, or employees. Promptly following Grantee's completion
of the improvements within the Pedestrian Easement Area, Grantee shall remove the Temporary
Structure, and restore the Temporary Easement Area to its original condition (or substantially
similar condition). For the avoidance of doubt, Grantee shall have the right to lea�e the
Foundation in place, and shall have no obligation to remove the same following completion of its
construction.
Grantee, its successors and assigns, hereby covenants and agrees that all such installation,
construction, replacement, maintenance and repair shall be conducted in a good and
workmanlike manner and that any damage or disturbance to said strip caused by any such
entrance and work shall be promptly remedied and repaired;provided, further, however, that
nothing herein shall be deemed to prohibit, or in any manner restrict, the right of Grantee, its
successors and assigns, to enter upon the easement for the purposes hereinbefore set forth.
Grantee, its successors and assigns, agree not to erect or construct a building of any kind, or
other permanent structure other than the below grade Foundation and the masonry/rock retaining
wall and facade, on the Pedestrian Easement Area.

Reserving to the Grantor, its successors and assigns, the use and enjoyment of the
Pedestrian Easement Area for all such purposes as will not unreasonably interfere with the
perpetual use thereof by the Grantee, its successors and assigns, for the purposes herein
mentioned. Grantor, its successors and assigns, shall erect or construct no building of any kind
or other permanent structure and shall not otherwise unreasonably interfere with or disrupt
Grantee's use of the right of way and easement conveyed hereby, without the express written
consent of Grantee, its successors and assigns.
The right of way and easement granted herein shall be constructed and maintained by
Grantee in a good and workmanlike manner, and made and kept safe at the Grantee' sole
expense. Grantee, its successors and assigns, agree to defend, indemnify, and hold harmless
Grantor, its successors and assigns, from any and all claims, demands, lawsuits and liability
resulting from the construction, maintenance, and/or repair of the Pedestrian Easement Area in
perpetuity, except those resulting from Grantor's gross negligence or intentional acts. With
respect to any claims asserted against Grantor, its successors or assigns, except those resulting
from Grantor's gross negligence or intentional acts, Grantee, its successors and assigns, agree to
waive any and all immunity they may have under the Maine Workers Compensations Act with
regard to such claims made or asserted by Grantee's agents, servants, or employees.

[Pedestrian Easement Area]
A certain lot or parcel of land located on the northwesterly side of the Maine Central
Railroad, northwesterly of Front Street in the City of Bangor, County of Penobscot, State
of Maine and being more particularly described as follows:
Beginning in the northeasterly corner of land of Bangor Saving Bank at 36 Pleasant
Street as described as the First Parcel of land in a deed recorded in the Penobscot County
Registry of Deeds in Volume 14388, Page 115, said point is further described as being
the southeasterly corner of land now or formerly of Gopher Hill Communications as
described in a deed recorded in the Penobscot County Registry of Deeds in Volume 8591,
Page 107;
Thence N 28°30'40" E by and along said land of Gopher Hill Communications and land
depicted on a plan titled "Plat of 24 Pleasant Street a Condominium", dated November
28, 2000, by Plisga& Day Land Surveyors, recorded in Plan Book 2001, Page 10, a
distance of 16724 feet to a point;
Thence S 61°29'15" E, a distance of 16.96 feet to a point;

A certain lot or parcel of land located on the northwesterly side of the Maine Central Railroad,
northwesterly of Front Street in the City of Bangor, County of Penobscot, State of Maine and
being more particularly described as follows:
Beginning in the southwesterly corner of a permanent easement being conveyed together with
this temporary easement, said point being located S 55° 40' 38" E, a distance of 19.20 feet from
the southeasterly corner of land now or formerly of Gopher Hill Communications as described in
a deed recorded in the Penobscot County Registry of Deeds in Volume 8591, Page 107;
Thence N 30° 51' 40" E by and along said permanent easement, a distance of 1.02 feet to a
point;
Thence N 28° 50' 07" E by and along said permanent easement, a distance of 54.24 feet to a
point;
Thence N 27°15'30" E by and along said permanent easement, a distance of 113.95 feet to a
