This provision shall not be constnzed to relieve C:lieabt or any of�its ofticers,directors,em�rrloy ees, ragupbts,��upbc8crrs,crr contractors(`rcr�na their rusp�nsul�ility fcrr maintainung r:a stal`u vvcrrlcsuiu. Nuutpbur thu�7rofessional`�ur��i�,us crf`BMcI7,nor the�7resence of LMcD's employees or subcontractors shall be construed to imply LMcD has any 24-051 DECEMBER 27,2023 responsibility for any activities on site performed by personnel other than BMcD's employees ar subcontractors. 2.4 Responsibility for Uncompleted Services If any of the Services are eliminated pm-suant to a C`hange Order signed by Client, BMcD's responsibility shall extend only to the Services for which it was authorized hereunder. 2.5 Reliance on Information In performing these Services,BMcD may review and interpret documents and other information provided to it by others,including but notlimited to Client, Client's contractars,government autharities,laboratoiies,and other entities. $McI7 may rely upon this information without an independent evaluation of its accuracy or completeness,and shall not be responsible for any errors or omissions contained in such information,except to the extent that reliance upon such information would be reasonable under the standard of care in Section 2.l. 3. CLIENT RESPONSIBILITIES 31 Information C7ient shall provide all pertinent,available information regarding its requirements,objectives,and ciiteiia farthe Project,including,but notlimited to, surveys,studies,available descriptive information regarding historical use and existing environmental conditions,investigations,compliance and enforcement actions,record concerning the subj ect matter of the Proj ect,and communications with governmental regulatory agencies relating to the Project. 3.2 Cooperation with BMcD Client will cooperate with BMcI), so that the Project can be completed in a timely, efficient,and cost-effective manner. Client shall designate an authorized representative familiar with the Projectwho shall be available to BMcD and who shall have the authority to make all decisions necessary for BMcD to perform its Senices. Client shall also identify others who may have information pertinent to the Project, and who may be contacted or consulted by BMcD.Client will provide BMcD access to the Project site,except that Client may impose reasonable rules and resTsictions to prevent avoidable interference with other ac�ivities on the Project site and to promote safety and secti�rity. 3.3 Utilities Unless otherwise required by law or set forth in this Agreement,$McD shall be responsible for accurately locating,harizontally and vertically,and pirominently marlcing any bmied or concealed pipes,tanks,cables,utilities,or other manmade obstiuctions that may affect or may be affected by$McI7's Services. $McD may rely on such locations and markings in planning and performing intrusive Services,such as diilling or excavating. 24-051 DECEMBER 27,2023 4. CONTRACTING PROCEDURE 4.1 MethodofAuthorization forServices BMcD will submit proposed worlc authorizations for�articular Proj ects or taslcs upon request by Client using the format set forth in Exhibit 1 ("Worlc Authorization"). In each such proposed Wark Authorization,$McD shall set forth a sco�e of the Services,an estimated time frame(the°Schedule")needed to com�lete the Seivices,and a budget(the"$udget")for the Project. The Budget shown on any such proposed Wark Autharization submitted to Client shall r�xriain valid for ninety(90)days,unless otherwise stated. U�on acce�tance of any proposed Wark Authorization by Client,the agreed upon Sco�e of Seivices, Schedule,and Budget set farth in a Wark Authorization will become an addendum to this Agreement. The terms and conditions for this Agreement shall a��ly to each such Wark Authorization unless otherwise s�ecitically agreed in writing in a Wark Authorization. 4.2 Estimates Unless the Agreement provides otherwise,the�stimated costs r�q�uir�d to complete the services to be�erformed are made by BMcD on th�basis of its ex�erience,qualitications,and professional judgment,but are not guaranteed. If the costs a��ear lilcely to exceed the estimate,$McI)will notify Client before proc��ding.If BMcD's assumptions ar estimates are later determined to be inaccurate ar moditied,BMcD will be entitled to an appropriate change in compensation and schedule subject to Client's reasonable review of the same. 4.3 Change Orders Once a Wark Authorization is agreed to by$McD and Client,the Sco�e of Seivices,Schedule,and$udget shall not be altered without mutual agreement in writing. It is understood that for some Projects,it is not�ossible to fully detine the Sco�e of Services at the commencement of the Project. As the Project �rogresses,the facts and circumstances uncovered may necessitate changes that may alter the Sco�e of Seivices,Schedule,and$udget. $McI)will inform Client as soon as practical of such situations so that the negotiation of any a��licable change orders can be accom�lished as required. If Client r�qu�sts and$McD agrees to perfarm Services beyond the items s�ecitied in the Sco�e of Services,a se�arate C`hange C)rder to the Wark Authorization will be signed by the Parti�s priar to commencement of such additional Seivices. Client may orally authorize changes in the Services,�roviding such changes are contirmed in writing. 4.4 Emergency Actions Wher�immediate action is required to mitigate potential damages ar reduce future costs,and where$McI)has made a diligent effort to contact Client to discuss therequired action,BMcD is authorized to take necessary and r�asonable ste�and to incur n�cessary and reasonable costs in connection with such emergency. 24-051 DECEMBER 27,2023 5. TIME FOR PERFORMANCE 5.1 Generally $McD's Seivices shall be�erformed according to the Schedule specitied in each Worlc Authorization. 5.2 Effect of Delay If the Seivices to be�erformed by BMcD are inten-u�ted,disrupted,sus�ended,or delayed for any reason beyond the reasonable control of$McI),the Schedule of worlc and the date for com�letion shall be adjusted accordingly and$McD shall be com�ensated for all reasonable increased costs resulting from such inten�u�tion,dis��u�tion,sus�ension,or delay. 6. COMPENSATION 61 Method for Compensation As consideration for the�erformance of Services described in each a��roved Work Authorization and C`hange Order,Client shall compensate$McD as sti�ulated in each Worlc Authorization and Change Order. 6.2 Dispute Support Services Client will�ay$McD in accordance with$McD's then cui7-ent Schedule of C`harges(Exhibit 2)for dispute su��ort seivices rendered by any BMcD em�loyee who a��ears,testities,or performs any services in connection with any court, administrative,arbitral,or other legal�roceeding arising out of warlc related to this Agreement. This includes worlc and expenses incurred res�onding to subpoenas and other discovery procedures related to$McD's Services whether initiated by Client,its adversary,or third parties. This does not apply to proceedings against BMcD alleging negligence,breach of professional standards, or breach of contract by$McI),unless BMcD is otherwise entitled to reimbm-sement under this Agreement. 6.3 Taxes All charges are net of any applicable taxes(except income and�ayroll taxes levied far Seivices�erformed by BMcD in the U.S.ar other countries). Any additional costs under a Worlc Authoiization due to such a��licable taxes including all fees,duties,and levies of any lcind,and sales,use,royalty withholding,im�ort,ex�ort,consumption,or value added taxes levied by any Country against$McD or the Seivices shall be reimbursed by Client,whether or not they are assessed according to revenues or some other measure. 24-051 DECEMBER 27,2023 7. PAYMENT 71 Invoicing BMcD shall submit monthly invoices to Client for the Seivices performed and the charges incurred in the preceding peiiod,by taslc(s),as authorized in the respective Worlc Authorization and Change Order(s). Invoices shall be due and payable within forry-tive(45)calendar days for Seivices of Client's receipt of the invoice. BMcD invoices shall reference the Work Authorization and Change Order(s)authorized amount. Each invoice shall include a brief description of worlc performed together with a summary of actual hours worlced by BMcD employees,engaged directly on the Project,by classitication and rate. Third parry Services,such as subcontracts and other direct costs and expenses,shall be itemized separately. BMcD shalllceep accurate records showing all charges and expenses incuned by BMcI7 for the Seivices performed for Client. BMcD,upon request,shall furnish copies of time sheets and expense reports with receipts, invoices,and other documentation necessaiy to substantiate each invoice to Client's reasonable satisfaction. 7.2 Disputed Invoices If Client objects to all or any portion of the invoice,Client shall so notiiy BMcD in wiiting within twenty(20)calendar days of the invoice date and identiiy the cause of the disagreement. In the event that BMcD and Client cannot resolve the dispute regarding the invoiced amount within thirty(30)days after receipt of BMcD of the notice of disagreement by Client,the dispute shall be subj ect to the Dispute Resolution provision of this Agreement. 7.3 Payment. All payments shall be in U.S.Dollars. Checics or drafts shall be drawn against a U.S.Banlcacceptable to BMcD. 7.4 Interest Client shall pay an additional charge of one(1) percent per month of the overdue amount for any payment received by BMcD more than Forty-tive(45)calendar days firom the date of the invoice,except any portion of the invoiced amount in dispute and resolved in favor of Client. 8. PERMITS AND OTHER APPROVALS 8.1 Responsibility BMcD shall be responsible for obtaining and maintaining all permits, authoiizations and other approvals required to perform the Services. To the extent any such permits or authoiizations need to be in Client's name,BMcD shall assist Client in securing same. 24-051 DECEMBER 27,2023 9. CONFIDENTIALITY 9.1 Nondisclosure 9.11 For the purpose of this provision,contidential inforination shall be proprietary business inforination or trade secrets designated in writing to be contidential. 9.1.2 BMcI)and Client shall maintain as contidential any contidential inforination provided by the other Parry,as detined in 9.1.1,to the extent allowed by Maine law. This provision shall not apply to inforination that(1)is already lcnown to the recipient as shown by written records in its possession at the tiine such information is received;(2)is alreaciy part of the public doinain at the tiine of disclosure,or subsequently becoines part of the public doinain through no fault of the recipient;(3)becomes available to the recipient froin a third pariy who is not under obligation to the recipient with respect thereto,or (4)is independently developed by an einployee or consultant of the recipient who had no lcnowledge of or access to the information. 9.1.3 Each Party inay disclose contidential information if the conticiential information(1)is required to be disdosed by law,subpoena,order of a court or govermnental regulatory agency,or other legal process provided that the disclosing Pariy gives the other Parry reasonable notice and opporiunity to challenge the requireinent to disdose;(2)is disclosed to a Party's contractor, subcontractor,consultant,agent,or employee who has signed a nondisclosure agreement(3)is disclosed to a third pariy who has signed a nondisclosure agreeinent,but only if both BMcI)and Client agree to such disclosure;(4)is disclosed to avoid a rislc of iiruninent harm to persons,properry,or the enviromnent or(5)is disclosed to protect either Party form criininal or civil liabiliry under applicable law. 9.2 Use of Project Information Client agrees that BMcD inay use Client's naine and a general description of the Project as a reference for other prospective clients. 10.OWNERSHIP OF DOCUMENTS AND MATERIALS 10.1 Documents Upon payinent in full for Services provided under this Agreeinent,original survey data,tield notes,inaps,coinputations,studies,reports,drawings,specitications, and other docwnents generated by BMcD shall be properiy of Client. Rights to BMcD's existing intellectual property developed,utilized or inoditied in the performance of the Services,but not developed initially as part of the work product,shall reinain the property of BMcD. BMcD shall have the right to retain and use copies of drawings,documents,and engineering or other data furnished or to be furnished by BMcI)and the information contained therein subject to the 24-051 DECEMBER 27,2023 confidentiality provisions of Provision 9 hereo£ Client shall not acquire any rights under this Agreement to any of BMcIYs or any of its subcontractors' proprietaiy computer soitware that may be used in connection with the Services. 10.2 Samples and Other Materials 10.2.1 All materials at or removed trom the Project site,including,but not limited to, samples,soiL,drill cuttings,excavation spoils,and solid,liquid,or hazardous wastes,shall remain the properry of Client at all times. C7ient recognizes and agrees that BMcD is acting as a bailee and at no time assumes title to said material or samples. 10.2.2 Client shall indemniiy and hold harmless BMcD and its subcontractars, consultants,agents,ofticers,directors,and employees from and against any and all liability which arises out of the treatment,storage,transport,or disposal of hazardous materials. 10.2.3 Client shall prepay all shipping,handling,exportJimport,insurance and other costs and shall bear the rislc of loss for all samples and other materials slaarrrr�d internationally to ar fi-om the U.S.in the course of the Seivices here��nder. 10.3 Investigate,Remedial,and Treatment Technologies Any investigative,remediaL,treatment,or other environmental or pollution control process,technology,or method used by BMcI7 in performing the Services,or that arise out of,ar are developed or improved during the course of, the Services,shall remain the properry of BMcD. BMcD retains the exclusive right worldwide to patent or copyright any technology-related concept or document arising out of the Services that may be patentable or copyrightable. 11.ALLOCATION OF RISK BMcD and C7ient acknowledge that prior to the start of this Agreement,BMcD has not generated,handled,stored,treated,transported,disposed o£,or in any way whatsoever taken responsibility for any toxic or hazardous substance ar other material found, identitied,ar as yet unlcnown at the Project premises. BMcD and Client iizrther acknowledge and understand that the evaluation,management,and other actions involving toxic or hazardous substances that may be undertalcen as part of the Seivices to be performed by BMcI7,including subsurface excavation or sampling,entails uncertainty and risk of injuiy or damage. BMcI7 and Client iizrther acknowledge and understand that BMcD has not been retained to serve as an insurer of the safety of the Project to the C7ient,Client's constnzction contractors,third parties,ar the public. Client acknowledges that the discoveiy of certain conditions and/or taking of preventative measures relative to these conditions may result in a reduction of the property's value. Accordingly,Clie�rnri-eleases BMcD trom any claim for damages resulting trom or arising out of any pre-existing e�rnvironmental conditions at the site 24-051 DECEMBER 27,2023 where the worlc is being performed which was not directly or indirectly caused by and did not result fi-om,in whole or in part,any act or omission of BMcD or its subcontractars, their representatives,agents,einployees and invitees. If,while performing the Seivices set forth in any Scope of Services,pollutants are discovered that pose unanticipated or extraardinary rislcs,it is hereby agreed that the Project,including any schedule and costs,will be reconsidered and that this Agreement shall immediately become subject to renegotiation ar termination with regard to that Project. Client hzrther agrees that such discovery of unanticipated hazardous rislcs may require BMcD to talce immediate measui-es to pirotect health and safety or report such discoveiy as may berequired by law or regulation. BMcD shall promptly notiiy Client upon discovery of such rislcs. Client,however,hereby authorizes BMcD to talce all measui-es BMcD believes necessary to protect BMcD and Client personnel and the public. BMcD and Client agree that the apportionment of the rislc of loss and other liinitations set forth in the allocation of Rislc provisions of this Agreement are essential terms of this Agreement and a condition of BMcD's willingness to perform the Services. 12.INSURANCE BMcD will maintain insui-ance coverages in the following ainounts,to the extent that they are commercially available at reasonable cost: INSURANCE LIMITS 1. Contractors Pollution Liability $5,000,000 each claim Insurance(CPL) $5,000,000 in aggregate 24-051 DECEMBER 27,2023 Waiver of Subrogation: Client and BMcD release each other and waive all rights against each other and their ofticers, directors, agents, or einployees for damage covered by property insurance including deductibles ar self-insurance during and after the completion of BMcD's Services. If the Services result in a construction phase,a provision similar to this shall be incorporated into all construction contracts entered into by Client, and all construction contractors shall be required to provide waivers of subrogation in favor of Client and BMcD for damage or liability covered by any construction contractor's policy of insurance. 13.INDEMNIFICATION 13.1 BMcI)agrees to indemnify and save harmless Client from and against any and all loss, damage, costs and expenses (including cost of defense, settlemenk, and reasonable attorneys' fees), which either of them may hereafter incur, become responsible for, or pay out, as result of death or bodily injuries to any person, destruction or damage to any third parry properiy,governmental tines and penalties to the extent caused by any violation of governmental rules by BMcD to the extent caused by any negligent or willful act ar omission of BMcI), its employees or subcontractars in the performance of this Agreement. 14.LIMITATION OF LIABILITY 141 To the fullest extent permissible by law, and notwithstanding any other provision of this Agreement, the total liability, in the aggregate, of BMcI), its ofticers, directors, shareholders, employees, agents, and consultants, and any of them, to Client and anyone claiming by, through or under Client, for any and all claims, losses, liabilities, costs, or damages whatsoever arising out of, resulting from, or in any way related to a Project or this Agreement from any form of negligence, professional errors or omissions (including breach of contract or warranry)of BMcD,its ofticers,directors,employees,agents or consultants,or any of them,SHALL NOT EXCEED an amount of�5,000.000.The Parties agree that specitic consideration has been given by BMcD for this limitation and that it is deemed adequate. 14.2 In no event will either Parry be liable to the other Parry for any special, indirect,or consequential damages including,without limitation,damages or losses in the nature of increased Proj ect costs,loss of revenue or anticipated protit, lost production,or claims by customers of Client. 15.TERMINATION 15.1 This Agreement may be terminated by either Parry upon ten (10) days written notice far(1)failure of the other Parry to substantially perform its responsibilities under this Agreement,(2)substantial violation of any provision of this Agreement, or (3) discovery of conditions that differ materially from those 24-051 DECEMBER 27,2023 ordinarily found to exist in, ar generally recognized as inherent in, the wark contem�lated to be perfarmed under this Agreement. 16.DISPUTE RESOLUTION 16.1 Mediation Exce�t where provisional ar tem�orary remedies are sought, no action may be commenced covering any claim arising out of ar connected with this Agreement ar the Seivices unless it has tirst been submitted to non-binding mediation at the written request of either Party. Such request shall include the grounds of the dis�ute and the nature of the relief sought. The mediation shall be conducted in Bangar, Maine,under American Arbitration Association Construction Industry Mediation Rules,unless otherwise mutually agreed by the Parties. Where�rovisional or tem�orary remedies are sought, the�arties shall engage in mediation before a mediator within ninety(90)days after institution of such claim. The�revailing parry in any mediation or court action shall be entitled to recover its dispute resolution ex�enses,including,but not limited to,reasonable attorney's fees incurred in connection with any dispute arising out of this Agreement. $McD shall have the right to sus�end all or a�ortion of the Seivices during the pendency of any dis�ute regarding com�ensation for Seivices. 16.2 Limitation on Action No claim may be asserted by either parry against the other party unless an action on the daim is commenced within two (2) years after the date of$McD's tinal invoice to C7ient. 17.MISCELLANEOUS 17.1 Third Parties 17.1.1 This Agreement shall be binding on BMcD and Client, and their successors, trustees,legal re�resentatives,and assigns. BMcD and Client may rely on decisions and instructions of the Project Managers. 17.2.5 Expressly excluded fi-om such authority under this provision is the authorization of the respective representatives to amend the terms and conditions of this Agreement. 17.3 Survival of Sections Provisions 2,7,8, 10,11,12, 14,15,and 18 of this Agreement shall suivive completion of performance or termination under this Agreement. 17.4 Substance Abuse Client has a vital interest in maintaining a safe,healthful,and efticient worlcing environment for om employees,customers,suppliers,contractars,subcontractors, 24-051 DECEMBER 27,2023 vendors,visitors,and the general public. The presence of illegal or improperly used di�ugs or other mood-altering substances is unacceptable. Client strictly prohibits using,possessing,manufactiu-ing,selling,transporting,disturbing, storing,concealing,or dispensing of any controlled or illegal substances,as detined by federal or state law,other than pui-suant to a valid prescription,while on the premises of Client(including parlcing lots),while conducting Client business(including travel),or dui-ing Client-sponsored activities. BMcD is hereby notitied that all BMcD's einployees will be required to abide by this policy whenever on Client's premises and agree that such einployees are subject to a search,testing,or removal fi-om the Proj ect in accordance with Client's substance abuse policy. 17.5 Force Majeure BMcD shall not be liable for any delay in performance,or failui-e to perform which is in whole ar in part attributable to events beyond its control,including but not limited to war,political um-est,embargo,boycott,insurrection,seizure,failure of the normal means of transportation,inability to obtain worlc permits or authorization in any county other than the United States,acts of any governinental authority,flood,tire,explosion or other"Acts of God"("Force Majeui-e"). In the event of a Force Majeui-e which delays ar in BMcD's opinion may delay or otherwise prevent or interfere with the performance of warl�hereunder,BMcD will promptly notiiy Client of the natiue and extent of the lcnown circumstances of Force Maj eui-e. The parties shall then negotiate any extension or other arrangements for the completion or revision of the worlc,provided,however,that Client shall be responsible for payment of worlc up to the point of Force Majeui-e even if the project is unable to be completed. 18.INTERPRETATION 18.1 Severability If any provision(s)of this Agreement is determined to be void or unenforceable by a coiut,all remaining provisions shall continue to be valid and enforceable. The court shall reform or replace any void or unenforceable provision with a valid and enforceable provision that comes as close as possible to expressing the intention of the void ar unenforceable provision. 18.2 Governing Law and Venue This Agreement shall be governed by the laws of the State of Maine. Any administrative,judicial,or other proceedings brought by or against any of the parties under this Agreement shall be birought in a state or federal court with jui-isdiction located in Bangor,Maine. 18.3 Paragraph Headings 24-051 DECEMBER 27,2023 The paragraphheadings in this Agreement are included solely for convenient reference,and shall not detine,limit,or affect the constnzction or interpretation of this Agreement. 18.4 Waiver Failure or delay by either party to insist on the strict performance of any covenant, term,provision or condition hereunder,or to exercise any option herein contained, or to pm-sue any claim or iight arising herefi-om, will not constitute or be constnzed as a waiver of such covenant,term,provision,condition,option,claim, or iight. Any waiver by either parry will not constitute or be constnzed as a continuing waiver of any subsequent default. 18.5 Whole Agreement The Agreement,including all approved Worlc Authorizations hereunder, constitutes the complete and tinal contract between BMcD and Client. This contract supersedes all prior or contemporaneous agreements,communications, representations,undertakings,or understandings between the Parties,whether oral or written,including but not limited to,purchase orders relating to the Project, except as expressly incorporated into this Agreement.
