THAT WHbHFAS, the Allied Chemical Corp. has requested certain
street inprovenents be made to Dutton Street, and

AGREEMENT
KNOW ALL MEN BY THESE PRESENTS, that ALLIED CHEMICAL
CORPORATION, BARRETT DIVISION, of New York, New York, does hereby
agree with the CITY OF BANGOR, a municipal corporation located
in Penobscot County in the State of Maine, as follows;
WFEPXAS, the City of Bangor has, by virtue of a decree
of the State of Maine Public Utilities Commission dated January 14,
1963, been authorized to alter the approach grade on a portion of
Dutton Street in Bangor and thereby provide for two-way traffic
under the bridge of the Maine Central Railroad on this public way
to the premises of the Barrett Division of Allied Chemical Corpora-
tion; and
WHEREAS, Barrett Division of Allied Chemical Corporation
has indicated its desire that the City of Bangor proceed in accord-
ance with the aforesaid decree, and has agreed with the City of
Bangor to contribute an amount not exceeding the sum of Forty -Six
Hundred Dollars ($4600) toward the total actual expenditures by the
City of Bangor in so reconstructing Dutton Street.
NOW, THEREFORE, the parties hereto agree further:
1. The City of Bangor agrees to proceed forthwith, as
soon as weather permits, to the prosecution and execution of the
work necessary to provide two-way traffic under the bridge of the
Maine Central Railroad Company on Dutton Street, all in accordance
with the plans heretofore agreed upon between the City of Bangor
and Barrett Division, and to complete the work promptly. The City
of Bangor shall purchasefromBarrett Division, at Barrett Division's
market price in effect at time of delivery, such materials for use
in said reconstruction as are normally available at the Barrett
Division premises on Dutton Street.
2. Allied Chemical Corporation agrees to pay to the City
of Bangor an mount equal to ane -half (1/2) of the actual expendi-
tures incurred by the City of Bangor in the pursuit, prosecution and
completion of the improvement to Dutton Street, which amount shall
not exceed the sum of Forty -Six Hundred Dollars ($4600). The payment
shall be made upon receipt by Allied Chemical Corporation of a eertif-
Scate of completion to be provided by the City Engineer for the City
of Bangor, and payment by Allied Chemical Corporation shall constitute
full and final payment and an acquittance and release of Allied
Chemical Corporation under the terns of this Agreement.
IN WITNESS WHEREOF, this Agreement has been executed by
the parties hereto, both as of the sixth day of April, 1964.
