Frawley City Engineer Office of City Engineer Room 10, City Hall Bangor, Maine 04101 Dear Mr. Frawley: Enclosed herewith in quadruplicate is a form of proposal for your consideration for engineering services to be furnished by Metcalf & Eddy, Inc. in connection with two construction contracts for (1) the Pollution Abatement Facility and Kenduskeag Pump Station, and (2) the Penobscot Interceptor and Appurtenances. It is assumed that bids are to be received on the same date for each contract. It is proposed also to set the "Time for Completion" of (1) the construction contract for the Pollution Abatement Facility and Kenduskeag Coup Station at eighteen (18) consecutive calendar months, and for (2) the Penobscot Interceptor and Appurtenances contract at not more than seventeen (17) consecutive months. We propose to include liquidated damages for delay, in each contract, at $200 for each calendar day of delay. It was a pleasure to see you and Mr. Coupal again. Dear Mr. Frawley As requested in your letter of February 28, 1966, we submit for your consideration this proposal for engineering services in connection with construction of the Bangor Pollution Abatemert Facility, the Aenduskeag Dump Station and Force Main, the Penobscot Interceptor, and appurtenant work. I. En¢ineerin¢ Services A. We would furnish engineering services of consultation and advice relative to matters which are presented in connection with construction; review shop drawings submitted by contractors; advise on laboratory, shop and mill tests of materials for conformance with specifications; review estimates for progress and final payments to contractors; and a principal of Metcalf IF Eddy, Inc. would visit the work at periodic intervals. B. We would furnish services of a resident enginesr and an assistant who, with assistance of personnel to be furnished by the City, would keep records of measurements of quantities; observe the work and materials with respect to quality, suitability, and conformance with the design, specifications, and contract requirements; approve progress and final estimates for payments to contractors; observe and report relative to f_ela tests of the work and equipment; and prepare marked -up pr-nts for use in making record drawings. Periodically, as required, additional services of engineers in connection with structural and foundational matters, heating and ventilating, mechanical or electrical work, equipment and tests, and for preparation of operation manuals for the Pollution Abatement Facility, and the Kenduskeag Pump Station, or in connection with claims of contractors, shall be furnished by us. D. We would engage divers as required to assist in determination of the quality suitability, and conformance with design, specifications, and contract requirements of the work of the portion of the proposed outfall sewer under the Penobscot River. Such divers would perform services as directed by the resident engineer and report directly to him. E. Upon completion of construction, if requested, we would prepare record drawings for the works as built. II. Work of the City The City is to engage and pay for the services of a qualified materials testing firm to make tests of specimens of material delivered to the work, supervise the required inspections, tests, and examinations required in connection with pipe, concrete, and other materials to be furnished for incorporation in the work, and to certify as to compliance with the specifications. Charges for long-distance telephone calls required by the resident engineer in connection with the work, are to be paid for by the City. As required by the resident engineer, the City is to furnish qualified additional assistants to aid in performance of the services indicated in Section I(D). The City will also furnish stenographic and survey personnel who will work under the direction of the resident engineer. Assistants to the resident engineer, who are to be furnished by the City, shall be satisfactory to the resident engineer. Any assistant whose performance of duties is satisfactory, shall be removed from the work and be replaced by a suitably qualified person, satisfactory to the resident engineer. BCH 006545 Mr. Sohn T. Frawley April 21, 1966 The City is to provide the initial line and grade stakes and reference points for the work, and check the lines, elevations, reference marks, batter boards, etc., set by the engineer employed by the contractor, as may be required. III. Compensation A. For the engineering services indicated under Section I(A),sultation and advice i connection with the construction n compensation to bethe lump sum of 49,000, payable in eighteen (18) monthly installments of $2,580 each, plus one payment of $2,560. This compensation is to be for services during a period of nineteen (19 consecutive months following the earlier date of the 'Time of Beginning Work" by the Contractor to whom the contract is awarded for either (1) the Pollution Abatement Facility and the Kenduskeag Pump Station, if (2) the Penobscot Interceptor and appurtenances. B. For services of a resident engineer and one assistant furnished by Metcalf & Eddy, Ire., as indicated under Section I(B), compensation is to be the lump sum of K,000, payable in nineteen (19) monthly installments of 000 each. This compensation is to be for services during a period of nineteen (19) consecutive morths following the said earlier date of the said 'Time of Beginning Work" as set forth in paragraph III(A), except as stated in Section III(C). C. It is expected th2t portions of the construction work will be curtailed for about a three-month period during the first inter after beginning of construction, and that services of an assistant to the resident engineer may not be required to be furnished by Metcalf & Eddy, Inc, during such three-month period. In the event that services of an assistant to the resident engineer shall be required to be furnished by Metcalf & Eddy, Inc. i of sixteen (16) months, compensation for such additional services shall to as set forth in Section III(D)(b). For additional services of engineers and assistants, as indicated in Section I(C) and for preparation of record drawings as indicated in Section I(E), and for other additional services required to be furnished by Metcalf & Eddy, Inc., except services of divers, after nineteen (19) consecutive conths following the said date of the "Time of Beginning Work," ompensation will be derived by applying a multiplier to the salary cost of personnel for time charged to the work as indicated below, plus compensation for out-of-pocket expenses for subsistence and travel, long-distance telephone charges, and reproductions. Such compensation shall be payable monthly in accordance with approved statements to be submitted by Metcalf & Eddy, Inc. The said multipliers will be as follows: (a) For additional services of engineers and assistants as indicated in Section I(C), and preparation of record drawings as indicated in Section I(E1, and for additional services following nineteen (19) months after the said date of the "Tine of Beginning Work," -- multiplier of 2.1. (b) For additional services of the resident engineer and assistant, -- multiplier of 1.75. E. Salary costs are defined as salary or wages paid to personnel for time charged to the project, plus allowances for sick leave, vacation and holiday pay, excise and payroll taxes, social security payments, unemployment compensation, and retirement pension. Salary costs will be determined in this manner for engineers, architects, planners, chemists, draftsmen, stenographers, typists, clerks, etc. The salary cast for principals of Metcalf & Eddy, Inc, will be taken as $100.00 per day. F. For services of divers, as indicated in Section I(D), compensation is to be the actual out-of-pocket cost to Metcalf & Eddy, Inc. for such services, plus twenty-five (25) percent of such cost. Litigation and Additional Work Nothing herein contained shall obligate Metcalf & Eddy, Inc. to prepare for or appear in litigation on behalf of the City of Bangor, or to make investigations or reports or supply engineering services on matters not covered by this proposal, except in consideration of such additional compensation as may be mutually agreed upon.
