A.D. 1969, by and between the CITY OF BANGOR, a municipal corporation located in Penobscot County, State of Maim, hereinafter called the "Seller", and JAMES W. WILLIAMS POST NO. 12, THE AMERICAN LEGION, a corporation duly established and located in Bangor, County of Penobscot, State of Maine, hereinafter called the "Purchases'. WI T N 9 S S II H: THAT the said Seller hereby agrees to sell and the said Purchaser hereby agrees to purchase the Valentine School, so-called, located in said Bangor, and the land on which it is situated, all described as follwa. Beginning at a point formed by the westerly tight -of -way line of Union Street and the northerly right-of-way line of First Street; thence west alotg said northerly line of First Street for a distance of 164 feet more r lees, said point being the easterly line of Lot No. 2 as shown on a plan drawn by Zebulon Bradley, as extended by William Coombs, recorded in Penobscot Registry of heeds, Plan Book 2, Page 33; thence north along said easterly line of Lot No. 2 for a distance of IN feet to a Point; thence east at right angles to the last described line for a distance of 64 feat to a point; thence South on Lina parallel to the westerly line of Union Street for a distance of 38 feet to a point; thence east for a distance of 99.2 feet more r less to the westerly line of Union Street; thence south along said westerly line of Union Street for a distance of 63 feet more or less to the point of beginning. In the event the Purchaser shell fail to comply with the estate hereof, the Seller shell be released from all obligations in lav or equity to convey said property and shell be entitled to the immediate possession thereof and the purchaser shall forfeit all rights under this Agreement and all surreys theretofore Paid hereunder, including that held conditionally, shall he considered as rent and compensation for the use and occupancy of said premises and he retained by said Seller. WILLIAMS DUST NO. 12, THE AMERICAN LEGION, a corporation duly established and located 3n Bangor, County of Penobscot, State of Maine, hereinafter called the "Parchaser'. IT IS HEREBY UNDERSTOOD AND AGREED That the said Purchaser of said premises shall pay to the Seller of said promisee the sum of Five Thousand Dollars ($5,000.00), payable in the manner as follws: Five Hundred Dollars ($500.00) which has been already paid with the bid for said property, and the balance of Four Thousand Five Hundred Dollars ($4,500.00) at the time of the Signing of this agreement, said sum to be held conditionally by the City of Bangor until such time as the Purchaser rehabilitates and renovates the property, within twelve (12) months from date. Said Purchaser antes that it will meet all building, housing and sanitary codes of the City of Bangor and comply with the Zoning Laws of said City. Upon such rehabilitation and renovation of said property, the said Seller does hereby agree to deliver a Quit -Claim Deed With Pursuant of said premises to the Purchaser or to the American Legion He fling Company, Inc., or to such other nominee as the Purchaser may by proper vote so designate. The Purchaser shall be entitled to possession of said premises on the signing of this Agreement. In the event the Purchaser shall fail to comply with the terms hereof, the Seller shall be released from all obligations in law, or equity to convey said property and shall be entitled to the immediate possession thereof and the Purchaser shall forfeit all rights under this Agreement and all moneys theretofore paid hereunder, including that held conditionally, shall be considered as rent and compensation for the use and occupancy of said premises and be retained by said Seller. Said Purchaser does further agree that upon its default it will leave said premises in as goad condition as the same were before the Purchaser entered said premises. If, prior to the conveyance of the property to the Purchaser, the\ property shall be damaged by fire or other unavoidable casualty to the extent of Five Thousand Dollars ($5,000.00) plus the actual cost of renovation to that date, the Purchaser may, at its option, terminate this agreement, in which case 1 it shall be entitled is the return of themoney paid hereunder to the Seller. � If the property shall be damaged to a lesser extent than above specified, the Purchaser shall be obliged to apply the proceeds of all insurance policies covering such damage or destruction to the work of restoring and renovating the premises, in which case the twelve -ninths' period herein provided for Completing said renovation and restoration shall be extended by the amount of time which shall have elapsed since the signing of this agreement and the receipt of such insurance proceeds Until the Seller has conveyed the premises to the Purchaser, the Purchaser shall keep all buildings on said described premises insured against loss by fire or other casualty to the amount of Five Thousand Dollars ($5,000.00) plus the estimated coat crenovation, in Some company acceptable to the Seller and for the benefit of the Seller, as its interest may appear, shall pay all premiums therefor in advance, and deliver all policies and renewals thereof to the Seller. This agreement shall be binding upon said Seller and said Purchaser and their respective successors and assigns.
