AQEEIGI T =us this day of , A.D. 1968, by and between the CITY OF BANGOR, a municipal corporation looted in Penobscot County, State of Mine, hereinafter called the "Seller", add ST. JOSEPH HOSPITAL, a. corporation duly established and located in Bangor, County of Penobscot, State of Heine, hereinafter called the "Purchaser". WITNESSM: THAT the said Sellar hereby agrees to sell and the said Purchaser hereby agrees to purchase the Loogfellov School, so-called, located in said Bangor, and the Lend on which it is situated, all as more particularly described as follows: Beginning at a point on the easterly right-of-way line of Center Street at the northerly line of Land awned by The Policies Sisters of The Order of gL Francis of Connecticut, Inc. (St. Joseph's Hospital), as conveyed by deed from Carol L. Strauss dated June 2, 1947 and corded in Penobscot Registry of Deeds, Volume 1266, Page 149: thence north along said easterly line of Center Street for a distance of 100 feet to the southerly line of land now or formerly wined by Bernice H. Dickenson, as conveyed by deed from Charles S. Hubbard dated July 9, 1900 and recorded in Penobscot Registry of Deeds, Volume 699, Page 143; thence in an easterly direction along the southerly line of said Dickenson Land for a distance of 160.75 feet seems or less to the westerly right-of-way line of French Street; thence south along said westerly line of French Street for a distance of 15 feet to the northerly line of Land owned by The Pelician Sisters of The order of St. Francis of Comac- ticut, Inc. (St. Joseph's Hospital) as a quired from the City of Bangor by deed dated January 18, 1960 and corded in Penobscot Registry of Deeds, Volume L709, Page 10; thence along the northerly line of the Hospital land m follows: west on a line parallel to and 15 feet south from said Dickenson line for a distance of US feet to a point, south on a line parallel to the westerly line of French Street for a distance of 85 feet to a point, and west for a distance of 12 feet masts or less to the paint of beginning on the easterly line of Center Street. Being all and the same promisee as cescribad in a deed from Joseph P. Use to Ate Warren dated April 24, 1906 and ceorded in the Penobscot Registry of Deeds, Volume 762,Page 14, to which deed reference is hereby made. IT IS iP1EBY CWDSHSf00D AND AGRDED That the said Purchaser of said pr,misea @hall pay to the said Seller of said premises the sum of One Hundred Hollars ($100.00), payable in the manner as follows: Tea Dollars ($10.00), Which Me been alre@dy paid With the bid for said property, and the balance of Binary Dollars ($90.0) at the time of the signing of this Agreement, said sum to be held conditional ly ythe City of Bangor until the Purchaser demolishes said building and develops said premises into a temporary parking area, wirbin eighteen (18) months free date. It is hereby understood that eventually the area will be utilized In the future planning for expansion to the Hospital and increasing different services. Said Purchaser agrees that it will met all building, Musing and eaktary codes of the City of Bangor and empty with the Zoning laws of the said City. Upon such demolition of the property and development of the same Into a perking at" said Seller does hereby agree to deliver a Quit -Claim Deed of the said prmlaes to the Purchaser. She Purchaser shall be entitled to possession of said problem an the signing of this Agrement. In the event the Purchaser shall fail to empty with the terms hereof. the Seller shall be released from all obligations in law or equity to cows, said property and shall be entitled to the 1®ediate possession thereof and the percheaar spall forfeit all rights under this Agreement and all moneys conditionally theretofore paid, Including that held }a_esaeew, shall be considered as rent and ornamentation for the use and occupancy of said ermines and be retained by the said Seller. Said Purchaser does further agree that upon its default, It will Issue said premises In ouch condition that should the Seller be required to complete said demo litdm, or restoration, should it desire is restore the Proxima to its former condition, that said Purchaser will relebufse sail Seller for all expendl' tures incurred in the demolition or restoration of said premises. This Agrement shall be binding upon said Seller and said Purchaser and their respective successors and assigns.
