CowciNun PURCHASE AND SALES AGREEMENT AGREEMENT made this day of July, 1970, by and between the CITY OF BANGOR, a municipal corporation organized and existing under the lava of the State of Maine, hereinafter called the "Seller", and PENOBCAB, INC., a corporation organized and existing under the lave of the State of Maine and having a principal place of business In said Bangor, County of Penobscot and State of Mine, hereinafter called the "Purchaser". Y IT NESBE I That the Seller hereby agrees to sell and the Purchaser hereby agrees to purchase the following described real estate, to wit: Parcel 1: A certain lot of land situated i said Bangor and described as follows; v Beginning at the intersection of the nartheastly Line of Bawer Street with the soutMestly line Of a lot of land conveyed to Remembrance Boynton by the President, Directors, and Company of the Bangor Bank and by their deed dated May 11, 1825 and by said Remembrance to Nathaniel Boynton by deed dated March 15, 1826 and by said Nathaniel to Joseph N. Boynton and others by deed dated October 12, 1847 and recorded in Penobscot Registry of hands Volume 180, Page 260; thence n rthwesuly on the said street e hundred feet to the northwestly line of said lot; thence one on the line of said int two hundred and forty- three (243) feet to the corner a of said lac; thence entheistly on the lin of said lot to the sontheastly corner of said lot; soathwestly o the live of said lot one hundred seventy- six (176) t n the place of beginning, being all that part of said rayed by Banks situated nartheastly of said street. Parcel 2: A certain lot or parcel of land situated On the southwest side of Nelson Street in said Bangor, bounded And described ae `ollows: Beginning at a paint in the south line of Drummond Street at the northeast comer of the school house lot; thence running southeast on the northeast line of the school house lotto the southeast comer thereof; then n the easterly direction to He loon Street following a line which is the southeast line of the school house lot extending to Nelson Street; thence northwest following the westerly line of Nelson Street to the point begun at. Being the same premises conveyed to the Seller by George G. Nelson by deed dated hacem6er 6. 1915 and reierdem in said Registry in Vol. 880, Page 187. It is hereby agreed that the said purchaser shall pay the said Seller of said premises the sum of One Thousand Pour Hundred and Thirty Dollars ($1,430.00) in manner as follows: One hundred forty-three dollars ($143.00) upon the signing of this Agreement, the receipt of which is hereby acknowledged and the balance of One Thousand 11 Hundred Sightrseven Dollars ($1,387.00) on or before sixty (60) days from the date hereof. Upon payment of the purchase price as aforesaid, the said Seller shell deliver or cause to be delivered to said Purchaser a goad and sufficient Quit -Claim Used duly executed by said Seller of said real estate to the Purchaser, subject to the following condition: That prior to the delivery of said dead the Purchaser shell furnish adequate proof to the Seller that they have acquired the financing necessary to construct a studio, head -end, and office building on the premises to be conveyed hereunder in connection with the Purchaser's cable television system serving the City of Sanger and further that the Purchaser shall provide the Seller with a copy of the complete plane for the construction of said building, which plans shall be in conformity with all the appli- cable codes and ordinances now in force in the City of merger. It is understood and agreed that the Purchaser shall have the rigbt to enter upon said premises for the purposes of making survey& and test borings. Said Purchaser hereby agrees that in the making of payments at the times and in the *wunte herein cited and In the performance of the covenants by it to be performed, if= shall be the eassaca of this Agreement and that in she case of failure to make said payments or to perform said covenants as stated herein, said Sellar may, At bis option, treat such failure as an abandonment of said Agreement by said Purchaser sed may enter upon and repossess Itself of said premises and at its option shall hews the right to at any time peemence any proper proceedings to recover and retain possession of the said premises and said Seller shall further be entitled to retain said dawn -payment as liquidated damages thereof. This Agreement ¢ball be binding upon the Seller and the Purchaser and their respective successors and assigns.
