ORDERED,
THAT whereas the existing concrete structural walls
at the north end of the Police Station building at 25 Court
Street, formerly used as salt storage bins, are in serious
need of repair, and
whereas, funds for said repairs have been included in
the 1975 Utilities Division Budget, Account No. 52-32-10,
and
Whereas, considerable analysis of existing structural
steel and concrete members will be required to insure their
structural integrity and to determine the possiblefuture
-
use of said area,
NOW THEREFORE,, be it
ORDERED, that the City Manager be authorized to enter
into the attached Agreement with Edward C. 'Jordan Co., Inc.
for the structural analysis and the determination of future
e of the area for parking related to the Police Station
and other attendant uses.

I have reviewed the proposal encompassed by the subject Council Order
and I recommend that it be amended as follows:
Relative to Article VI; delete the word "and" which precedes the
word "Umbrella" and add the follaving;
and Errors and Omissions coverage in the amount of $100,000
to protect the Owner from any engineering or design errors on
the part of the Engineer, his employees, or ary sub -contractors
engaged by him."

hereinafter termed Engineer, proposes to perform for the
CITY
OF
BANGOR, MAINE
hereinafter termed the City, the work as outlined under "Scope of
Services" in accordance with the terms and conditions hereinafter set
forth.
ARTICLE I
SCOPE OF SERVICES
The professional engineering services offered under this proposal
e those required to determine the structural capacity of the existing
salt storage building located northerly and adjacent to the present
Bangor Police Department. If it is determined that the capacity of
the building is sufficient to withstand vehicular traffic, additional
engineering services will be provided to develop necessary dnawlags and
specifications to enable construction of a parkingand
facility for the police department. Because of the nature of this
project, it is advantageous to divide the work into two phases:
Phase I - The engineering work accomplished during this phase would
be sufficient to determine if the existing structures could adequately
support parking of several police vehicles and provide necessary roadway
support to allow vehicular traffic to and from the proposed new loading
and unloading door.
Phase IT - If it is determined that the existing building is structurally
safe, Phase II would be initiated at the discretion of the City Engineer.
The engineering work accomplished during this phase would be sufficient
to provide the City with contract plans and documents to enable the City
to advertise the project for construction bide.

ARTICLE 11
CHANCES IN THE WORN
The City may from time to time extend the Scope of Services by
written instructions to the Engineer to perform additional work,
or may direct the omission of work previously ordered, and the
provisions of this agreement shall apply to all additions and
omissions.
ARTICLE III
TME
The Engineer will comments
work on this Project upon the City's authori-
zation t0 proceed. Phase Iwill be completed within two weeks of
authorization. Phase II will be completed within 30 days of its
authorization.
ARTICLE IV
CONWENSATION
The City will reimburse the Engineer for time and expenses incurred in
the performance of the 'Scope of Services" in
accordance with the
schedule of hourly rates given in Appendix A. For budget purposes,
the following sums for Phase I and Phase EI of this project as outlived
in Article I, 'Scope of Services," are proposed:
Phase I $1,000.00
Phase II $1,400.00
ARTICLE V
PAYMEMP
Payment for services rendered shall be in accordance with the fallowing:
1. The Engineer shall submit invoices every four (4) weeks for work
accomplished during the period. The invoice shall reflect actual
time expended and other expenses Incurred during the period.
2. Payment shall be made by the City within thirty (30) days of receipt
of invoice from the Engineer. Invoices not paid within 30 days may
be subject to an interest charge.
3. Should the project be delayed by action of the City or by failure
of the City to provide data or documents, or to perform other
administrative functions as designated hereto, the Engineer shall
be paid In accordance with the schedules 1 and 2 above and shall
be paid that portion of the current period's work from the date
of the previous invoice to the date of ceasation of work.
4. If the City does not make monthly payments to the Engineer, the
Engineer may suspeM his services on the basis of nonperformance

n the part of the City. When such progress payments are restored,
the Engineer will continue his services.
5. If the Engineer's s s for the Project a suspended by the
City for were than three (3) months, or the Project is abandoned
in whale or in part by the City, the Engineer shall be paid his
tees forservices performed prior to receipt of written notice
from the City of such suspension or abandonment. together with all
terminal expenses resulting from such suspension or abandonment.
ARTICLE VIII
TEENINATION OF AGREEMENT
This agreement may beterminated by either party by 30 days' written
notice, by mutual agreement or in the event of substantial failure to

Engineer shall, during the performance of the agreement, keep in
force the following insurance:
Workmen's Compensation Insurance, including EMloyer's Liability
Insurance for its employees; Comprehensive General Liability In -
e including Contractor's Protective and Completed Opera-
tions,covering ring bodily injuries with limits of $100,000 use
person and $300,000 one accident, and property damage with limits
of $50,000 per accident; Comprehensive Automobile Liability
Insurance, including operation of owned, non -owned and hired
automobiles, covering bodily injury with limits of $100,000 on
person and $300,000 one accident and property damage with limits
of $50,000 per accident; a Umbrella liability with a $2,000,000

ARTICLE vxi
GENERAL CONSIDERATIONS
1.
The Engineer shall prepare studies, designs, estimates and
reports in accordance with generally accepted engineering and
architectural practices, and makes no other warranty, either
expressed or implied as part of this agreement.
2.
The Engineer shall not disclose, or permit disclosure of any
confidential information except to its employees and Other
consultants who need such confidential information in order to
properly execute the services of this agreement.
3.
Engineer will comply with state and local codes, regulations,
and other pertinent regulations applicable to this project,
excluding any Environmental applications or licensing.
ARTICLE VIII
TEENINATION OF AGREEMENT
This agreement may beterminated by either party by 30 days' written
notice, by mutual agreement or in the event of substantial failure to

perform inaordan with the terms hereof by the other party through
o fault of the terminating party. If this agreement is terminated,
the Engineer shall be paid for the extent of services performed by him
to the termination notice date.
ARTICLE IX
INLEE ASTON OF ONTIES
Neither the City nor the Engineer shall delegate his duties in
this agreement without the written consent of the other party.
ARTICLE X
GOVERNING LAW
The terms of this agreement shall be constructed and interpreted
under, and all respective rights and duties of the parties shell be
governed by, the laws of the State of Nairn.
