HomeMy WebLinkAbout2012-11-26 13-021 ORDER COUNCIL ACTION Item No.'13_-021 Date: November 26, 2012 Item/Subject: Order, Authorizing the City Manager to Execute Agreements with Husson University and Eastern Maine Community College for Community Connector Transit Service Responsible Department: Executive Commentary: This Order would approve agreements with Husson University and Eastern Maine Community College for Community Connector transit service. These are renewal contracts with both institutions and the terms and conditions of the agreements will remain the same other than moving the dates forward for another year. All parties to the agreements are satisfied and pleased with the arrangements, which have proven beneficial for the City and both institutions. A similar service agreement is also in place with the University of Maine. This was reviewed and recommended for approval by the Government Operations Committee on November 19, 2012. Be it Ordered by the Bangor City Council than the City Manager is hereby authorized to execute Agreements with Husson University and Eastern Maine Community College to provide Community Connector transit service in accordance with the attached Agreements IN CITY COUNCIL November 26, 2012 Passed 13 021 MEMORANDUM OF AGREEMENT BETWEEN CITY OF BANGOR AND HUSSON UNIVERSITY I. PARTIES The Parties to this Memorandum of Agreement are the City of Bangor ("City") and Husson University("University"). II. TERM This Agreement shall take effect on August 1, 2012 and, unless sooner terminated as forth below, expire on July 30, 2013. III.. CITY OBLIGATIONS The City will: A. Own and operate a transportation service known as BAT Community Connector ("BAT CC"); B. Provide to University students and staff fare-free rides on all BAT CC routes upon presentation of a valid University identification card; and. C. Track such University student and staff usage of BAT CC. IV. UNIVERSITY OBLIGATIONS The University will: A. Promote the use of the BAT CC to its students and staff; B. Upon timely invoice by City, pay to City Five Thousand Dollars ($5,000.00) on August 1, 2012 and, subject to the review set forth below, pay an additional Five Thousand Dollars ($5,000.00) on February 2, 2013 as consideration for all above referenced University students and staff riding on the BAT CC without payment of any additional fares or other charges; and C. Make such payments to: City of Bangor/BAT CC, P. O. Box 937, Bangor, ME 04402-0937. 1 13 021 V. REVIEW The Parties will review the effect of this Agreement in December of 2012. If University use of the BAT CC service appears at that time to have been and/or to be meaningfully less than the Parties' reasonable projections, City agrees to consider University reasonable request to equitably adjust the payment due on February 2, 2013. VI. TERMINATION This Agreement may be terminated or suspended by either party with thirty (30) days' written notice. Any fees owed by University shall will be equitably prorated and promptly paid by the University to the City. VII. SIGNATURES The Parties agree to the above as evidenced by their signatures below.
