THAT the City Manager be and hereby is authorised to enter
into a Contract with Edwards & Eelcey, Inc. of Boston, a copy of
which is on file in the City Clerk's Office, for engineering
services related to the design of improvements to the roof of
the Domestic Terminal, the installation of Airport signing, the
extension of the commuter ramp, the installation of a blast fence,
and security lighting at Bangor International Airport, subject to
the approval of the Federal Aviation Administration and the State
of Maine Department of Transportation.

BANGOR, MAINE
AGREEMENT entered into the day of_____ . 19?C,

referred to as the Engineer for design, constriction supervision, resident inspection and
administrative work in connection with improvements to the Bangor International Airport as
hereinafter specified. It is understood that this projected work is to be carried out under
the Federal Aviation Administration's (FAA) Airport Improvement Program with participa-
tion by the Maine Department of Transportation, Division of Aeronautics (MOOT), herein -
aster refered to as the State Aeronautics Agency.
SCOPE
WHEREAS, the Owner proposes to:
••Rehabilitate Terminal Building Roof; Install Airport Road Signs; Expand Commuter
Ramp; Install Blast Fence; and Install Security Lighting for the General Aviation
Apron" at the Bangor International Airport, Bangor, Maine, and.
WHEREAS, the Owner desires professional engineering services in connection with the
aforesaid improvements:
NOW THEREFORE, the Engineer, for the fees and reimbursements named herein,
agrees to furnish the necessary processional engineering services to the Owner in accordance
with the follmving articles:
ARTICLE- A - PROCUREMENT OF SITE DATA
G. Field Dai. The Engineer shall secure such field data as needed for the proper
preparationoTtNe drawings and specifications.
b. Field Surveys. All field survey information will be provided to the Engineer by
the City.
C. Conferences and Meet! o. The pre -design conference and subsequent field site
meetings will be attended by the Engineer to discuss the scope of the work for the project.
ARTICLE B - DESIGNS, DRAWINGS AND SPECIFICATIO66
Proliminari Desicns. The Enaineer shall prepare preliminary designs and final
contract drawings and sh;il submit them to the Owner, to The State Aeronautics Agency,
and to the Federal Aviation Administration for review. The design of features shall 'o
carried out in accordance with gong rules and regulations, and in conformity with
standard practice; all with due reycd to the utility, economy, strength, and appecromce of
the facility improvement.
b. Final Contract Drawiras. Upon receipt of the comments and recommendations
on the final designs, by the Owner and the State and Federal Agencies, the Engineer shall
prepare drawings defining clearly the details of features as required for making contracts
for construction, such drawings to be in reproducible form To permit the making of such
prints as are needed for submission to The Owner, and for the use of bidders and the
conshmction contractors. Contract drawings are the property of the Owner.
Final Sae-Hfcaticns. The Engineer shall prepare specifications supplementing
the confratldrawings, defining clear!,, the quality of materials and workmanship entering
into the construction of features of the work, rock specifications are to be in reproducible
form and are the property of ?he 0 vner.
d. Final Estimates. The Engineer shall prepare estimates of construction cost, _
giving in detail the quantities of materials and work of the proposed construction. These
estimates will furnish the necessary cost data for the Project Application to the Administra-
tor of the Federal Aviation Administration; and will serve as a basis of judging the merit of
bids to be received for construction. -Since the Engineer has no control over the cost of
labor and materials, or over
ompetitive bidding and market conditions, the estimates of
constrictioncostsprovided for her -in are to be made on the basis of his experience and
qualifications, bar the Engineer does not guarantee the accuracy of such estimates as
compared to the Contractor's bid or tine final project cost.
e. Governmental AsProvals end Permits. The Engineer shall prepare such engineer-
ing data as will be reasonably needed for the securing of Owner, State and Federal
approvals, such approvals not being unreasonably withheld, and shall satisfy the Owner that
all proposed work conforms to Municipal, State, and Federal requirements.
f. Project Acolicatice. The foregoing final contract drawings, specifications and
estimates shall be in such form that they will be accepted by all agencies and will be
suitable to accompany the Project Application to the Federal Aviation Administration. The
Engineer shall prepare the Project Application for the Owner and the Federal Aviation
Administration. -
ARTICLE C - ASSISTANCE IN ARRANGEMEMS FOR CONSTRUCTION

Prepare oll forms for advertisement, aroposai,
contract bond, agreement and other conimct documents needed for the execution of
contracts for the construction of the work, including the preparation of a list of various
lasses of labor to be employed. The Engineer shall furnish engineering assistance to the
Owner in connection with the advertising; shall attend the opening of bids for the
construction; shall analyze and advise regarding the award of the contract by preparing an
abstracts of the bids, The Engineer shell provide the necessary assistance to the Owner for
situations requiring rebidding or deletion of project work items due to insufficient project
funding. Engineering efforts required relative to rebidding or deletion of work due to
insufficient funding will be treated as extra effort and compensation will be paid to the
Engineer an the basis of ARTICLE 1, paragraph a. Extra Services.
ARTICLE D- AD;AINISTRATIGM
0. Fund Allccnticns. The Engineer shall perform the administrative work required
because of Ticue and ederal participation in the project. Specifically, the Engineer shall
consult and correspond, as necessary, with the Owner on the following:
I. Obtaining data on funds expended and determining
which funds a 'eligible for participation in State
Grant payments•
2. Obtaining data on Owner's costs and commitments
for a 'ration and d _rrning their eligibility
for Federal panicipaf:on. e• n
3. The. Engineer shall consult as necessary with the
appropriate auditors in connection with the prepara-
tion of a final audit.
b. Retention of Records. The Engineer shall maintain all books, documents, papers,
accounting records, and other evidence pertaining to costs incurred under this contract
during the contract period and until the date of final payment and closure of other pending
matters at which time all such materials shall he delivered to the Owner. Such materials
shall be available in the Engineer's office for inspection at all reasonable times by the
Owner, State Aeronautics Agency, or any authorized representatives of the Federal Aviation
Administration, and the Comptroller General of the United States, and copies thereof shall
be furnished if requested.
ARTICLE E - GENERAL SUPERVISION OF CONSTRUCTION
a. Office and Field Duties. The Engineer shall attend a pre-constmction confer-
ence andcheck worming drawings furnished by the construction contractor; shall give
consultation and advice during Me c rction; shall provide general supervision and
administrative support to the resident ir�pecflon force provided under Article F heroinaftsq
and shall review completion of the work. Supervisory visits to the construction sire sho l' be
made periodically. The Engineer will attend a`inal inspection meeting .with the Owners the
State Aeronautics Agency, and the Federal Aviation Administration. -
b. Payed P t Rewesn and Construction Chances. The Engineer shall
prepare the forms to reque5ls o far and Federal Urunl Payments, shall explain to those
concerned the data therein, and shall obtain the required signatures of interested parties.
The Engineer shall do the administrative work as required in obtaining views and concur-
rence of all concerned including Owner, construction contractor, and State and Federal
agencies in reaching decisions during construction on construction methods, departures from
the drawings and specifications, processing of Change Orders, preparing Notice to Proceed,
Stop Orders and assessment of liquidated damages.
.ARTICLE F-RESCENft hISPECTiCM OF CONSTRUCTION
0. Field Inseectim The Engineer shall provide personnel for necessary resident
inspection to assure that cOnslruction is carried out in conformity with the contract
drawings and specifications. The Engineer shall provide sufficient stakes necessary for the
control of horizontal and vertical alinements during construction.
IS. Tei The Engineer shall provide or arrange for the necessary services and
equipment for the .making of required tests for construction quality control or for "approved
equals," if required. Reports shall be submitted by the Engineer to the Owner and Federal
and State Agencies imrn_diately after the results have been obtained.
c. -Estimates cad Reapr is of Precre3. The Engineer shall prepare all necessary
estimates Of quantities far 'pis subsequent use in preparing and approving payment requests
under this Article, and he shall submit daily inspection reports of progress to the Owner and
Federal and State Agencies.
J. As -Built Dr�awinn Upon completion of all construction work, the Engineer shall
prepare, execute, and furnish a copy of "As -Built° plans and final yuamities to the State
Aeronautics Agency and the Federal Aviation Administration with a reproducible copy to
the Owner.
e. Resident Inspection Exaenses. The Engineer shall be reimbursed for all out-of-
pocket expenses as stipulated under Article G. These expenses Include, but are not limited
to, toll calls, reproduction of daily inspection reports, tests required under paragraph "b".
above, car rental if required and two-way radio rental when required.
ARTICLE G -BASIS OF PAYMENT

shall be made for. manhours actuallyworked at the actual payroll rate plus 128.3% for
overhead plus subconrultant costs plus a fixed fee plus all out-of-pocket expenses directly
chargeable to the project.
I. Payment will be made for hours actually worked on the project-while the
employee is assigned to the project. Wage ranges for technical classifica-
tions of personnel in effect as of the date of this contract are attached as
Exhibit 'A'. - '
2. Attached to this contract is the certified Edwards and Kelcey, Ina,
rhead cost factor (Exinlat 'Bg. The overhead factor of 1?8.3% will be
used for the purpose of This contract.
3. It stall be the sole authority of the Engineer to determine the use of testing
bad other service svbconsultonts during the Engineer's performance of the
services outlined in Article E and F, provided however, that the Engineer
shall give prior written notice to the Owner if my such service not
previously agreed upon herein.
4. The aut-of-pocket expenses will also include, but are not limited to, travel
mileage billed at $0.20 per mile, lodging and subsistence billed at actual
cost, long distance telephone calls, car rental, and two-way radio rental
when required.
5. The total amount of $57,047 (Article E plus F for the Roof and Other Work
respectively) Is the estimated fee for Articles E and F assuming a 12 week
construction period for the Roof Work and six weeks for the Other Work and
will not be exceeded without prior agreement between Edwards and Kelcey.
Inc., and the Owner. If, however, the amount estimated proves insufficient
to carry out the requirements of this agreement, additional funds may be
provided by means of a supplemental agreement. In the event that the
Owner does not wish to increase its obligation beyond the budgeted amount,
Edwards and Kelcey, Inc., shall not be obligated to continue performance on
the project or to incur costs in excess of thestated' amount.
6. Payments are to be made to the Engineer monthly based upon the acrocl
payroll costs, subconsalttr t costs and expenses accrued for the month bdl ca.

7. Payment for any special bases, added construction work, or extra work as
defined in Article I shall be made far-manhours actually -worked at the

fixed fee plus all out-ofpocket expenses directly chargeable to the project
and as further described in paragraphs d-I to d-4 (inclusive) above.

L Cancellation. The Owner may abandon, suspend or terminate this agreement at
anytime, subject to payment to the Engineer for services already performed or on account
up to the date of abandonment, suspension or termination.
ARTICLE H- Taff ATIVE SCHEDULE
a. Performonce. A tentative schedule for the execution of the above-mentioned

the Engineer, the State Aeronautics Agency, and the Federal Aviation Administration and

ARTICLE I -EXTRA SERVICES AND SPECIAL CASS
0. Extra Services The Engineer shall make such revisions of the Final designs as
may be necessary to meet the requirements of the Owner, the State Aeronautics Agency,
and the Federal Aviation Administration. After a design has been approved by all agencies
and the Owner on the final plans and specifications, or after the bid opening, and on agency
or the Owner requires the Engineer to make substantial changes in the design, plans or
specifications thereafter, the Engineer shall make the required changes. The Engineer will
be paid for such services and expenses by the method stipulated in Article Or paragraph d-].
The Engineer will make design changes to the drawings and specifications at no cost to the
Owner for revisions that occur due to the Engineer's own design errors.
b. Added Consirxficn :York. The Engineer shall be paid extra compensation for
services and expenses called upon for the preparation of plans, forms and
approvals for added construction work or construction change orders. These services and
expenses shall he compensated for by the method stipulated under Article G, paragraph
d-].
C. Authorit . Extra services and/or added construction work shall be performed by
the Engineer onlyif approved in writing by the Owner, and by the State Aeronautics Agency
and the Federal Aviation Administration.
However, if at any time during the performance of this Agreement the Engineer
and the Owner mutually agree that time is of the essence, the Engineer may be required to
perform extra services and/or construction work if approved verbally by the Owner, and by
the state Aeronautics Agency and the Federal Aviation Administration.
d. Claims. If the Engineer is of the opinion that any work he has been directed to
perform is beyoniTthe intended scope of this Agreement and constitutes extra work, he hall
promptly notify the Owner in writing of that fact. In the event that the Owner determines
that such work does constitute extra work, the Owner shall provide extra compensation to
the Engineer on the basis of a negotiated lump sum or in .accordance with Article G,
paragraph d-0. In the event the Owner does net agree that the work the Engineer has been
directed to perform is beyond the intended scope of this Agreement, then it is the choice of
either party to have its dispute submitted to arbitration in accordance with the fallowing
paragraph "e.,
a. Arbitration of all questions in dispute under this Agreement shall be at the
choice of either party and shall be in accordance with the rules, then in effect, of the
American Arbitration Association. This Agreement she]( be specifically enforceable under
the prevailing arbitration law, and judgment upon the award rendered, may be entered in the
curt of the forum, state or federal, having jurisdiction. The decision of the arbiters shall
be a condition precedent to the right of any legal action. If the applicable statute of
limitations would bar the institution of pny legal or equitable proceedings based an a claim
or dispute under this Agreement, neither party shall have the right to seek arbitration of
such claim or dispute under this paragraph.
Court crd ?cclicA.ecearoxes. Nothing in this contract shmll be
anstrued to obligate ins Enginer 10 prepare for, -or appear in litigation in behalf of the
Owner, or at hearings other than those before the State Aeronautics Agency or the Federal
Aviation Administration. Should such services be required of the Engineer, he is to be paid
for the actual cost of such service and for any expense incurred in relation thereto, plus a
fixed fee.
g. Sleeting Lecafions. .The Engineer shall be paid extra compensation for time and
expenses of his employees called upon for conferences or other services rendered at
locations other than Boston, Burlington, Massachusetts or Bangor, higne.
h. Ana_�is. The Owner shall assist the Engineer in obtaining approval of all City
authorities having jar isdichon over the Project and such approvals and consents from such
other individuals or bodies as may be necessary for completion of the Project. -
I. Schedule Extension. When the tentative schedule, Article H, is extended by e
length of time (greater than 12 months) sufficient to cause a change in employee wage rates
and project expense rates, due to circumstances beyond the control of the Engineer, the
Engineer reserves the right to renegotiate the lump sum fee and c 1 -plus -fixed fee
estimated amounts in proportion to the change in employee wage rates and project expense
rates.
'ARTICLE d - ASSURANCE STATEMENT OF THE ENGINEER
Edwards and Kelcey, inc., of Boston, Massachusetts, the Engineer for the subject
project, hereby assures that the project will be conducted in compliance with the following:

thhEscalations. The Engineer shall comply •with the Regulations
relative to nondiscri minotion in Federally assisted programs of the Department of Transpor-
;ction "DOT' Title 49 Code of Federal Regulations, Part 21, as they may be amended from
time to time hereinafter referred toes the Regulations, which are herein incorporated by
reference and made a part of this contract. -
Is. Nondihodmination. The Engineer with regard to the work performed by it during
the contract, sha— nominate on the grounds of race, color, sex or national origin in
the selection aM retention of subcontractors, including procurements of materials and
leases of equipment. The Engineer shall not participate either directly or indirectly in the
discrimination prohibited by Section 21.5 of the Regulation, including employment practices
when the contract covers a program set forth in Appendix 6 of the Regulations.
C. Solicitationster S 'acts. In all solicitations by competitive bidding or
negotiation made by the Engin k to be perform=ed under a sobcontroct, including
procurements of materials or leases of equipment, each potential subcontractor or supplier
shall be notified by the Engineer of the Engineer's obligations under this contract and the
Regulations relative to nondiscrimination on the grounds of race, color, or national origin.
d. Information and Reports. The Engineer shall provide all information and
reports required by the TFegolations, directives issued pursuant thereto, and shall permit
access to its books, records, accounts, arbor sources of information, and its facilities as may
be determined by the Owner or the Federal Aviation Administration to be pertinent to
ascertain compliance with such Regulations, orders and instructions. Where any information
required of an Engineer is in the exclusive possession of another who fails- or refuses to
furnish this informati6n, the Engineer shall so certify to the Owner or the Federal Aviation
Administration as appropriate, and shall set forth what efforts it has made to cbiain the
information.
SaneRom for Ncrrcampliance. In the event of the Engineer's noncompliance
with the nondiscrimination provisions of this contract, the Owner shall impose such contract
sanctions as are appropriate, including but not limited to:
I. withholding of payments to the Engineer under the contract until the
Engineer complies, and/or
2. cancellation, termination, or suspension of the contract, in whole or in part.
f. Incorporation of Provisions. The Engineer shall include the provisions of
paragraphs '4" through Ile-, in every subcontract, including procurements of materials and
leases of equipment, unless exempt by the Regulations or directives issued pursuant thereto.
The Engineer shall take such action with respect to any subcontract or procurement as the
Owner or the Federal Aviation Administration may direct as a means of enforcing such
provisions including sanctions for noncampliance: Provided, however, that, in the event an
Engineer becomes involved in, or is threatened with, litigation with a subcontractor or
supplier as a result of such direction, the Engineer may request the Owner to enter into such
litigation to protect the interests of the Owner and/or the interests of the United States and
the State. -

U.S. Deparmle�'Gansportatmn I3 Federal Av anon dminsiration (FAA) Thai
minority and women business enterprises, as defined pursuant to section 3 of the Small
Business Act(15 U.S.C. 632) and its implementing regulations (13 CFR Parr 121), shall have
the maximum opportunity to participate in the performance of contracts financed in .whole
or in part with Federal funds under this agreement. Consequently, the Engineer agrees to
comply with the requirements of the DOT's regalations 49 CFR Part 23 and to ensure that
minority and women business enterprises, as defined in 49 CFR Part 23, have the maximum
opportunity to participatethe performance of contracts and subcontracts financed in
whole or in part with Federal funds provided under this agreement.
ARTICLE K— CERTIFICATIONS OF EiGiNEER

for me or the above consultant) to solicit or secure this contract,
b. agreed, as on express or implied condition for obtaining this contract, to employ
or retain the services of any firm or person in<onnection with carrying Cu; the contract, or
C. paid, or agreed to pay, to any firm, organization, or person (other than a bona
fide employee working solely i r the above consultant) any fee, ccrotibation,
donation, o consideration of any kind for, or in connection with, procuring or carrying out
the contract; except as here expressly stated (if any):
1acknowledge that this certificate is to be furnished to the Federal Aviation
Administration of the United States Department of Transportation, in connection with this
contract involving participation of Airport Improvement Program (AIP) funds, and is subject
to applicable State and Federal laws, both criminal and civil.

The Engineer shall caocerate with representatives and employees of the City o`
Bangor and also the representatives of the State Aeronautics Agency and the Federal
Aviation Administration, to the end that the project may proceed expeditiously and
