ORDERED,
THAT John R. Flynn, City Manager, is hereby authorized
and directed, on behalf of the City of Bangor, to execute a
Grant Agreement, a copy of which is on file in the Office of
the City Clerk, with the State of Maine Department of Human
Services providing a grant of funds for composes of providing
maternal and child health services in the City of Bangor.
Statement Of Fact: The purpose of this Order is t0 authorize
the acceptance of a grant from the State of Maine Department
of Human Services to fund two public health nurse positions,
and to pay related costa for the City's Maternal and Child
Health Services Program.

ARTICLES OF AGREEMENT
The Store of Maine. Department of Human Services, hereinafter referred to as the "Department" and the
Bailor Capt. of Health b Welfare of Banoor Maine ___
hereinafter referred to as the "Grantee" enter info this Agreementand, in consideration of the payments and
agreements hereinafter mentioned, the Department and the Grantee agree to comply with all terms and coq
ditions or farts in this Agreement
The following are the terms of the Agreement:
1. THE GRANT
This Grant consists of the Articles of Agreement, Rider A—Specification of Work to be Performed, and
Rider 8—The Budget Section. This grant contains the entire agreement of the parties and neither party shall
be bound by any statement pr representation not contained herein except as provided for in Article 14.
The parties agree to comply with all applicable Federal statutes and regulations, and with applicable
State Policies.
2. AUTHORIZATION
The Grantee represents that it por edam legal authority to enter into a Grant agreement wlth the German.

3. TERM OF GRANT
This Grant is effective commencing July 1, 1965 and ending
June 30, 1986 unless terminated earlier as provided herein.
4. GRANTAMOUNT
Grant Award of $ 42,960 Is conditional on the availability of State and Federal
funds,
During the period of this Agreement, the Grantee shall obligate/spend no more than S 42,960
to carry out the Project Activities. The Grantee is responsible for any funds expended or obligated that exceed
the Agreement amount. Funds unobligated at the termination of the Gram period must be returned to the
Department.
S. PER FORMANCE OF WORK
The Grantee will use the funds granted by the Department for the purpose of carrying Out the project
described in Rider A.
6. INDEPENDENT CAPACITY
The Grantee and her0ie agents and employees are acting in an independent capacity and not as an otfi

employees, or agents of the State. Grantee understands that she/he will accrue No retirement benefits,
vacation, sick leave or any other benefits available to Stale employees.
T. PAYMENTS
The Department will make payment in advance to the Grantee in four installments; however, the Depart
cent reserves the right to withhold payment if required reports are not submitted according to Smal le,

The Department has designated a person as "Grant Manager" who will be the Department's represents
Live during the period of this Grant. Sherhe will approve all payments to be made under this Grant and has the
authority to stop the Project or redirect the work if necessary to Insure satisfactory results.
9. REPORTS
A. Grants Management information System
All grantees are to participate in the Bureau of Health Grams Management Information System. A
Client Problem/Service Record will be kept by the Project staff for each client served Correll
Records will be submitted to the Division as required. Projects which do not provide direct services to
clients will not be subject to this requirement.
B. Guar illy Reports
Reports are due thirty (30) days after each quarter of the Grant period These reports will consist
of:
1. A description of the accomplishments of the Project in narrative, tabular antl/or graphic form
for that period.
2. A fiscal report indicating income and expenditures by line item, for that periotl.
The fourth quarter report should reflect the activities of the endire Grant period.
C. Other Reports
The Grantee agrees to submit to the Department such reports as the Department may request in
order o monitor and evaluate the terms of the grant agreement
10. OWNERSHIP
A. Whom excess acquired with Gram funds are (a) sold, of no longer available for use in the Project or
(c) used for purposes not authorized by fire Department, the Department's equity in the asset will be
refunded in the same proportion as its participation in its cost. In the event any assets are traded on new
items, only the net cast of the newly acquired assets is allowable.
S. Disposition of Cr itai Equipment
All capital equipment purchased under the terms of this Grant shall become the property of the
Department upon purchase and remain so upon termination of the Grant The Grantee may be requested
to return all or part of the equipment to the Department upon termination of the Grant
G All notebooks, plans, working papers, or other work produced in the performance of the Agreement are
the property of the Department and upon request shall be turned over to the Department. The Grantee
agrees that any publication resulting from the performance of this Agreement shall include the following
warning on its title page:
"The Project upon which this publication is based was performed
with funding from fire Division of Maternal and Child Health,
Bureau of Health, Maine Department of Human Services."
11. REQUIRED RECORDS
A. Financial Records
The Grantee agrees to maintain independent records, books, payrolls, documents and other evL
dance and accounting procedures and practices which sufficiently and accurately document costs
attributed to the operation of the Projects.
B. Program Records
The Grantee agrees to maintain records necessary to document all services provided to clients.
C. Capital£puipment
The Grantee agrees to maintain an inventory of all capital equipment purchased under this Agree
mens.
12. ACCESS TO RECORDS
The Grantee will make the above records available to the Department's Grant Manager, the Department's
Auditors, the State Auditor, and Federal Auditor at the Grantee's headquarters at any reasonable time during
the duration of the Project and for the ineeyear period after the Project's completion.
13. SUBCONTRACTING
The Grantee will not issue any subcontracts for work required by the Project unless approved in the Pro

jectplan or otherwise approved in writing by the Department's Grant Manager.
10. CHANGES IN THE PROJECT PLAN -
Changes in the scope, method, or finaMea of the Project which require a significant departure from the
approved! Project plan must be approved in advance and in writing by the Department's Grant Manager, The
Depanment's Grant Manager may order changes in the Project plan it she/he deems that such changes are
required for successful completion of the Project. if a change ortler small by the Departments Grant Manager
requires a change in Me total funds required for completion of the Project the Detainment will make an
equitable adjustment of funds Prior approval is required for budge changes in excess of 10% in either budget
category.
15. EQUAL EMPLOYMENT OPPORTUNITY
The Grantee agree not to discriminate against any employee or applicant for employment on this Pro.

when related to bona fide occupational qualification.
A. Written Plan
Grantee agencies with 15 or more employees must have a written Plan for affirmative action signed
by the chief executive officer of the agency which contains the following:
I. A general statement of commitmem toequalemployment opportunity with an affirmation
that the agency will not discriminate in hiring, promotion, training, layoffs, termination or any
other personnel action or Policy. This statement must be distributed to employees and recruitr
meet sources and a record kept of the documentation.
2. The designation of the official who is resoeusible for the affirmative action plan and EEO
policy.

Employment

2. Review its work force to evaluate the effectiveness of the agency's affirmative action program
and to identify instances where there may have been failures to carry out affirmative action.
When instance of discrimination are discovered they must be corrected and the correction
documented.
16. TRAVEL
Prior authorization is required for any travel Outofstater or Om of country. Reimbursement for mileage
and other travel expenses from Grant must not exceed the State race.
17. STANDARDS OF CARE
Grantee agencies Providing Preventive services to clients shall use the Bureau of Health's Standards of
Care as minimal standards, when such standards exist
18. INDEMNIFICATION
The Grantee will defend and hold harmless the State and its officers and employees against any damages
or losses suffered by any Person, firm, or corporation in connection with the Performance of the work under
this Agreement.
19. TERMINATION _
Either party hereto may, by giving at least thirty Lays written notice, terminate this Agreement. Upon
termination or expiration of this Agreement, as provided herein, the Grantee shall incur no further costs.
The Grantee agrees to liquidate all approved costs incurred during the period of the Agreement within six
months of the termination or expiration date. Any such termination shall not affect any obligations or liabili.
ties incurred by either party Prior to such termination. -
