ORDERED,
THAT the City Manager be and hereby is authorized on behalf
of the Municipal Officers toaccept Amendment No. 1 to an existing
Contract with Hoyle, Tanner &Associates$ Inc. for professional
services related to the design of the runway centerline lighting
system at Bangor International Airport,a copy of said Amendment
being on file in the Office of the City Clerk.
STATEMENT OF FACT
The proposed Amendment is a supplement to the original Contract
dated October 14, 1982, which provided for the preliminary and final
design, and the bidding of the centerline lighting system. The
Amendmentpprovides for the additional design of the removal of the
original ELFAEA lighting system which was installed by the Air Force
during the runway construction, additional costs of rebidding the
project and splitting the project into two contracts, the addition
of an item for general supervision during construction which was not
included in the original Contract, and special concrete tests relating
to the removal of the ELFAEA lights.

AMENDMENT NO. 1
TO
CONTRACT FOR PROFESSIONAL SERVICES
AIRFIELD LIGHTING IMPROVEMENTS
ADAP PROSECT NO. 6-23-0005-I1
AND PART OF
PIP PROJECT NO. 3-23-0005-01
BANGOR INTERNATIONAL AIRPORT
This AGREEMENT made and entered into at Penobscot County, Maine,
effective the 1st day of March, 1984, by and between the City of
Bangor, Maine (hereinafter called the OWNER( and the firm of
Royle, Tanner 6 Associates, Inc. of Londonderry, New Hampshire
(hereinafter called the CONSULTART).
WITNESSETH:
WHEREAS, the OWNER and the CONSULTANT entered into an AGREEMENT
dated October 14, 1982, for engineering services for a PROJECT
more specifically described as follows:
• Installation of centerline lights over the entire length of
Runway 15-33.
• Installation of touchdown zone lights at the approach end of
Runway 15-.
• Installation of Category II signs and pavement markings.
s Installation of a. new generator or modification to the
existing generator and switch gear required for operation of
the Category II system.
and;
WHEREAS, the OWNER and CONSULTANT agreed that compensation for
services under Article II, Paragraph S, "General Supervision"
could not be determined because the scope of the PROJECT was un-
known at the time of the execution of said AGREEMENT, and;
WHEREAS, the OWNER has entered into an agreement (Contract No.
DTFA12-84-C-P0013) with the FAA to furnish supplies, equipment
and services in conjunction with the removal and repair of the
ELFARA lighting system fixtures, and;

WHEREAS, the OWNER wishes to include .the ELPAEA light system
removal and repair as part of the PROJECT, and;
WHEREAS, the OWNER requires services for control and testing of
construction materials for the centerline and touchdown zone
lighting system and for the ELFAEA light system repair, and;
WHEREAS, the OWNER accepted bids on September ], 1983 for the
installation of the runway centerline and touchdown zone lighting
system, and;
WHEREAS, the OWNER, upon receiving advice from the CONSULTANT,
the FAA and Maine DOT, decided to reject the bids, and;
WHEREAS., the OWNER has readvertised for and accepted bids on
April 5, 1984, and;
WHEREAS, the OWNER has required .the services of the CONSULTANT to
assist with the re -bidding of the PROSECT, and;
WHEREAS, the services of a professional engineer or engineering
firm will be required by the OWNER to provide general
supervision, design of the ES.FAKA lighting system removal and
repair, control and testing of construction materials for the
ELFAEA light repair portion of the PROJECT and to provide
additional bidding phase services, and;
WHEREAS, such services are of a distinct professional and
non-competitive nature;
NOW THEREFORE, in consideration of these premises, the CONSULTANT
and OWNER agree to amend their AGREEMENT dated October 14, 1982
as follows:
e Under Article II. SCOPE OF SERVICES - CONSTRUCTION PHASE,
ADD the following:
Paragraph C. Control and Testing of Construction Materials
1. Obtainsamplesand have necessary laboratory testing
Performed on concrete aggregates.
2. Prepare 2 -inch cubes of the concrete and have necessary
testing performed by the testing laboratory,
3. Prepare 6 -inch standard cylinders of the concrete and
have the necessary compression tests performed by the
testing laboratory.
4. Prepare standard beams of the concrete and have the
necessary flexure tests performed by a testing
laboratory.

ARTICLE XVI - SCOPE OF SERVICES - ELFAXA LIGHT SYSTEM REPAIR
The CONSULTANT shall undertake and complete the design of
the ELFARA light system repair construction to be included
in the PROJECT. The CONSULTANT will additionally provide
construction phase and administration phase services similar
to that indicated under Article II.R. and under Articles III
and IV Of the original AGREEMENT.
a Under Article VI, Paragraph B, ADD the following'
subparagraph:
3. For all work under Article XVI, "SCOPE OF SERVICES
ELFAEA LIGHT SYSTEM REPAIR," a lump sum fee of ten
thousand six hundred and 00/100 dollars ($10,600.00)
a Under Article VI, Paragraph C, Subparagraph 3, INCREASE the
amount for providing services under Article II, Paragraph A,
"Bidding," from $1,800.00 to three thousand nine hundred
fifty and 00/100 dollars ($3,950.00) which includes a fixed'
fee payment in the amount of $450.00.
a Under Article VI, Paragraph C, Subparagraph 5, DELETE the
existing wording in its entirety and ADD the following:
5. For providing general supervision services under Article
II, Paragraph E, the amount of eighteen thousand nine
hundred and 00/100 dollars ($18,900.00) which includes a
fixed fee payment in the amount of $2,100.00.
a Under Article VL, Paragraph C, ADD the following:
6. For providing services under Article II, Paragraph C,
"Control and Testing of Construction Materials" the
amount of two thousand three hundred and 00/100 dollars
($2,300.00) which includes a fixed fee payment in the
amount of $300.00.
All other items and conditions of the original AGREEMENT remain
Unchanged.

M EREAS, the State of Maine, City of Bangor, hereinafter referred to as City of Bengm.
ME, is in a position to furnish directly, or by contract, supplies, equipment, and
setvices hereinafter described in ARTICLE I hereof, which the Federal Aviation "Mini
tion, hereinafter referred to as the FAA, requires, has funds available for, and has
determined should be obtained from the City of Bangor. ME and said determination has
been concurred in by the City of Bangor, ME.
NOW, therefore, the FAA and the City of Bangor, ME, mutually agree as follows:
ARTICLE I: TITLE AND DESCRIPTION OF PROJECT
(See Appendix A which is attached hereto and made a part hereof.)
ARTICLE 11: PAYMENT OF COSTS
A. The total cost to the FAA for performance of this Agreement will not
exceed $150,000 for disposition of the Ni FMN ligbting cyst me fixtures. And the City
of Bangor, Maine agrees to perform the work specified in ARTICLE I and all obligation]
under this Agreement within each estimated mats.
B. If at any time the City of Bangor, HE has reason to believe that the
total cost to the FAA for the performance of this Agreement will be greater than the
satins ted cost hereof, the City of Bangor, ME sball notify the Contracting Officer,
In writing, to that effect, giving the revised astimate of such total cost for the
performance of this Agreement.
C. Me City of Bangor. ME hereby identifies the billing office as.

ARTICLE 1111 ANENOMENTS
Any change in theservice to be furnished under this Agreement
shall be formalized by an appropriate written amendment to this Agreement,
which shall outline in detail the exact nature of the .change.
ARTICLE IV: EFFECTIVE DATE
This Agreement is effective as of the date the Agreement is
executed by the FAA.
ARTICLE V: LIABILITY
A. Bald Harmless
City of Bangor, HE, its officers and employees, at its exp
shall defend, indemnify and hold harmless the United States, F.A.A. or any I
strumentalicy of the United States from and against all claims, causes of ac
suits, losses, damages and penes (including attorney's fees and cost of
investigation and litigation) based upon or arising out of the work to be
performed under this agreement. provided that City of Bangor, ME, shall not
be liable for any loss caused by fault or Negligence of the United States,,
F.A.A., or any instrumentality of the United States.
The United States, F.A.A. and any instrumentality of the
United States shell give City of Bangor, ME reasonable notice of any claims
threatened o suits instituted against it which could result in a claim of
Sndemnlfication hereunder, and City of Bangor, ME shall have the right to
compromise and defend the same to the extent of its own interest.
B. Damages
Except for damages to or destruction of F.A.A. property
caused by the P.A.A., the United States or any instrumentality of the United
States, City of Bangor, MF agrees to reimburse the P.A.A. for any damage
to or destruction of F.A.A. property arising out of work order this Agreement
caused by the negligent act of any City of Bangor, ME officer or employee.
C. Future maintenance of the rummy surface in the repaired
areas of the ELFAKA System shell be the responsibility of the City of Bangor, ME
'ARTICLE VI: REVOCATION
This Agreement may be revoked at any time by either party by
sixty (60) days notice in writing._„
ARTICLE VII: EXPIRATION
