ORDERED,
TEAT the City Manager be and hereby is authorized to enter into a
Contract with EconOmica Research Associates of Cambridge, Massachusetts
for a study to determine the feasibility and projected costs for the reuse
of the Waterworks facilities as an aquarium, a copy of said Contract being
on file In the City Clerk's Office, subject to the approval of the Contract
by the State Planning Office.
STATEMENT OF PACT
This project is part of a $26.000. Coastal Zone Management Project
which has been previously funded. This Contract provides for the study of
reuse of the facilities, with a cost of said study not to exceed $19,000.
Twenty percent of the total project coat has been funded locally.

Dear Mr. Frawley:
Itsa pleasure speaking with you regarding the proposed
development of the Bangor Waterworks Building. As
requested, v r¢ubmitting a more detailed scope of services for review
by the Aquarium Committee.
This proposed scope of services would be carried out in Conjunction
with Cambridge Seven Associates of Cambridge, Massachusetts. Information
on both our Firms has been included for your review.
SCOPE OF SERVICES
Task 1. Data Assembly and Initial Meeting
Economics Research Associates will review any previously assembled
data and findings, and meet with the Aquarium Committee to determine
priorities and goals.
Task 2. Attendance Projections and Characteristics
We will project attendance at the proposed facility and evaluate the
following:
o Annual volume of visitors;
o Distribution of visitation by season and month;
o Distribution of visitation by adult and child and group size,
including school groups, as appropriate;
o Distribution by resident versus tourist.

Task 3. Characteristics of Comparable Facilities
Attractions of the type generally comparable with the proposed
project will be identified aM evaluated,
The analysis of other attraction facilities will include:
o Total visitation;
o Distribution of resident versus tourist marketors and
visitor origins within the resident market, as available;
o Attraction/exhibit content,
c Admission charge;
o Revenues and costs,
o Facility sizing parameters.
Task 4. Pupates Development
o Confer with the Aquarium Committee and others to identify the
desired program priorities and goals;
I Visit related visitor facilities to become familiar with these
existing institutions;
o Developa exhibit concept consistent with the Aquarium
Committee goals;
o Develop a recomended program of space needs for the aquarium
including public areas, exhibits, back-up service requirements,
administrative, service and maintenance spaces;
o Coordinate the final proposed program of space needs, with the
visitation and facility sizing analysis performed in Task 2.

Task 5. Financial and Operations Analysis
EEA will develop a preliminary pro forma financial analysis for the
proposed facility within the coarser of the development program discussed
above.
TIMING AND BUWBT
The above scope of services could be completed within eight to ten
weeks of authorization to a proceed. At the conclusloo of the study, a
concise technical memorandum, summarizing our findings will be prepared.
we have assumed one person -trip to Bangor to meet with the Aquarium
Committee, and to become acquainted with the city and its institutional
and recreational offerings. We additional person -trips would be required
o present the draft and final reports.
Tasks 1 through 5 could be completed for a professional fee of
$19,000. Direct costs,
such as travel, production and computer time,
would be included in the $19,000. The following billing schedule is
proposed:

Acceptance anal authorization to proceed may be indicated by signing
one copy of this proposal and returning it with a check for the deposit to
the Cambridge office of Economics Research Associates.
Other contractual requirements are covered in the attached EEA
Standard Proposal Addendum and are hereby incorporated by reference into
this agreement.

STANDARD PROPOSAL ADDENDUM
It B understood by the client that Economics Research Associates (ERA) can make
no guarantees conception the recommendations which will result from the proposed assign
mem, since these recommendations must be based upon facts discovered by ERA during
the course of the study and those conditions existing as of the date of the repot To protect
you and other clients, and to assure that the research results of ERA's work will continue
to be accepted as objective and impartist by the business community, it is understood that
OUT fee for the undertaking of this project is Or no way dependent upon the specific conclu-
sions reached or the nature of the advice given by us in out report to you. .
It is agreed by the client that the report is not to be used in conjunction with any
public or private offering of debt or Nutty securities without our prior written consent.
It is further agreed that The client will indemnify ERA against any losses, claims,
damages and liabilities under federal and state accurihes laws which may arise as a result of
statements or omissions in public or private offerings of securities.
It is agreed by the darn[ that payment for the services of ERA is due upon receipt
of the tricks; that full payment is due upon receipt of the completed report; and that
ERA las the tight to withhold delivery of the final report pending receipt of any overdue
payments.
In the event any invoice is not paid within 30 days after rendering of the invoice
it shall commerce, bearing interest on the date the invoice was rendered at 0e rate of
IS percent per annum (or such leaser rale as may be The maximum interestpermissible
under applicable law) and the client agrees to pay all accrued interest, together with the
charges for services
s rendered as provided for in this agreement In addition, should an
unpaid invoice be refined to our attorneys for collection, the client agrees to pay their
reasonable fee for such work, as well as any costs of suit which may be incurred.
It Is further agreed by the client that the report will be presented to third parties
to its entirety and that no abstracting of the report will be made without first obtaining
the permeation of ERA.
It is understood by ERA that the findings of this report are the proprietary property
of the client and they will not be made available to any other organization or individual
without the comment of the client.
This proposal will remain in force for a period of 60 days from the date shown
hereon.
