The grantee shallprovideSTD Clinical and Epidemiologic services for the citizens of Penobscot, Waldo,Hancock, Washington, Somerset, Piscataquis and Aroostook counties. Two full-time and one part-time positions are funded:. ... U Clinic coordinator/epidemiologist (Job description, attachment 1) 2) Assistant Clinic Coordinator/epidemiologist (Job description attachment 2) 3) Part-time Lab Technician The grantee .shall be responsible for stat reporting of SID morbidity and quarterly epidemiologic data using standardized STD Control Program forms and will serve as the SID Program liaison with all private medical care providers in the area. The grantee shall attach disease control priority to the control of syphilis, gonorrhea, chlamydia and HIV infection. The application of disease control to the problem of Human Immunodeficiency Virus entails the management of anonymous counseling and testing for at -risk volunteers and the notification of exposed contacts to infectious persons. STANDARD AGREEMENT Page 3 of S RIDER A PAYMENT AND OTHER PROVISIONS 1. CONTRACT PRICE. 2. INVOICES AND PAYMENTS. Payment shall 6e made by the Department within 15 days after receipt of an approved itemized invoice submitted by the Contractor upon his usual billing farms or business letterhead. 3, ANABRIIS ANO, DEWCfICNS. If the Contractor is an individual, the Contractor understands and agrees that he is an Independent Contractor for whom no Federal r State Income Tax will be deducted by the Department, and for whom no retirement benefits, survivor a r benefit insurance, group life ins vacation and sick leave and similar benefits available to State employees will accrue. The Contractor further understands that annual information returns as. required.. ,. by the Internal Revenue Code or State of Maine Income Tax Law will be filed by the State Controller with the Internal Revenue Service and the State of Maine Bureau of Taxation, copies of which will be furnished to the Contractor for his Income Tax records. 4, IIIDBPffiB)gNT CAPACITY. no parties hereto agree that the Contractor, and any agents and employees of the Contractor, in the performance of this agreement, shall act in an independent capacity and not as officers or employees or agents of the State. 5. CONTRACT ADMINISIHAIDR. All invoices, progress reports, correspondence and related submissions from the Contractor shall be directed to: Name: David L. The Contract Administrator shall be the Department's representative during the period of this agreement. He has e authority to stop the work if n s necessary to a its proper execution. He shall certify to the Department when payments order the contract are due and the mounts to be paid. He shall make decisions onall claims of the Contractor, subject to the approval of the Read of the Department. ). CHARGES IN THI NOU. The Department may order changes in the work, the contract sum being adjusted accordingly. All such orders and adjustments shell be in writing. Claims by the Contractor for extra cost must ba made in writing and signed by the Contract Administrator before executing the work involved. Unless provided for in this contract, no contract shall be made by the Contractor with any other party for furnishing any of the work or services herein contracted for without the consent, guidance and approval of the Contract Administrator. Any subcontract hereunder entered into Subsequent to the execution of the contract must be annotated 'approved' by the Contract Administrator before it is reimbursable hereunder. This provision will not be taken as requiring the approval of contracts of employment between the. Contractor and his employees assigned for services thereunder. 10. SUBL Cqg;, idWUt 8ffiR M TWANSFER. The Contractor shall not sublet, sell, transfer, assign, or otherwise dispose of this agreement or any portion thereof, or of his right, title or interest therein, without written request to and written cosent of the Contract Administrator, except to a bank. No subcontracts or transfer of agreement shall in any case release the Contractor of his liability under this agreement. 11. gxU OpPogTUNT1Y. During the performance of this contract, the Contractor agrees as follows: e The Contractor will not discriminate against any employee or applicant for employment relating to this agreement because of race, calor, religions sex, ex national origin, ancestry, age or physical handicap, unless related to a bona fide occupational qualification. The Contractor will take affirmative action to ensure that applicants are employed and employees are treated during employment, without regard to their race, color religion, sex, age national origin Such action shall include but not be limited to the following: employment. upgrading, demotions, or transfers; recruitment o recruitment advertising; layoffs o terminations; rates of paor other forms of compensation: and selection for training including apprenticeship. TTe Contractor agrees to post in conspicuous places available to employees and applicants for employment notices setting forth the provisions of this nondiscrimination clause. b. TTe Contractor will, in all solicitations r advertising for employee placed by o n behalf of the Contractorrelating to this agreement, state that all qualified applicants will receive consideration for employment without regard to race, color, religious creed, sex, national origin, ancestry, age or physical handicap. The Contractor will send to each labor union or representative of the workers with which he ham a collective or bargaining agreement, or other contract a understanding, whereby he is furnished with labor for the performance of this contract, a notice, to be provided by the contracting department or agency, advising the said labor union or workers' representative of the Contractor's commitment under this section and shall post copies of the notice in conspicuous places available to employees and to applicant for employment. d. The Contractor will cause the foregoing provisions to be inserted in any subcontracts for any work covered by this agreement so that such provisions shall be binding upon each subcontractor, provided that the foregoing provisions shall not apply to contracts or subcontracts for mpe standard commercial supplies or raw materiels. TheContractor, or any subcontractor holding a contract directly under the Contractor, shall, to the maximum feasible, list all suitable employment openings with the Maine Employment Security Commission. This provision shall ontractolyto holding a employment openings which the Contractor, or any contract under the Contractor, proposes to fill from within its own organization. Listing of such openings with the Eamployment Service Division of the Maine Employment Security Commission shall involve only the normal obligations which attach to such listings. 13. This provision shall not be construed to extend to this contract if made with a corporation for its general benefit. 13. WARRANTY. The Contractor warrants that it has not employed or written any company or person, other than a bona fide employee working solely for the Contractor to solicit orsre this agreement, and that it has not paid, or agreed to pay any company or other than a bona fide employee working solely for the Contractor any fee, commission , percentage, brokerage fee. gifts, or any other consideration. contingent upon, or resulting from the award r for making this agreement. For breach a violation of this warranty. the Department shall have the right to aMulthis agreement without liability or, at its discretion, to deduct it= the contract price r consideration, or otherwise recover the full aent of such fee, commission, percentage, brokerage fee. mgifts, or contingent fee. 14. ACCESS W RECORDS. The Contractor shall maintain all books, documents, payrolls, papers, accounting records and other evidence pertaining to cast incurred under agreementthis and to make such materials available to their offices at all reasonable times during the period of this agreement and £ or three years from the date of the expiration this sagreement, of inspMainection tio by the Department or any authorized representativeae Statcopies thereof shall be furnished. if requested. ACGMS W ggWgDS. The Contractor shall maintain all books, documents, payrolls, papers, accounting records and other evidence pertaining to cost incurred under thisagreement ent and to make such materials available to their offices at all reasonable times during the period of this agreement and for three years free the date of the expiration of this agreement, inspection by the Department or any authorized representative of the State of Maine and copies thereof shall be furnished, if requested. Funds provided under this agreement are subject to the audit requirements contained in the Maine Uniform Accounting and Auditing Practices for Community Agencies (MMP), and are further subject to audit by authorized representatives of the Federal goverment. 16. TWO¢N.STION. The performance of work under the contract may be terminated by the Department In whole. or, from time to time, in part whenever for any reason the Contract Administrator shall determine that such termination is in the best interest of the Department. My such termination shall be effected by delivery to the Contractor of a Notice of Termination specifying the extent to which performance of the work under the contract is terminated and the date on which such termination becomes effective. The contract shall be equitably adjusted to compensate for such termination and the contract modified accordingly. In any event, this contract shall terminate on ache, in, 19gp_. 11. COvgRNMH1fMRROU1RHd@1'P5. TTa Contractor warrants and represents that all gov rmmental ordinances, laws and regulations shall he complied with. Ig. IMgIVAE'fATTON AND PARFORMAO:g. This agreement shall be governed by the laws of the State of Maine as to interpretation and performance. 19. OUNDOUSEELP. All notebooks, plans, working papers, or other work produced in the performance of this contract are the property of the Department and upon request shall be turned over to the Department. 20. The Contractor agrees to indemnify, defend and save harmless the State, its officers, agents and employees from any and all claims and lasses accruing o resulting to any and all contractors, subcontractors, materialma . labor and any other person, firm o corporation furnishing or v supplying work, services, materials o supplies in connection with the performance of this contract, and from any and all claims and losses accruing or resulting to any per, , fio corporation who may be injured or damaged by the Contractor in therm performance of this contract and against any liability.rncluding costs and expenses for violation of proprietary rights, r copyrights, o rights of privacy, arising out of publication, translation, reproduction, delivery. performance, or disposition of any data furnished under this contract or based on any libelous or other unlawful matter contained in such data. 21. APPROVAL. This contract 1s subject to the approval of the Maine Attorney General's Office and the State Controller before it can be considered as a valid, executable document. Also performs similiar investigative inquiry of all named contacts to infectious cases of above-named infections. Strives to meet commitments made in SID Control Program objectives relating to treatment verification and speed factors attached thereto. PRIWY RESPONSIBILITY 20% Assures interview services, either personally or through attending care providers effectively promoting the services of the Bangor SID Clinic for examination and treatment of persons named as contacts to infected persons. This will be accomplished through the use of 1)interview logs and 2) self-referral cards. Strives to meet epidemiologic indices of the SPD Control Program as itemized intheSID Control Program Grant objectives. Maintains recommended interview logs for both clinic and non-clinic interviews of gonorrhea, chalmydia (including NGU/MPC). Maintains Lot Record System for Syphilis interview (9.54) files. PRIINRY RESP... 401 Provides counseling and testing services on the premises of the Bangor SID Clinic on behalf of that department and the AIM Prevention Program for at least three hours par day. This will involve 1)accessible live telephone Coverage for persons calling in for counseling and testing appointments, Meaning Nose pre and posttest appointments serviced as a state-certified counselor and phlebotomist and 3)providing records of counseling and testing activities to the Health Educator II SID/AIDS and the Reactor Program. Ibis service will also be available to nortbern region private-sector counseling requests which originate with the Reactor Program and through the health Educator lI In Augusta. PRIMARY RESP. 54 Provides contact notification services as requested by clinic and on-clinic patients either 1) as a direct request from a counseled patient, 21a request resulting from Reactor Program inquiry, 3)a confirmed interstate request from another Program.
