an agreement with the firm of Metcalf k Eddy of Boston, Massachusetts
for the design of the Kenduskeag Stream parldng project in accordance
with the proposal from said Metcalf and Eddy dated March 24, 1961,
a copy of which is attached herewith.

Pursuant to your request, the following proposal for
engineering services for design, in connection with the
proposed Kenduskeag Stream Improvement and Parking Area, is
submitted for your consideration.
A. Work of Engineers:
1. We would prepare the detail designs, contract
drawings, apecificatlonB, and contract documents for the
proposed intercepting sewers between the State Street and
Hammond Street severe, to and including the proposed temporary
outlets south of Washington Street, and for the proposed park-
ing areas and stream channel improvement, a footbridge and a
vehicle bridge, as outlined in our report upon Kenduskeag
Strom Improvement and Proposed Parking Areas between
Washington Street and Hammond and State Streets," dated
July 25, 1958, with modification as set forth in our letter
to you dated March 3, 1961.
2. The drawings, contract documents, and
specifications would be suitable for obtaining proposals from
contractors for construction and for Betting forth the
requirements of the project. Provision would be made for
furnishing all materials and doing all work required, under
a single construction contract. Twenty-five Beta of contract
drawings and documents would be furnished to the City. The
contract documents would be prepared so that alternate bids
would be obtained (1) including the vehicular bridges and the
pierhead at the south Bide of the Hammond -State Street bridge
and (2) excluding such vehicular bridges and pierhead.

Pursuant to your request, the following proposal for

3. Assist in assuring and analyzing bids for
construction of the project and make recommendations relative
to the award of the contract for construction.
4. Should proposals for construction of the
project be rejected, if requested in Writing by the City,
we would make such changes in the designs, plans, specifica-
tions and contract documents as may be necessary in prepara-
tion for readvertising for proposals for construction, and
assist and advise the City relative to the readvertlsdng,
comparison of bids, and award of a construction contract.
B. Work of City:
All significant plans and data in the files of
the City of Bangor are to be made available without cost to
us. All negotiations in connection with acquisition of land
and easements and permits required are to be undertaken and
carried out by the City.
The City is to obtain all permits required for
ourselves and employees to enter upon lands and properties
as necessary to make examinations or measurements, all with-
out expense to us for such permits.
All field surveys, test pits, soundings, or
soil borings, as required, shall be made at the expense of
the City and data pertaining thereto shall be furnished to
us in suitable form.
All costs of publishing legal notices and advertise-
ments relative to the receipt of bids, are to be paid by
the City.
C. Compensation
1. For the engineering services described under
A, "Work of Engineers," namely, for designs, contract
drawings, specifications and documents, and assistance in
securing and analyzing bids, compensation is to be the sum

of $53,000.00 to be paid in five monthly installments of
$92000.00 each, plus a final payment of $8,000.00. The
first payment to be made 30 days after authorization to
proceed, and the final payment within 30 days of submission
of recommendations relative to award of the construction
contract.
2. It is understood that preliminary designs
will be submitted to the City Engineer of Bangor for his
approval before we proceed with the completion of detail
designs, contract drawings, and specifications. In the
event that the City shall require us to redesign the project
or portions thereof, and such redesign is required because
of changes requested by the City Engineer, after he has
approved the preliminary designs, we are to be compensated
for services in connection with such redesigns, as follows:
a. For services of partners, time
charged against the redesign,
at the rate of $150 per day.
b. For services of members of
our staff, for their time
charged against the redesign,
the salary of professional
and technical employees
multiplied by 2.5.
3. Should the City request contract drawings or
documents in addition to the 25 sets to be furnished as
stated in Paragraph A-2, we are to be reimbursed for the out-
of-pocket expense to us for the additional drawings and
documents plus 50 percent service charge.
4. Compensation for engineering services, as set
forth in Paragraph A-4, in connection with readvertiaing,
Charges in designs and assistance and advice, is to be in
accordance with the terms as stated above for services for
redesign, Paragraph C-2.

5. In the event that engineering services are
requested by the City, after award of the construction
contract for the project, we are to be reimbursed for such
services in accordance with the terms as stated above for
services of redesign, Paragraph C-2, plus out-of-pocket
expenses for subsistence and travel for partners and employees
when required to be away from our Boston office, and for long-
distance telephone charges in connection with such services.
D. Litigation and Additional Work:
Nothing herein contained shall be construed to
obligate us to prepare for or appear in litigation on behalf
of the City of Bangor, to make investigations or reports,
or to supply engineering services not covered by this
proposal, except In consideration of additional compensation
to be mutually agreed upon.
It is estimated that from four to five months
time will be required for the preparation of detailed designs,
contract drawings, specifications, and contract documents
ready to advertise for bids for construction.
We appreciate the opportunity of submitting this
proposal and your consideration thereof. We are prepared to
proceed forthwith 'dith the designs, drawings, and documents
in the event that authorization therefor shall be obtained.
If there are questions relative to the subject
matter of this proposal, we shall be pleased to discuss them
with you at your convenience, and attempt to make such changes
and adjustments as yen may require.

By the City Council of the City of Bangor:
ORDERED, (1) That there is hereby authorized a permanent
public improvement for the City of Bangor, namely the Kenduskeag
Stream Parking and Sewer Project, consisting of (a) construction
of retaining walls to confine the Kenduskeag Stream within a
channel of about eighty (80) feat in width in that portion of
said Stream lying between the Washington Street Bridge and the
bridges at Hammond and State Streets (with transitions to conform
to the existing stream openings under such bridges); filling
and paving the area between such retaining walls and the existing
wharf lines along said portion of the Stream so as to create
parking areas on both the east and west sides of the Stream;
construction of approaches to such parking area from Water,
York, Hancock and Washington Streets, and including a ramp from
the Washington Street Bridge; construction of a foot bridge
across the Stream at a point roughly midway between the Wash-
ington Street Bridge and the bridges at Hammond and State Streets)
and provision for the parking areas of railings, stairs to
State and Hammond Streets, lighting, drainage facilities, park-
ing islands and other necessary appurtenances) and (b) construc-
tion of intercepting sewers and related appurtenances within
said portion of the Stream along its east and west sides in such
manner as to collect sewage which now empties into said portion
of the Stream and discharge same downstream of the Washington
Street Bridge; such Project to be constructed substantially in
accordance with the plans and specifications prepared (with the
assistance of the City Engineer, the City Manager and Mr. W. S.
Evans, head of the Civil Engineering Department at the University
of Maine) by Metcalf and Eddy, Engineers, of Boston, Massachusetts,
and set forth in a Report to the City Manager, dated July 25,
1956, entitledKanduskeag Stream Improvement and Proposed Parking
Areas Between Washington Street and Hammond and State Streets",
as amended in communications to the City Manager dated March 3
and March 149 1961, but with such changes in such plans and
specifications as shall be approved by the City Engineer and the
City Manager.
Such Project is hereby determined to have a useful life of
at least thirty years and there is hereby appropriated the sum
of $1,650,000 to meet the estimated total cost of the Project,
which is as follows:

(2) That pursuant to Section 8 of Article VI of
the City Charter (Private and Special Laws of 1931, Chapter 54),
and all acts amendatory thereof and additional thereto, and for
the purpose of meeting the appropriation just authorized, there
numbered 1 to 1,6$05 inclusive+ each in the denomination of $1,000
and payable $85,000 on the first day of August in each of the years
1963 to 1981, both dates inclusive and $3$,000 on the first day
of august, 3981-, y5W8t.
The said City of Bangor hereby pledges its faith and credit
for the payment of the principal of and interest on said bonds,
but neither this band nor any coupon for interest hereon shall
become obligatory until the bond is authenticated by the certi-
ficate of said The Merchants National Bank of Bangor endorsed
hereon.
IN WITNESS WNEBEOF, the said City of Bangor has caused its
corporate seal to be hereto affixed and this bend to be signed
in its name and behalf by its City Treasurer and countersigned by
the facsimile signature of the Chairman of its City Council and
the attached coupons to bear the facsimile signature of said City
Treasurer, as of the first May of August, 1962.

fied here at The Merchants National Bank of Bangor,

for interest on its Nenduskeag Stream Improvement Loan
Bond, dated as of August 1, 1962.

(4) That the City Treasurer, with the approval of
the Finance Committee and the Chairman of the City Council, is
hereby authorized and directed to prepare, issue and sell the
bonds herein authorized at public sale, at net less than par
and accrued interest to date of delivery, in such manner, at
such time and upon such terms as he shall determine, with ap-
proval as aforesaid, and to give a receipt for the payment of
the purchase price for said bands and to do all things necessary
or proper subject to this order and applicable provisions of
law, to effectuate the issue and sale of said bonds.
(j) That in each of the years during which any of
said bonds are outstanding, there shall be levied a tax in an
amount which, with other revenues, if any+ available for the
purpose, shall be sufficient to pay the interest upon said bonds
payable in such year and the principal of said bonds maturing
in such year.
(6) The City Treasurer with approval of the Fi-
nance Committee and the Chairman of the City Council is hereby
authorized under the authority of Section 10 of Article 6 of�
the City Charter and any other enabling authority to issue and
sell from time to time notes of the City of Bangor 1n antici-
paticn of the issue and sale of the bonds hereinabove authorized

is hereby authorized the issue and sale of one million six hundred
fifty thousand dollars ($1,650,000) aggregate principal amount of
serial coupon bonds of the City of Bangor, to be in the denomina-
tion of $1,000 each, to be numbered 1 to 1,650, inclusive, with
interest payable semiannyally, at such rate as shall be deter-
mined by the City Treasurer, with the approval of the Finance
Committee and the Chairman of the City Council. Said bonds
shall be dated August 1, 1962, shall be payable eighty-five thou-
sand dollars ($85,000) on the first day of August in each of
the years 1963 to 1981, inclusive and thirty-five thousand
dollars ($35,000) on the first day of August, 1982, shall bear
the City seal, and shall be signed by the City Treasurer and
countersigned by the Chairman of the City Council, who is hereby
authorized to use a facsimile of his signature on said bonds
pursuant to Section 14(VIII) of Chapter 90A of the Revised
Statutes. The coupons annexed shall bear the facsimile signa-
ture of said Treasurer. Premiums if any, less the costs of pre-
paring, issuing and marketing the bonds, shall be used to meet
the first maturing principal of said bonds. Said bonds shall
be authenticated as to genuineness by The Merchants National
Bank of Bangor, in Bangor, Maine, and shall be payable as to
principal and interest at said Bank, provided, however, that
the City Treasurer is authorized to select a co -paying agent
located in the City of Boston, Massachusetts, in which case said
bonds shall be payable as to principal and interest at The
Merchants National Bank of Bangor or at the option of the holder
at such other bank, if any, as the Treasurer selects,

attached, upon surrender thereof as they respectively mature,
both principal and interest being payable at The Merchants

This bond is issued pursuant to the City Charter (Private
and Special Laws of 1931, Chapter 54), and acts in addition
thereto and in amendment thereof, and by order of the City Coun-
cil to raise funds for various permanent public improvements in
said city, each duly authorized. It Is hereby certified that
very requirement of law relating to the issue hereof has been
duly complied with and that this bond is, and the indebtedness
evidenced hereby was, at the time it was incurred, within every
debt and other limit prescribed by the Constitution and laws of
the State of Maine, and the Ordinances, Orders and Resolves of
the City of Bangor.
This bond is one of a series of one thousand six hundred
fifty (1,650) bonds of like tenor, except as to maturities,

in a principal amount not to exceed one million six hundred fifty
thousand (1,650,000) dollars. Such notes shall be signed by
the City Treasurer and countersigned by the Chairman of the
City Coancll and each issue of such notes shall be payable no
later than one year from the date thereof and in any event no
later than September 15, 1962. key of said notes, if issued
for a shorter time, may be renewed or paid from time to time
by the issue of other notes hereunder, provided that no such I
note issued to renew or pay the same debt shall be payable later
than September 15, 1962. Such notes shall be in such form and
shall be issued and sold (at private or public sale) at such

resolution. The proceeds arising from the sale of such notes
shall be delivered to the City Treasurer and used to finance

That Messrs. Ropes 8 Gray, of Boston, Massachusetts, shall
be requested to render an opinion approving the validity of
the bonds and notes authorized by the preceding order.
