Item/Subject: Authorizing City Manager to Execute a Licensed User
Agreement with Ticketmaster - New York, Inc.

On May 11, 1994, the Bass Park Committee reviewed a proposed new
agreement with Ticketmaster for the provision of ticket sales for
Auditorium attractions. The substantive terms of the Agreement are
similar to those in past Agreements, however, Ticketmaster has
agreed to allow the City to sell tickets to convuesers directly over
the Box Office phone line, in addition to conducting in-person Box
Office sales. This direct Auditorium phone sale option should
benefit consumers

buying directly through Ticketmaster. The Committee approved this
new relationship and the interim period has been spent negotiating
the revised language of the new Agreement.

ORDERED.
TEAT City manager Edward A. Barrett is hereby
authorised to execute a Licensed User Agreement with Ticketmaster -
New York, Inc. regarding ticket sales for attractions at the Bangor.
Auditorium. Said Agreement to be in a form approved by the City
Solicitor and containing, at a minimum, the following provisions:
1) Hardware and Software - Ticketmaster is to provide _
and maintain all system hardware and software.
2) Term - The initial term is two (2) years with
automatic successive two (2) year renewals unless
either party provides notice of termination.
3) Compensation to Ticketmaster - There is no direct
compensation to Ticketmaster by the City. Convenience
charges, handling charges and credit card service
charges (three (3) percent) are paid by the consumer.
The promoter pays the credit card service charge
(three (3) percent), plus the inside ticket printing
charge which Ticketmaster deducts from the City's
reimbursement (fifteen (15) cents per ticket for
outsidesales and ten (10) cents per ticket for
outs idesales). The City will alsopay a monthly
fee of approximately $312.00 directly to AT&T for a
dedicated phone line for the hardware. The City and
Ticketmaster split the installation cost of this line.
4) Exclusive Rights - Ticketmaster agrees toallow the
City to directly sell tickets to people who call the
Auditorium Box Office. This is in addition to in-
person Box Office sales by the City.
