Coamemery: This is a proposed a endment to the City's Management Agreement
Contract with Republic Parking Systems, Inc. as recommended by the Downtown Parking
Advisory Committee. The Contract now provides for Republic's operation and
management of Airport parking, the Pickering Square Garage and Upper Abbott Square
Parking Lot This amendment would add the following downtown City parking lots to
the facilities operated and managed by Republic Parking: Lower Abbott, Hamaonl Street
Lower Deck, High Street Lot, Chamberlain Bridge Lot, Renduskeag Plaza west not,
%enduskeag Plaza Bast Lot, Hancock Street Lot, Exchange Street Lot, Hammond Street
UPper Deck and Columbia Street Lot. Parking permits for these loin are turrently
purchased at the Treasury Office in City Hall, whereas permits for parking in the
Pickering Square Garage and Upper Abbott Square Parking Lot are sold by Republic at
those locations. With this amendment, the Treasury Office will no longer sell
parking permits and all downtown parking permits sales will be handled by Republic
Parking.
Reimbursement to Republic Parking for the i eased responsibilities will be $17,000
in year o and will be included in Republic s annual Operating budget approved by
the City. e Republic's proposed annual operating budget amount, including this
increase, is provided for in the Parking Fund Budget approved by the Council on urine

ADDENDUM TO MANAGEMENT AGREEMENT
THIS ADDENDUM TO MANAGEMENT AGREEMENT, dated
1998 and effective August 15, 1998, is by and between the CITY OF
BANGOR (the "City") and REPUBLIC PARKING SYSTEM, INC. (the
"Operator').
RECITALS
WHEREAS, the City owns parking lots known as Lower Abbott,
Hammond Street Lower Deck, High Street Lot, Chamberlain Bridge Lot,
Kenduskeag Plaza West Lot, Kenduskeag Plaza East Lot, Hancock
Street Lot, Exchange Street Lot, Hammond Street Upper Deck and
Columbia Street Lot (the "parking lots"); and
WHEREAS, the City and the Operator are currently parties to
a Management Agreement dated October 4, 1996 wherein the parties
have agreed that the Operator operate certain parking lots for the
benefit of the City; and
WHEREAS, the parties agree that the operator Shall operate
other parking lots for the benefit of the City,
NOW, THEREFORE, the City and the Operator, intending to be
legally bound hereby and in consideration of the mutual covenants
hereinafter contained, do hereby agree to this Addendum to the
Management Agreement between the parties dated October 4, 1996 as
follows:
1. ADDITIONAL PARKING LOTS
In addition to those parking lots provided for in the
Management Agreement, Operator shall operate the following parking
lots as public parking under the terms and conditions of this
Addendum, and to the extent not in conflict with this Addendum,
under the terms and conditions of the Management Agreement: Lower
Abbott, Hammond Street Lower Deck, Harmon Street Upper Deck, High
Street Lot, Chamberlain Bridge Lot, Kenduskeag Plaza West Lot,
Kenduskeag Plaza East Lot, Hancock Street Lot, Exchange Street Lot,
Columbia Street Lot.
2. HANDING OF MONEY AND PERMITS
The Operator shall supervise and control the handling of all
Permits issued and all money received in the operation of the
above -referenced parking lots.
The Operator shall collect revenue from the revenue
collection devices installed in the following parking lots:
Hammond Street Upper Deck, Columbia Street Lot, and Hancock Street
Lot.

The Operator shall monitor the performance of the revenue
collection devices, and arrange for the preventive and corrective
maintenance of said revenue collection devices in the following
parking lots: Hammond Street Upper Deck, Columbia Street Lot,
Hancock Street Lot. The cost of said maintenance shall be included
in the operating budget approved by the City_
The Operator shall establish an adequate system of internal
controls satisfactory to the City, covering the receipt and
expenditure of money in the maintenance and operation of the
parking lots, and shall prepare all operating and financial reports
and statements, including reports and statements that may be
necessary or appropriate under other provisions of the Management
Agreement. All bills and invoices shall be paid on a timely basis,
consistent with normal business practices. ,.
The Operator may not negotiate or enter into service
contracts in connection with the operation of the parking lots
without the written approval of the City.
3. APPLICABILITY OF MANAGEMENT AGREEMENT TO PARKING LOTS
In all respects not inconsistent with the provisions of this
Addendum, the terms and conditions of the Management Agreement
shall apply to the operation of the parking lots which are subject
to this Addendum.
IN WITNESS WHEREOF, the parties hereto have caused this
Addendum to be duly executed, sealed and delivered as of the day
and year first written above.
