ORDERED,
TAT the City Manager is hereby authorized, on behalf of
the City of Bangor, to execute amendments to the Tentative
Developer and Option Agreement with the Northern Conservatory of
Music, dated December 11, 1996, as previously amended, to
accomplish the following:
(1) Substitute the Maine School for the Arts/Maine
High School for the Arts as the project Developer,
in place of the Northern Conservatory of Music;
(2) Extend the tentative developer period as Provided in
section I, paragraph 1 of the existing agreement to
December 31, 1997;
(3) Revise section I,paragraph 5 to reduce the
Developer's share of proceeds from sale of the
rear third of the Freese's Building from $165,000
to $85,000 and to provide that the Developer shall
not seek further contributions of start-up capital
from the City of Bangor;
(4) Advise section I, paragraph 7 t0 delete Developer's
Pledge of $100,000 as start-up capital for the
Developer's Capital campaign, substituting a
requirement that the Developer work toward raising
$530,000 in private contributions required for the
Developer's capital campaign;
(5) Extend the option term as provided in section II,
paragraph A(1) of the existing agreement to June
30, 1999;

(6) Delete section 2, paragraph A(9) of the existing
agreement, regarding payment of remaining proceeds
from sale of the rear third of the Freese's Building
t0 the Developer; and
(7) Revise section 12, paragraph B(8), to delete the
requirement that the Developer perform roof
repairs.
All amendments executed pursuant to this Order must be in a form
approved by the City Solicitor. Such amendments may be in the form
of a restated development agreement with the Maine School for the
Arta/Maine High School for the Arts.
