Item/Subject: ORDER. Authorizing Option Agreement for Development of Bangor
Waterfront Property with TIMKA, INC. dba Geaghan's Pub

Commentary: This Order would authorize an agreement with TIMKA, INC. represented by Larry and
Peter Geaghan and doing business as Geaghan's Pub at 570 Main Street. The purpose of the agreement
would be to provide TIMKA with an Option to purchase and develop approximately 10,000 square feet of
City land at the entrance to what was once the Maine Central Railroad roadhouse property. Geaghan's
Pub is an existing, well established business that has a need for additional land to provide for the
business expansion. TIMKA would use the land to create 25 additional parking spaces that would lead to
additions to its brewing operation, bottling area, small merchandise area, tasting area to the brewery,
seating area for the restaurant and enlargement of their banquet room, and adding an estimated 10 new
employees. The Option would require that before transfer of the land, the Geaghan's obtain plan
approval by City staff, designated by the City Manager, site plan approval from the Planning Board for
the additional 25 parking spaces, a zone change from Waterfront District to the Urban Service District
(the same zoning as Geaghan's Pub), provide evidence satisfactory to the City Solicitor of the estimated
$85,000 construction financing needed, secure all necessary permits, and provide an agreed on
construction progress schedule. On January 23, 2012, by Council Order 12-073 the City Council had
authorized the execution of a Development Agreement with TIMKA, INC. for the acquisition and
development of a parcel from the City. However, TIMKA, INC. did not execute the agreement, and
instead, requested that the City parcel be of a different configuration than originally requested.
This Order will authorize the execution of a Development Agreement for this new parcel, and will rescind
the Council approval of the execution of the original Development Agreement.

Waterfront Property with TIMKA, INC. dba Geaghan's Pub
WHEREAS, TIMKA, INC., operates Geaghan's Pub at 570 Main Street, proposes to expand its
business operations; and
WHEREAS, to enable the expansion TIMKA, INC. would like to acquire an interest in
approximately 10,000 square feet of City land adjacent to and behind its
property; and
WHEREAS, 11MKA, INC. would use the land to create 25 additional parking spaces to
facilaite additions to its brewing operation, bottling area, small merchandise
area, tasting area to the brewery, seating area for the restaurant and enlargment
of its banquet room, and providing for the addition of an estimated 10 or more
new employees; and
WHEREAS, on January 23, 2012, by Council 12-073 the City Council of the City of Bangor
authorized execution of a Development Agreement With TIMKA, INC. for the
acquisition of this parcel for the creation of additional parking spaces; and
WHEREAS, TIMKA, INC has not executed said Development Agreement and has requested
that the parcel of land requested from the City be of a different configuration:

THAT the City Manager is hereby authorized to execute, on behalf of the City of Bangor, an
Option Agreement for Development of Bangor Waterfront Property with TIMKA, INC. providing
for a sale of approximately 0.23 acres (10,000 sq. ft. +/-) of City of Bangor Waterfront land
abutting 570 Main Street, as depicted and identified on a plan entitled "Sketch Plan: Geaghan's
Land Development Agreement" prepared by KISER Engineering & Development Consulting
dated March 16, 2012 for the creation of approximately 25 additional parking spaces, the
Option providing that the purchase price be $12,540, the Option fee be $1,500, that before
transfer of the land to TIMKA, INC. it obtain plan approval by City staff designated by the City
Manager, site plan approval from the Planning Board for the additional 25 parking spaces, if
required a zone change of the land from Waterfront District to the Urban Service District,
evidence needed for construction financing satisfactory to the City Solicitor, all necessary
permits be secured, and an agreed on construction progress schedule, under such other terms
and conditions and in a final form approved by the City Solicitor or Assistant City Solicitor.

THAT The authoriztion approved by Council Order 12-073 is hereby rescinded.
