By be City Gunnell ofdis Ct ofBaaaar: _ ORDERED, THAT,WHEREAS the City Council is desirous of retaining a parking consulting firm to analyze current and future parking needs of the downtown area as part of the on-going process of revitalization of the area, and WHEREAS, after the solicitation of proposals and the review of the same in accordance with the City's Purchasing Regulations, the City Council hereby determines that the firm of Rich and Associates, Inc. should be retained to provide the desired analysis: NOW, THEREFORE, BE IT ORDERED BY THE CITY COUNCIL OF THE CITY OF BANGOR THAT the City Manager, on behalf of the City of Bangor, is hereby authorized to execute a Consulting Agreement by and between the City of Bangor and Rich and Associates, Inc., (a draft of said agreement being on file in the Office of the City Clerk) subject to approval of the form of the Final Agreement by the Finance Coossittee of the Bangor City Council. - 85-95 (t ORDER IN CITY COUNCIL January 3B, 1985 Passed Title, A,tLori¢ing Execution of Agreement for Cm CiEPK Consulting Services - Downtown Parsing ...................................... Introdu d by Cs�mcilmen 85-95 AGREEMENT ARTICLES OF AGREEMENT, made and entered into this _ day of 1985 by and between THE CITY OF BANGOR, hereinafter called the CITY and RICH AND ASSOCIATES, INC. With offices at 25240 Lahser Road, Southfield, Michigan, hereinafter called the CONSULTANT. WHEREAS, the CITY desires to engage CONSULTANT to render professional services, advice and recommendations as hereinafter set forth in connection with the study of existing and potential parking needs in the general block area as shown on Exhibit I herein attached WHEREAS, the parties have reached an understanding with each other regarding professional services to be performed and the amount to be paid therefore: and desire to set forth their understanding in the form of a written agreement. NOW, THEREFORE, in consideration of the premises and mutual under- standing of the parties hereto, it is agreed as follows ARTICLE I: DESCRIPTION OF PROJECT A. Determine the need and economic feasibility of the construction of a parking structure and other recommendations for the present park- ing system Of the City ARTICLE II: PARKING DEMAND STUDY AND RECOMMENDATIONS A. An important segment of this study will be information available from various City Departments. The CONSULTANT with the assistance of the CITY will require the following information and data: I. 'A summary of potential developmental plans including size and type of buildings, estimated number of employees approximate date buildings will be ready for occupancy and parking facili- ties to be provided. 2. Proposed parking arrangements for tenants of any new buildings. 3. Privation information relevant to the project. B. The CONSULTANT in PHASE I will conduct a parking demand study of the proposed project which would include, but would not necessarily be limited to the following items: 1. Review all pertinent parking data currently available from past reports and from the files of the CITY. 2. Make field observations and investigations in the vicinity of the project(s) to determine the amount of parking available (pre- sent and potential), rates currently charged for parking and pre- sent characteristics of parking in the area. 3. Preparation of an up -t0 -date inventory map of present and poten- tial on and off-street parking spaces in the influenced area of the site, including parking rates. 4. Review land use of past, current and future conditions analyz. ing gross and net floor areas, useage, projected employment along with projections for short term and long term demands. 5. Conduct a written survey of employees in buildings within the study area to determine the. driving characteristics of these workers. Also conduct a manager survey of area businesses that will ascertain the characteristics of the individual businesses. 6. Conduct an oral survey of pedestrians (10:00 a.m. - 5:00 p.m.) in the study area to determine driving and other characteristics of shoppers, employees, business visitors and others. 1. Examine parking policies, regulations, pricing, fines and joint use possibilities to determine the demand and potential use of new facilities. 8. Conferences with the CITY, and other relevant parties to review Parking policies and plans affecting study area. -2- 9. Conduct a turnover study (license inventory) of on -street parking spaces on streets in the study area. 10. Review and make recommendations on signage for parking to include parking regulations and directional signs for parking identification. L. Based on the present and future demand and supply as estimated by the CONSULTANT through surveys and related field work, the CONSULTANT will develop recommendations for the size and type of additional parking facilities. D. CONSULTANT in Phase 11 shall: 1. Develop alternative schemes for parking structure(s) on a specifc site(s). These alternatives will address the following: • Acess to the specific site(s) • Access to and from the parking floors • Internal and external pedestrian traffic flow • Security concerns • Preliminary time schedule • Conflicts with other construction • Future expendability • Operations 2. Analyze a specific site(s) for development of the most efficient parking facility. Considering changes that may be necessary for traffic access and circulation on and around development site. This would include an analysis of the surrounding street system and nearby intersections. 3. Develop a preliminary construction cost estimate for each of the alternatives developed. The estimates will be based on the following: • Site preparation • Structural System • Mechanical and Electrical System • Parking Control Equipment -3- • Aesthetic Treatments • Cost of Connections • Professional Fees • Site Acquisition • Cost of Air Right Structure Capacity E. CONSULTANT in Phase SI shall also. 1. Recommend a Schedule of Fees to be charged for parking, includ- ing rates, applicable to tenants and employees of any nearby buildings as well as to motorists visiting the area. 2. Estimate the annual number of vehicles that would be parked in the facility or facilities by length of time parked and by category use. 3. Prepare estimates of gross revenue to be derived from parking for each of the first tan (30) years of operation to accompany debt service coverage and accumulated profit or losses for the Proposed Project. 4. Prepare estimates of annual operating expenses, including pay- roll, fringe benefits, utilities, insurance, housekeeping, materials, supplies and miscellaneous items. F. From the foregoing, the CONSULTANT will make a complete evaluation of the estimated future income for the parking system, indicating the number of parkers by type, gross and net income, and recommend a garage or lot system of sufficient size to accommodate this demand. G. The report will include appropriate maps, charts, graphs, tables, and explanatory text and will be in a form acceptable to Investment Bankers, Municipal Bond Houses, or Potential Developers.. H. Finally, the CONSULTANT will develop a parking master plan that will include but not be limited to: -A- 1. Stage development of parking areas. _ 2. Management and operation recommendations 3. Rate increases and Utilization recommendations 4. Recommendations for Public/Private Partnership in development of parking 5. Establishment of policies and procedures for undertaking future parking developments. ARTICLE III: RESPONSIBILITY FOR PROFESSIONAL SERVICES The method of Professional services shall be subject to the CITY'S approval, provided, however, the CONSULTANT shall assume full responsibility for the adequacy and sufficiency of his services. Professional services Shall be performed under the direction of Mr. Richard C. Rich and Mr. Richard A. Rich ARTICLE IV: FEE In consideration of the performance of the work provided by this AGREE- MENT, the CONSULTANT will be paid the sum of THIRTY THOUSAND ($30,000) DOLLARS which shall constitute complete payment for all professional services required to be performed hereunder. The CONSULTANT shall furnish at this cost all equipment, forms, materials, etcetera to Perform the services required herein. Additionally, the CONSULTANT will be reimbursed for out-of-pocket expenses incurred in travel, communications, printing, photography, and photographic reproductions. One-half (50%) of the fee will be due and payable upon comple- tion of the preliminary report on Phase I of the study and the balance will be due upon delivery of the final report for both Phase I and Phase I1. ARTICLE V: REPORTS - PROPERTY OF THE AUTHORITY All reports, recommendations, and other documents submitted by the CON SULTANT, shall become the sole property of the CITY. The CONSULTANT shall pro- vide up to ( ) copies of the report. -5- ARTICLE III: TIME OF PERFORMANCE The CONSULTANT shallcommence work on Phase I immediately after he is ordered to begin work and will supply the preliminary report within fifty (50) days thereafter. The CONSULTANT shall commence work on the final report (which includes Phase II) including recommendations and conclusions after he is ordered to begin same and will supply the completed report within thirty (30) days thereafter. ARTICLE Y11: ASSIGNMENT The CONSULTANT shall not assign, sublet, or transfer his interest in this AGREEMENT without the written consent of the CITY. ARTICLE VIII: FAIR EgmLOYMENT PRACTICES The CONSULTANT agrees that he will not discriminate against any employee or applicant for employment to be employed in the performance of this AGREEMENT with respect to his hire, tenure, terms, conditions or privileges of employment or any matter directly or indirectly related to employment because of his age, except when based on a bona fide occupational qualification or because of his race- color, religion, national origin or ancestry. - (Act No. 251 P.A. 1955 as amended). The CONSULTANT further agrees that he will take affirmative action to insure that applicants are employed and thatemployees are treated during employment without regard to age, sex, race, creed, color or national origin. Affirmative action shall mean: 1. The issuance of a Statement of Policy regarding equal employ- ment opportunity and its communication to all personnel involved in recruitment, hiring, training, assignment and promotion. IM 2. Notification of all employment sources of company policy and active efforts to review the qualifications of all applicants regardless of age, sex race, creed, color or national origin. 3. Recruiting in the minority group community for employees, and, 4. Establishing an internal system of reporting concerning equal employment, recruiting, hiring, upgrading, and the like. Breach of these convenants may be regarded as a material breach of the AGREEMENT. The CONSULTANT further agrees that he will require a similar covenant on the part of any subcontractor employed in the performance of this AGREEMENT.
