We have completed the selection process for a new Finance Director.
Approximately 40 applications were received for this position. Based on their
resumes, ten individuals were interviewed by telephone. Five finalists were
selected from this group. One of the finalists subsequently withdrew after
accepting a position with another municipality. The interview panel of the
City manager, Acting Finance Director, Director of Administration, and School
Business Manager conducted personal interviews with the remaining four
candidates. Several Councilors participated in this interview process.
The panel was impressed with the knowledge, experience, and background of all
four of the final candidates.
The attached Order will confirm the selection of Ronald I. Heller as Finance
Director. I have attached a copy of the employment agreement which has been
negotiated with Mr. Heller as well as a copy of his resume. I believe Mr.
Heller will bring numerous strengths to this position including different
perspectives associated with his private sector banking experience. I
recommend your approval.

THIS Agreement made and enterediaw this_ day of ,1995,
by and between the CITY OF BANGOR (Penobscot Cowry), State of Maine, a
municipal corporation, hereinafter sometimes referred in as "Employer", and Ronald 1.
Heller of DemBeld, Scale of 111mon, hereinafter sometimes refected to as "Employee".
WHEREAS, the City ofBsngor desires in employ the service of said Ronald I.
Heller as Director of Finance of the City of Bangor, and
WHEREAS, the parties have reached Agreement as to the benefits, conditions of
employment, and working conditions of said Employee;
NOW, THEREFORE, in consideration of the mutual coveaax herein contained,
the parties agree as follows:
Employer hereby agrees in employ said Ronald I. Heller to perform the functions
and duties of Director of Finance of the City of Bangor as specified order the Charter and
the Ordinances of the City of Bangor and the laws of the Same of Maine, and to perform
each other duties and functions as the City Manager shall from time to time assign.
Subject to the provisions contained herein, Employee shall serve at the pleasure of the
City of Biagio.
A. Employee agrees to remain in the exclusive employ of Employer until August
14, 1998, and neither to accept other employment nor to become employed by say other
employer so long as this Agreement And be in effort. .
B. Nothing in this Agreement shall prevent limit or otherwise interfere with the
right of the Employee to resign at any time from his position with Employer, upon sixty
(60) days notice in Employer, subject only in the provisions set forth in Section 3 of this
Agreement.
C. During the original term of &a agreement Employee may be terminated only
upon sixty (60) days prior written notice, which notice shall include a statement of the
job related misfeasance or other causes for such termination. Employee may also be
terminated upon sixty (60) days prior written notice should the position of Finance
Director be eliminated by action of the Employers governing body. Following the
original three (3) year term of this Agreement, this Agreement may be terminated by the
Employer for cause or as provided in Section 2 D below.
D. In the evert written notice is not given by either party to this Agreement to the
other sixty (60) days prior to August 14, 1998 , this Agreement shall be extended on the
sametereas endconditomsprovideg form additional unnof one Said
Agreement shall continue tmereafter for one (I) year periods unless either party hereto
gives surly (60) days written notice to the other party tlmt the party does not wish to
extend this Agreement for an additional one {1) you term.
In the event Employee is command by the City Manager during or at the
expiration of the aforesaid term of employment or during any emersion thereof, and
during such time that Employee is willing and able to perform his duties under this
Agreement than m tbat event Employer agrees to pay Employee a lump sum cash
Payment equal to two (2) months' aggregate salary, provided, however, that in the event
Employee is terminated because of his conviction of any illegal act involving personal
gain to him, thea in than event Employer shall have no obligation to pay the aggregate
severance sum designated in this paragraph.
A. Employer agrees to pay Employee for his services rendered parsuant herein an
annual base salary of Fifty-four thousand, three hundred twenty-eight dollars ($54,328),
payable in installments at the same time as other employees of the Employer are paid
B. Employer agrees to handle fubue salary increases in the same fashion as salary
increases are handled for other Executive Level Employees.
A. On an annual basis, the City Manager and Employee shall define such goals
and performance objectives as they deem necessary for the proper operation of the
Deparnthent of Finance and shall reduce said goals and objectives to writing. They shall
generally be attainable wuhm the time limitatous specified and the annual operating and
capital budgets and appropriations provided.
B. The City Manager shall review and evaluate the performance of the employee
annually on or about the Employee's anniversary date of employment with the City. More
frequent reviews may be held nt the discretion of the City Manager. Said review and
evaluation shall be in accordance with the goals and performance objectives jointly
developed by the City Manager and Employee and the normal standards used to evaluate
the pefommnce of other City employees which are applicable to Employee's position.
C. In effecting the provisions of this Section, the City Manager and Employee
mutually agree to abide by the provisions of applicable law.
D. Employee agrees and understands that the terms of his employment as Director
of Finance shall be subject to the City's Personnel Rules and regulations as they currently
exist and as they may be modified from time to time except where provisions of this
Agreement modify or supersede the personnel Rules and Regulations.
Employee shall not participate in my nou-Employer connected business or
employment without the prior approval of the City Manager. Such approval shall not be
unreasonably withheld as long as the employment in question does not conflict with
Employee's duties and responsibilities as Director of Finance.
Employee shall be reimbursed, our Employer shall pay directly, for all expenses for
the relocation of Employee, his family, his household goods and personal property from
Deerfield, Illinois to Bangor, Maine. Said relocation expenses shall include
reimbursement on Employee for his private anon mileage and incidental expenses fm
travel to Bangor with one vehicle. Such expenses shall also include up to ninety (90)
days storage fees for household goods. Employer shall also reimburse employee for one
additional trip to Danger for purposes of purchasing or otherwise obtaining a family
residence, such reimbursement to include expenses associated with employee's family
members.
Should employee be required to make double payments for his residences in
Deerfield, Illinois and Bangor, Maine during the period from August 14, 1995 through
November 14, 1995, Employer will reimburse Employee fm up to three (3) months of the
Employee's existing mortgage or housing payments in the Bangor area, whichever is
lesser, to avoid duplicate housing payments. In the event Employee's home in Deerfield,
Illinois is sold in less than three (3) months, payments will be made by the City for the
period in which duplicate housing payments are required.
On the commencement of this Agreement Employee shall be credited with five (5)
days of vacation leave and five (5) days of sick leave. Thereafter, Employee shall have
credited to his personal account, sick leave at the same rate as other employees of
Employer. Employee shall have credited to his personal account fifteen (15) days of
vacation per year for the fast six (6) full years of employment Thereafter, vacation shall
accrue at the same rate as other employees of the Employer. Vacation leave may be
taken by the Employee M any time so long as his absence does not mressonably interfere
with the operations of the City and such leave is approved in advance by the City
Manager.
Employer agree to provide Employee with all categories of fiinge benefits m the
same amounts and coverages as she provided from time to time by Employer to other
employees of the qty of Baogor except as voted elsewhere in this Agreement.
In addition to the salary bo be paid by Employer to Employee, Employer agrees to
pay into the ICMA401-A program an amount equal to 7.5°%of salary and into the
ICMA-457 program an additional 2.5% of salary in lieu of Employee mtjoioing the
Maine State Retirement System.

Employer shag defend, save harmless and indemnify Employee against soy tort,
professional liability claim or demand or other legal action, whether groundless or
otherwise, arising out of an alleged act or omission occurring in the performance of
Employee's duties as Director of Finance. Employer will compromise and settle my such
claim or suit and pay the anmmr of any settlement mjudgemeot rendered therein.
Employer shall bear the fug cost of my fidelity or other bonds required of the
Employee order my law or ordinance.
The City Manager, in consultation with the Employee, shall fu: any such other
terms and conditions of cmploymmt, as may be determined from time to time, relating to
the performance of Employee, provided such terms and conditions are nM memeastent
with or in conflict with the provisions of this Agreement, the Charter or my other law.
Employee shall establish residence within the corporate limits of the City of Bangor on or
before February 14, 1996.

Alternatively, notices required Panamint to this Agreement may be personally
served in the same manner as is prescribed for personal services of process under the
Maine RWes of Civil Procedure. Notice shall he deemed given as of the data of personal
service car as of the data of deposit of such written notice in the coarse of transmission m
the United States Postal Service.
A The text herein shall constitute the entire Agreement between the parties.
B. This Agreement shall be binding upon and inure to the benefit of the heirs at
law and executors of Employee.
C. This Agreement shall become effective commencing August 14, 1995 or when
Employee assumes the position ofDirecior of Finance, whichever shall occur fust
D. If my provision, or my portion thereof, contained in this Agreement is held
unconstitutional, invalid or unenforceable, the remainder of this Agreement or portion
thereof shag be deemed severable, shall not be affected and shall remain in full force and
effect
